Beta Program. During the beta test program for a beta release of Software (“Beta Program”), Licensee will (i) install the Software as indicated and actively use the Software to assist Blackboard in its product review process, (ii) allow Blackboard to visit the Site when and as reasonably requested for testing and maintenance; (iii) provide troubleshooting, debugging, and maintenance assistance according to Blackboard’s reasonable request and instructions; (iv) record all problems (including software errors, failures, nonconforming results, and unexpected performances) and any comments regarding the Software and forward this to Blackboard’s contract administrator on a weekly basis or more often as reasonably requested by Blackboard; (v) forward one written critique of the Software within two (2) weeks following the request of Blackboard; and (vi) provide Blackboard such further documentation and assistance as may be reasonably required by Blackboard. Blackboard, in its sole discretion, may offer third party products and/or or discounts on its products and/or services or to each of the participants in the Beta Program, including Licensee, subject to Licensee’s acceptance of Blackboard and/or the third party’s then-current terms and conditions. If required to resolve any technical issues which arise with the Licensee’s installation of the Software, Licensee agrees to provide administrative back end access to the Software and/or related or integrated components to the extent needed to troubleshoot such issues.

Beta Program. If a License is provided in connection with a beta program, the “License Term” shall be the period of the beta program. NOTWITHSTANDING ANYTHING TO THE CONTRARY SET FORTH IN THE AGREEMENT, PROGRAMS AND ANY SUPPORT SERVICES AND PROFESSIONAL SERVICES PROVIDED IN CONNECTION WITH EVALUATION LICENSES, NOT FOR RESALE LICENSES, BETA PROGRAMS OR OTHERWISE PROVIDED WITHOUT CHARGE ARE PROVIDED BY ERICOM “AS IS,” WITHOUT WARRANTIES, REPRESENTATIONS, LIABILITY, OR INDEMNITIES OF ANY KIND.
Beta Program. Licensee may elect to participate in Ericom’s beta or early release programs for the Program (“Beta Programs”). Any Software licensed in connnection with a Beta Program shall be used solely for the stated purposes thereof and any other terms set by Ericom. Licensee acknowledges that such Software is in a pilot-production stage of development and, therefore, may contain irregularities not normally found in software. Licensee agrees to interface with Ericom’s designated representatives at regular intervals to discuss the Beta Program Software and to furnish, subject to applicable law, verbal or written reports at Ericom’s reasonable request, including failure logs, status reports, error reports, and other information related to Licensee’s use of the Software. Licensee is encouraged to provide Ericom with suggestions and ideas for improving or otherwise modifying the Software or Support or Professional Services. Upon Ericom’s request, Licensee agrees to return or destroy, or cease use of, the Program and other materials delivered to Licensee as part of the Beta Program.
Beta Program. From time to time, Xxxxxxx may invite Licensee to try a beta program for trial and testing (“Beta Program”), which Licensee may accept or decline in Licensee’s sole discretion. Licensee shall comply with testing and trial guidelines that Ostrich provides in connection with Licensee’s access and use of a Beta Program and will make reasonable efforts to provide feedback to Ostrich. Ostrich may remove Licensee’s access to a Beta Program at any time in its sole discretion. Ostrich may also discontinue a Beta Program or choose not to make a Beta Program generally available at any time in its sole discretion.

  • Training Program It is agreed that there shall be an Apprenticeship Training Program, the provisions of which are set forth in Exhibit "D", which is attached hereto and forms part of this Agreement.

  • Educational Program A. DSST PUBLIC SCHOOLS shall implement and maintain the following characteristics of its educational program in addition to those identified in the Network Contract at DSST XXXX MIDDLE SCHOOL (“the School” within Exhibit A-3). These characteristics are subject to modification with the District’s written approval:

  • First Source Hiring Program Contractor must comply with all of the provisions of the First Source Hiring Program, Chapter 83 of the San Francisco Administrative Code, that apply to this Agreement, and Contractor is subject to the enforcement and penalty provisions in Chapter 83.

  • Development Program RWJPRI shall be [**] and have [**] in consultation with the JDAC, to select LICENSED COMPOUNDS which shall then be designated PRODUCTS for further DEVELOPMENT by RWJPRI and marketing by ORTHO and its AFFILIATES. RWJPRI shall provide KOSAN with written notice of its decision to select a LICENSED COMPOUND for DEVELOPMENT. Once a PRODUCT has been selected for further DEVELOPMENT, RWJPRI, with the advice of the JDAC, shall have the [**] right to develop the PRODUCT through STAGES O, I, II and III and shall have the [**] right to prepare and file, and shall be the owner of, all applications for MARKETING AUTHORIZATION throughout the world. During such DEVELOPMENT efforts, KOSAN will assist RWJPRI as may be mutually agreed, at RWJPRI's expense, in chemical development, formulation development, production of labeled material and production of sufficient quantities of material for STAGE O and initial STAGE I studies. RWJPRI shall exercise diligent efforts, commensurate with the efforts it would normally exercise for products with similar potential sales volume and consistent with its overall business strategy, in developing such PRODUCT in accordance with the DEVELOPMENT PLAN established by RWJPRI. In the course of such efforts RWJPRI shall, either directly or through an AFFILIATE or SUBLICENSEE to which the license shall have been extended, take appropriate steps including the following: (i) in consultation with the JDAC, select certain LICENSED COMPOUNDS for STAGE O DEVELOPMENT; and (ii) establish and maintain a program reasonably designed, funded and resourced to obtain information adequate to enable the preparation and filing with an appropriate and properly empowered national regulatory authority all necessary documentation, data and [**] CERTAIN INFORMATION IN THIS EXHIBIT HAS BEEN OMITTED AND FILED SEPARATELY WITH THE COMMISSION. CONFIDENTIAL TREATMENT HAS BEEN REQUESTED WITH RESPECT TO THE OMITTED PORTIONS. other evidence required for IND non-rejection to commence and conduct human clinical trials of such PRODUCT. (iii) proceed following IND non-rejection to commence PHASE I, II, and III clinical trials, associated studies and such other work which RWJPRI reasonably deems to be required for subsequent inclusion in filings for MARKETING AUTHORIZATION; (iv) after such submissions are filed prosecute such submissions and file all reasonably necessary, reports and respond to all reasonable requests from the pertinent regulatory, authorities for information, data, samples, tests and the like.

  • E-Verify Program Grantee certifies that it utilizes and will continue to utilize the U.S. Department of Homeland Security's E-Verify system to determine the eligibility of: A. all persons employed to perform duties within Texas during the term of the Grant Agreement; and B. all persons, (including subcontractors) assigned by the Grantee to perform work pursuant to the Grant Agreement within the United States of America.

  • Pilot Programs The Employer may develop voluntary pilot programs to test the acceptability of various risk management programs. Incentives for participation in such programs may include limited short-term improvements to the benefits outlined in this Article. Implementation of such pilot programs is subject to the review and approval of the Joint Labor-Management Committee on Health Plans.

  • Program 3.01. The Borrower declares its commitment to the Program and its implementation. To this end, and further to Section 5.08 of the General Conditions: (a) the Borrower and the Bank shall from time to time, at the request of either party, exchange views on the Borrower’s macroeconomic policy framework and the progress achieved in carrying out the Program; (b) prior to each such exchange of views, the Borrower shall furnish to the Bank for its review and comment a report on the progress achieved in carrying out the Program, in such detail as the Bank shall reasonably request; and (c) without limitation upon the provisions of paragraphs (a) and (b) of this Section, the Borrower shall promptly inform the Bank of any situation that would have the effect of materially reversing the objectives of the Program or any action taken under the Program including any action specified in Section I of Schedule 1 to this Agreement.

  • Orientation Program The Company will allow a designated representative of the Local or Bargaining Unit up to one (1) hour per calendar month for the purpose of conducting the Communications, Energy and Paperworkers Union New Members’ Orientation Program. Such meetings will be conducted during the probationary period of employees, and will be held on Company premises. Employees participating in Orientation Program meetings during their normally scheduled working hours will not suffer loss of pay at their regular rate. Orientation Program meetings will be scheduled by Management and a Management representative may attend as an observer.

  • Safety Program The Contractor shall design a specific safety program for the Work for the site(s). The Contractor shall establish and require all Subcontractors to establish reasonable safety programs. The Contractor shall also submit its standard monthly safety reports to the Owner and Design Professional. No imposition of responsibility on the Contractor for safety under this Contract shall relieve any subcontractor of its responsibility for safety of persons or property on or near the Project Site. The Contractor shall include in his plant he names of the person in charge of Safety.

  • Training Programs All employees shall successfully complete all necessary training prior to being assigned work (e.g., all employees will complete health and safety training prior to being assigned to task). Nothing in this Article or provision shall constitute a waiver of either party’s bargaining obligations or defenses. The Employer still has an obligation to notify and bargain changes in terms and conditions of employment with the exclusive representative.
