Bulkhead. The bulkhead that sits at the end of the land portion of Humboldt Street needs repair. As part of the overall Project, BMC will undertake the improvements to the bulkhead and will acquire and pay for all permits required for the work. City will provide BMC with any plans that the City had prepared for such work. Prior to BMC commencing work on the bulkhead, BMC will obtain a minimum of three bids from qualified construction companies with demonstrated experience with bulkhead replacement, the City and BMC will review the bids and if the City agrees that the lowest bid obtained by BMC is from a responsive, responsible bidder as those terms are defined under the Public Contracts Code (the “Low Bid”) upon the completion of the Project the lesser of: (a) the actual costs of the bulkhead improvements; or (b) the Low Bid, will be added to the outstanding balance of the Purchase Price along with the actual cost of the permits attributable to the Bulkhead and will be repaid to BMC in the same manner of the Purchase Price as set forth in Section 5. The City and BMC agree that the commencement of interest on the amount owed by the City as a result of the work on the Bulkhead will not commence until the completion of the Project. The City will cooperate in good faith to expedite the permit and entitlement approval process for the proposed improvements to the bulkhead and unless otherwise agreed upon by the parties will waive City fees for permitting the Bulkhead with the exception of any actual out of pocket costs such as for example costs for outside plan checking
