Buyer Delays. Honeywell is not liable for any delays or increased costs caused by (i) delays in obtaining parts, materials, equipment, services or software from a Buyer-designated supplier; (ii) for Buyer’s failure to timely comply with its obligations or to provide information required for the provision of the Deliverables; or (iii) any other delay caused by, or within the control of, Buyer. If Buyer-caused delays occur, then the price, delivery dates, and other affected terms will be adjusted to reflect increased cost, delay, and other adverse impact suffered by Honeywell. For illustrative purposes only, and without limitation, events impacting price may include: (W) the cost of the raw materials; (X) the cost of any Deliverables including additional cost based on a fluctuation in currency exchange rate, (Y) the cost of mechanical installation or electrical installation labor required for on-site work and/or installation, and (Z) the cost of pre-building and storing equipment at Honeywell’s sole discretion. In the event that a delay caused by the Buyer is ongoing for a period of time which is ninety
Buyer Delays. In the event that:
(i) the delivery of and payment of the Final Contract Price for the Aircraft is delayed more than five (5) days after the firm delivery date established pursuant to Subclause 9.1 due to any breach of the Buyer under this Agreement, or
(ii) within two (2) days after delivery of and transfer of title to the Aircraft the Buyer has failed to remove such Aircraft for whatever reason (except for reasons attributable to the Seller or the Manufacturer), then the Buyer will on demand reimburse the Seller for all reasonable out-of-pocket costs and expenses sustained by the Seller and resulting from any such delay or failure. Such reimbursement will be in addition to any other rights that the Seller may have under this Agreement as a result of any such delay or failure.

Buyer Delays. If substantial completion of the Improvements is delayed due to any of the following (collectively, "Buyer Delays"), then the delay shall be included in the Milestone Delay Extension and the Purchase Price shall be subject to adjustment pursuant to Section 6(d) of the Purchase Agreement: (i) Buyer's failure to timely submit any items required by this Work Letter, including, without limitation, the space plan, supporting drawings and specifications and pallet of interior colors and finishes; (b) Buyer's requested changes to the Improvements pursuant to any Change Order(s); or (c) Buyer's failure to comply with Seller's contractor's schedule. No Buyer Delay shall be deemed to have occurred unless and until Seller has given written notice to Buyer specifying the action or inaction which Seller contends constitutes a Buyer Delay. If such action or inaction is not cured within one (1) business day after Buyer's receipt of such notice, then a Buyer Delay, as set forth in such notice, shall be deemed to have occurred commencing as of the date Buyer received such notice and continuing for the number of days the substantial completion of the Improvements was in fact delayed as a direct result of such action or inaction.
