Change in Funding. Contractor understands and agrees that County shall have the right to terminate this Agreement immediately upon written notice to Contractor in the event that (1) any state and/or federal agency and/or other funder(s) reduces, withholds, or terminates funding which County anticipated using to pay Contractor for services provided under this Agreement, or (2) County has exhausted all funds legally available for payments due under this Agreement.

Change in Funding. 32.3.1. Notwithstanding any other termination provisions of this Agreement, in the event funding from state, federal, local or other sources upon which the County relied to establish any Agreement is withdrawn, reduced, or limited in any way, or if additional or modified conditions are placed on such funding, the County may terminate the Agreement by providing at least fifteen (15) calendar days written notice to the Contractor. The termination shall be effective on the date specified in the notice of termination. 32.3.2. The Contractor may, if the Contractor becomes insolvent or experiences a significant reduction in other funding that renders performance under this Agreement impossible, terminate this Agreement by providing at least sixty (60) calendar days’ written notice to the County contact(s) listed on page 1 of this Agreement. 32.3.2.1. The written notice must explain the insolvency or change in funding causing the termination. A Contractor-initiated termination on grounds other than those listed in this section (32.3) is not valid. 32.3.2.2. The Contractor must be responsive to contact from the County to coordinate any necessary transition of services.
Change in Funding. If the funding authorities of the DEPARTMENT (Federal, State, and local agencies) fail to appropriate funds to enable the DEPARTMENT to continue payment as specified in this Agreement or if the Board of Health reduces the budget of the DEPARTMENT or any program(s) and, as a result of the Board of Health’s action, the DEPARTMENT’s Director of Health determines there are insufficient funds to continue payment as specified in this Agreement, then the DEPARTMENT may modify or cancel this Agreement without penalty provided that the Local Health Jurisdiction receives at least ninety (90) days prior written notice of lack of appropriated funds as the reason for the modification or termination. Any modification of this Agreement shall be effective only upon incorporation into a written amendment as set forth in Section XI.
Change in Funding. If, during the Alliance Term and as a result of changes in funding for the Project, Main Roads directs the Participants to substantially change the D&C Program with effect that significant additional Works are required to be performed by the Participants or a significant part of the Works are required to be omitted, the Alliance Board must promptly meet and decide how, and under what conditions, if any, this Agreement is to proceed.

Contractor and SCTA will work together in good faith to pursue all other funding options.
