Changes to Service Terms. We may change the terms of Services that are renewable or non-expiring by giving you three months' written notice. However, these changes are not retroactive. They apply immediately to renewal transactions and as of the effective date we specify in the notice to all existing transactions. If we make a change to the terms of a renewable Service that 1) affects your current contract period and 2) you consider unfavorable, on your request, we will defer it until the end of that contract period. When both of us agree to change any Services statement of work other than as described above, we will prepare a written description of the agreed change (called a "Change Authorization"), which both of us must sign. The terms of a Change Authorization prevail over those of the statement of work and any of its previous Change Authorizations.

Changes to Service Terms. 15.1 Cashfac may at its absolute discretion make, and notify the Customer of, updated versions of the documents referred to in clause 1.1.2 or other documents referred to in any part of the Agreement (excluding in each case the Order Form) from time to time by notifying the Customer of such update by e-mail (together with a copy of the update) (“Update Notification”). Cashfac will comply with its related obligations in the Data Protection Addendum. 15.2 The document(s) subject to such Update Notification shall replace the preceding version of the same document(s) for the purposes of this Agreement, 60 Business Days’ after Update Notification of such revised document(s) (the “Update”) (or at such later date as the Cashfac may specify). 15.3 In the event that the Customer reasonably believes that any Update materially impacts it negatively in any manner it may by notice elect to terminate the Agreement in respect of all impacted Subscribed Services provided it exercises such right prior to such Update taking effect pursuant to clause 15.2 on not less than 10 Business Days prior written notice and notifies Cashfac at the time of exercising such right of the negative impact which has caused it to exercise this right. 15.4 The Customer acknowledges that Cashfac shall be entitled to modify the features and functionality of the Subscribed Services. Cashfac shall use reasonable endeavours to ensure that any such modification does not materially adversely affect the use of the relevant Subscribed Service by the Cashfac’s customers generally. Cashfac may, without limitation to the generality of this clause 15.4, establish new limits on the Subscribed Services (or any part), including limiting the volume of data which may be used, stored or transmitted in connection with the Subscribed Service, remove or restrict application programming interfaces or make alterations to data retention periods, provided such changes are introduced by Update to the relevant impacted contractual documents, unless agreed otherwise between the Parties. Cashfac will comply with its related obligations in the Data Protection Addendum.

Any amendment will become effective as to your Order on the first renewal of the Order that follows the publication of the amendment by at least thirty days. If the amendment materially and adversely impacts your use of the Services, you may terminate the Agreement by giving written notice no later than thirty (30) days following the date the amendment is published and receive a refund of prepaid fees as your sole and exclusive remedy.

  • Changes to Services The Parties acknowledge and agree that there will be changes to the scope of the Services during the Contract Period. The Customer may amend the Stories that are comprised within the Minimum Marketable Features of a Release at any time during the Release at no additional charge and without adopting the Change Control Procedure set out in Clause 28 above provided that: the Customer shall not be entitled to make any changes to the Stories that form the subject of a Sprint following the mutual agreement by the Parties of the Sprint Plan for that Sprint; new Stories and/or changes to existing Stories may only be introduced if: existing Stories with an equivalent number of Story Points are removed; or existing Stories are reduced in size by the equivalent number of Story Points, such that the total number of Story Points for the Release remains constant throughout the Release. The Supplier shall consider any request by the Customer to increase the number of Story Points for a Release, and may, subject to the Change Control Procedure set out at Clause 28, agree to such request.
