Closing Services. A. DriveWealth will conduct closings in which funds are delivered to Issuer’s account in amounts equal to subscription requests Issuer has accepted (when applicable), and Securities identified by a single alpha and or numeric identifier (“Ticker” or “CUSIP”) are transferred into Customer Accounts (actions collectively referred to as a “Closing”). These services include anti-money laundering (“AML”), Office of Foreign Asset Control (“OFAC”) and related services required for any funds transfers. B. DriveWealth will conduct Closings at Issuer’s Instructions. For Offerings with one Closing for a single Ticker, DriveWealth will conduct the Closing at the time instructed by Issuer or as soon as reasonably practicable thereafter. For Offerings with multiple Closings over time and or with multiple Tickers, DriveWealth may decide, in its sole discretion, and after consultation with Issuer, to limit the number of Closings to a specified number within a designated time period (for instance, one Closing per month). C. Issuer shall instruct Dwolla to direct funds from Customers’ Dwolla accounts to DriveWealth’s merchant Dwolla account during the Closing process. DriveWealth shall not be responsible for Dwolla clawbacks or other restrictions on a Customer’s Dwolla account that prevents the settlement and closing of the Offering pursuant to the Instructions received. In the event that DriveWealth is unable to settle and close the Offering pursuant to Instructions due to a Dwolla clawback or other restriction, Issuer shall be responsible for the unsettled portion. D. All Closings are subject to the fees specified in Schedule D.1.

Closing Services. 58 After a Purchase Agreement for property is fully executed, arrangements must be made to close the transaction. Buyer(s) 59 understands that no one can require Buyer(s) to use a particular person to conduct the closing and Buyer(s) may arrange 60 for another qualified person, including Xxxxx’s attorney. The real estate Broker, real estate Agent(s), or real estate closing 61 agent, has not, and under applicable state law, may not, express opinions regarding the legal effect of the closing 62 documents or of the closing itself.
Closing Services. To the extent that the following services are not provided by the Servicer, providing assistance to WEST and each other Managed Group Member in (1) the re-lease and/or sale of the Assets, (2) the acquisition of Replacement Assets and (3) financing transactions relating to WEST and each other Managed Group Member after the Initial Closing Date, including: (i) Coordination; coordinating with the Service Providers, legal and other professional advisers to monitor the protection of the interests and rights of WEST and each other Managed Group Member, coordinating the execution of documentation required at closings, and assisting in the management of the closing process so that closings will occur on a timely basis; (ii) Closing support; providing qualified personnel to attend and provide administrative support (including the preparation of any certificates required pursuant to the Servicing Agreement) at the closings in connection with sales or re-leases of the Assets and the acquisition of any Remaining Initial Assets (including any Substitute Assets therefor) and any Replacement Assets, if required (it being understood that the Administrative Agent will not be obligated to provide legal counsel or legal or technical services to WEST and each other Managed Group Member); (iii) Documentation support; providing all necessary administrative support to complete any documentation and other related matters; and (iv) Appointments; appointing counsel and other appropriate professional advisers to represent WEST and each other Managed Group Member in connection with any such closings.
Closing Services. For purposes of closing services, Developer shall: 1. Prepare the escrow agreement and closing documents, including a closing memorandum identifying all parties involved in the closing, and listing all documents to be executed and/or delivered in connection with the closing. 2. Attend closings; provide curative documents and exhibits as required and in conjunction with the applicable title company. Confirm that all conditions to closing are satisfied and notify TxDOT of all closing appointments. 3. Coordinate with TxDOT and the applicable title company to obtain an updated title commitment within 24 hours prior to closing and then obtain an issued title policy based on the approved updated title commitment within 30 Days following closing and transmit the same to TxDOT. 4. Obtain and deliver to TxDOT one certified copy of each instrument of conveyance immediately after closing, and provide a copy of the title policy to TxDOT within five Business Days after receipt. Cause to be delivered to TxDOT a copy of the recorded deed within ten Days after the title company receives the recorded deed.
