Collaborative Master Planning Process and Community Engagement. The Developer will conduct a master planning process in collaboration with the Authority, the Golden Gate Village community and other stakeholders in order to develop a Master Plan for the Project. The Master Plan is intended to form the basis of the Master Developer Agreement. The master planning and Environmental Review processes will be governed by a combined Scope of Work and Schedule attached to this Agreement as Exhibit B (the "Work") and a Budget attached to this Agreement as Exhibit C, each incorporated in this Agreement by this reference; and Developer will use reasonable diligent efforts to accomplish the tasks and activities listed in Exhibit B and Exhibit C. The Parties will pay entirely from their own funds, or funds available to them, their respective costs shown in the Budget attached hereto. The Authority will have no obligation to fund any costs included in the Budget, except as otherwise expressly provided in the Budget and actually incurred as part of the master planning process. No later than 90 days after the date of this Agreement, the Parties shall negotiate and attach hereto as Exhibit D, a business term sheet outlining the material terms and conditions pursuant to which the Parties will proceed to accomplishing the obligations set forth in this Agreement (the "Business Terms "). The Business Terms shall be incorporated herein by this reference once attached. All third-party costs for the Work will be paid one-half by the Authority and one-half by the Developer, upon presentation of proper invoices for the same by the third-parties engaged to do such Work. Developer will not be required to pay such costs and seek reimbursement from the Authority for the Authority's one-half share of such costs. Instead, Developer will submit to the Authority a draw request not more frequently than one-time during each calendar month. The draw request shall be in a form containing sufficient detail and with sufficient supporting documentation, including, but not limited to, invoices for Work performed, and such other documents as determined necessary or appropriate in the reasonable discretion of the Authority to permit the Authority to confirm that such Work was performed. Authority will pay its share of the approved costs to the Developer, or at its election, disburse its share of the cost directly to the third-party identified in the requisition from Developer.   • Development cooperation 1. The Parties recognise that development cooperation is a crucial element of their Partnership and an essential factor in the realisation of the objectives of this Agreement as laid down in Article 1. This cooperation can take financial and non-financial forms.

  • Research, Science and Technology Cooperation 1. The aims of cooperation in research, science and technology, carried out in the mutual interest of the Parties and in compliance with their policies, will be: (a) to build on existing agreements already in place for cooperation on research, science and technology; (b) to encourage, where appropriate, government agencies, research institutions, universities, private companies and other research organizations in the Parties to conclude direct arrangements in support of cooperative activities, programs or projects within the framework of this Agreement, specially related to trade and commerce; and (c) to focus cooperative activities towards sectors where mutual and complementary interests exist, with special emphasis on information and communication technologies and software development to facilitate trade between the Parties. 2. The Parties will encourage and facilitate, as appropriate, the following activities including, but not limited to:

  • Development Plan document specifying the work program, schedule, and relevant investments required for the Development and the Production of a Discovery or set of Discoveries of Oil and Gas in the Contract Area, including its abandonment.

  • Alignment with Modernization Foundational Programs and Foundational Capabilities The activities and services that the LPHA has agreed to deliver under this Program Element align with Foundational Programs and Foundational Capabilities and the public health accountability metrics (if applicable), as follows (see Oregon’s Public Health Modernization Manual, (xxxx://xxx.xxxxxx.xxx/oha/PH/ABOUT/TASKFORCE/Documents/public_health_modernization_man ual.pdf):
