Communication procedures in case of Exceptional Events. (a) Each Party shall operate its System, in a way to minimise the impact of any Exceptional Event. (b) Each Party shall inform the other upon becoming aware of an actual or expected Exceptional Event, by communicating to the references listed in the Contact List in accordance with the procedure set out below: i. Should an Exceptional Event occur in the DESFA or Gastrade System, which influences or may influence the Natural Gas flow through the Entry Point, the Party whose system is affected shall inform the other Party as soon as reasonably possible and in any case by no later than 20 minutes of that Party becoming aware of the occurrence of the Exceptional Event. ii. As soon as possible and in any case by no later than in 24 hours of the Party whose System is affected, becoming aware of the occurrence of the Exceptional Event, the affected Party shall prepare and submit to the other Party a preliminary report in the form set out in Error! Reference source not found.(d) (Exceptional Event Notice) including as a minimum the following, all as known and estimated by the Party at the time of the submission of the preliminary report: a. Description of the Exceptional Event and the causes of its occurrence; b. Hour of occurrence of the Exceptional Event and the estimated time of its ceasing or elimination; c. Available Entry Point capacity until the Exceptional Event’s ceasing or elimination; d. The possible impact on the quantities and quality of Natural Gas that can be transported through the Entry Point e. The possible impact on the Confirmed Quantities for the Shippers active at the Entry Point; and f. Operations necessary for the restoration of the Entry Point capacity; iii. The affected Party in whose system the Exceptional Event occurred shall inform the other Party regularly, on the progress of the remedial actions. Mutual remedial actions will be agreed upon and applied, if needed. iv. Upon completion of the Exceptional Event repair works, or ceasing of the Exceptional Event, the affected Party shall inform the other Party of the restoration of the Entry Point capacity. (c) The provisions of this Article 6.1, and all the other provisions of this Agreement applying when an Exceptional Event occurs, shall also apply when any unplanned event occurs, irrespective of whether it would have been reasonably controllable or preventable, that may cause, for a limited period, capacity reductions, affecting thereby the quantity or quality of gas at the Entry Point,...

In the event of an Exceptional Event occurring in the territory of either Party and if this may affect the flow of Gas through the IP Faxe, the relevant dispatching center is obliged to notify the other Party by phone as soon as possible, taking into account higher-priority safety-driven actions. The notification shall contain the following information: 4.1.1. The character and the cause of the Exceptional Event; 4.1.2. The impact on the volume of Gas to be transported through IP Faxe and the expected pressure level; 4.1.3. The possible impact on the Confirmed Quantities for Shippers active at IP Faxe; 4.1.4. The expected duration of the Exceptional Event, including the estimated time of its removal. 4.2. The information shall be subsequently confirmed in writing by email, in accordance with an agreed form. 4.3. Furthermore, the Parties shall as soon as possible inform each other by phone of: 4.3.1. Any change in the agreed or carried out maintenance works, 4.3.2. Completion dates for maintenance works and contingency situations in the transmission system of either Party, which resulted in the restriction of transmission capacity through the IP Faxe, 4.3.3. Any connections along cross-border pipeline sections that may affect the transmission of Gas through the IP Faxe, 4.3.4. Any significant change in the quality parameters of the natural gas flowing towards the IP Faxe. 4.4. The information shall be subsequently confirmed in writing. 4.5. The dispatching centres shall inform each other on the progress of the ongoing maintenance works and steps taken in order to remove a failure, emergency or contingency situation at least every four hours, or more frequently in exceptional situations on request of the other Party. 4.6. In cases of Exceptional Events, the Parties shall at least perform an oral communication in English for information, followed by an electronic written confirmation and coordinate the necessary actions to minimise the impact of such event on the Shippers. 4.7. The Party affected by an Exceptional Event shall be required, as a minimum, to inform its Shippers with respect to the information described in point b) and c) below if there is a potential impact on their Confirmed Quantities and the adjacent TSO with respect to point a) and c) of this clause of the occurrence of such Exceptional Event and to provide all necessary information about: a) The possible impact on the quantities and quality of the Gas that can be transported through th...

  • Certification of Funds; Budget and Fiscal Provisions; Termination in the Event of Non-Appropriation This Agreement is subject to the budget and fiscal provisions of the City’s Charter. Charges will accrue only after prior written authorization certified by the Controller, and the amount of City’s obligation hereunder shall not at any time exceed the amount certified for the purpose and period stated in such advance authorization. This Agreement will terminate without penalty, liability or expense of any kind to City at the end of any fiscal year if funds are not appropriated for the next succeeding fiscal year.   • CONDITIONS OF SETTLEMENT, EFFECT OF DISAPPROVAL, CANCELLATION OR TERMINATION 9.1. The Effective Date of this Settlement Agreement shall not occur unless and until each and every one of the following events occurs: (a) This Agreement has been signed by the Parties and Class Counsel, and the individual settlement agreements with Xxxxxxxxx Xxxxx, the heirs of Xxxxx Xxxxx, Xxxxxx Xxxxxxxxx, and Xxxxxx Xxxxxxxx-Xxx have been fully executed; (b) The Court has entered an order granting Preliminary Approval of the Agreement; (c) The Court has entered a Final Approval Order finally approving the Agreement, or a judgment substantially consistent with this Settlement Agreement that has become final and unappealable, following Notice and a Final Approval Hearing, as provided in the Federal Rules of Civil Procedure; and (d) In the event that the Court enters an approval order and final judgment in a form other than that provided above (“Alternative Approval Order”) to which the Parties have consented, that Alternative Approval Order has become final and unappealable. 9.2. If some or all of the conditions specified in Paragraph 9.1 are not met, or in the event that this Settlement Agreement is not approved by the Court, or the settlement set forth in this Agreement is terminated or fails to become effective in accordance with its terms, then this Settlement Agreement shall be canceled and terminated subject to Paragraph 9.3, unless Class Counsel and Defendant’s Counsel mutually agree in writing to proceed with this Agreement. If any Party is in material breach of the terms hereof, any other Party, provided that it is in substantial compliance with the terms of this Agreement, may terminate this Agreement on notice to all other Parties. Notwithstanding anything herein, the Parties agree that the Court’s decision as to the amount of the Illinois Fee Award and Ohio Fee Award to Class Counsel set forth above or the incentive award to the Class Representatives, regardless of the amounts awarded, shall not prevent the Agreement from becoming effective, nor shall it be grounds for termination of the Agreement. 9.3. If this Agreement is terminated or fails to become effective for the reasons set forth in Paragraphs 6.1, 6.2, 9.1, or 9.2 above, the Parties shall be restored to their respective positions in the Action as of the date of the signing of this Agreement. In such event, any Final Approval Order or other order entered by the Court in accordance with the terms of this Agreement shall be treated as vacated, nunc pro tunc, and the Parties shall be returned to the status quo ante with respect to the Actions as if this Agreement had never been entered into, including Defendant’s right to seek to compel arbitration as to the Plaintiffs named in the Second Amended Complaint. 9.4. In the event the Settlement is terminated or fails to become effective for any reason, the Illinois Settlement Fund and Ohio Settlement Fund, together with any earnings thereon at the same rate as earned, less any taxes paid or due, less Settlement Administrative Expenses actually incurred and paid or payable from the Settlement Fund, shall be returned to Defendant or its Insurer within thirty (30) calendar days after written notification of such event in accordance with instructions provided by Defendant’s Counsel to the Settlement Administrator.

  • Alternative Calculations and Payment on Early Termination and on Certain Extraordinary Events If (a) an Early Termination Date (whether as a result of an Event of Default or a Termination Event) occurs or is designated with respect to the Transaction or (b) the Transaction is cancelled or terminated upon the occurrence of an Extraordinary Event (except as a result of (i) a Nationalization, Insolvency or Merger Event in which the consideration to be paid to holders of Shares consists solely of cash, (ii) a Merger Event or Tender Offer that is within Counterparty’s control, or (iii) an Event of Default in which Counterparty is the Defaulting Party or a Termination Event in which Counterparty is the Affected Party other than an Event of Default of the type described in Section 5(a)(iii), (v), (vi), (vii) or (viii) of the Agreement or a Termination Event of the type described in Section 5(b) of the Agreement, in each case that resulted from an event or events outside Counterparty’s control), and if Dealer would owe any amount to Counterparty pursuant to Section 6(d)(ii) of the Agreement or any Cancellation Amount pursuant to Article 12 of the Equity Definitions (any such amount, a “Payment Obligation”), then Dealer shall satisfy the Payment Obligation by the Share Termination Alternative (as defined below), unless (a) Counterparty gives irrevocable telephonic notice to Dealer, confirmed in writing within one Scheduled Trading Day, no later than 12:00 p.m. (New York City time) on the Merger Date, Tender Offer Date, Announcement Date (in the case of a Nationalization, Insolvency or Delisting), Early Termination Date or date of cancellation, as applicable, of its election that the Share Termination Alternative shall not apply, (b) Counterparty remakes the representation set forth in Section 8(f) as of the date of such election and (c) Dealer agrees, in its sole discretion, to such election, in which case the provisions of Section 12.7 or Section 12.9 of the Equity Definitions, or the provisions of Section 6(d)(ii) of the Agreement, as the case may be, shall apply.

  • Procedures Amendments (a) Procedures. Each time HII delivers to the Series B Member Representative an applicable Schedule under this Agreement, including any Amended Schedule, but excluding any Early Termination Schedule or amended Early Termination Schedule, HII also shall (x) deliver to the Series B Member Representative the Corporation Return, along with schedules and work papers, as determined by HII or requested by the Series B Member Representative, providing reasonable detail regarding the preparation of such Schedule and (y) allow the Series B Member Representative reasonable access to the appropriate representatives of HII and the Advisory Firm in connection with a review of such Schedule. Each party shall bear its own expenses associated with such review and investigation. The applicable Schedule shall become final and binding on all parties unless the Applicable Series B Member, within 30 calendar days after an Exchange Basis Schedule or amendment thereto or a Tax Benefit Schedule or amendment thereto was provided to the Series B Member Representative, provides HII with notice of a material objection to such Schedule (“Objection Notice”) made in good faith. If HII and the Applicable Series B Member are unable to resolve the issues raised in such notice within 30 calendar days of receipt by HII of an Objection Notice with respect to such Exchange Basis Schedule or Tax Benefit Schedule, HII and the Series B Member Representative shall employ the reconciliation procedures as provided for in Section 7.09 of this Agreement (the “Reconciliation Procedures”); provided that, to the extent that the matter at issue affects an Applicable Series B Member but not the Series B Member Representative, the Reconciliation Procedures shall be employed, mutatis mutandis, by HII and the relevant Applicable Series B Member.

  • Effective Date; Termination; Cancellation and Suspension Section 4.01. This Agreement shall come into force and effect on the date upon which the Development Credit Agreement becomes effective. Section 4.02. (a) This Agreement and all obligations of the Association and of Republika Srpska thereunder shall terminate on the earlier of the following two dates: (i) the date on which the Development Credit Agreement shall terminate; or (ii) a date twenty (20) years after the date of this Agreement.
