COMPENSATION AND SCHEDULE. A. The Company will engage the Advisor for six ( 6) months starting approximately September 1, 2014 and ending approximately February 28, 2015. By November 30, 2014, the Company will confirm that the engagement will terminate on February 28, 2015. Any extension of the engagement will be upon mutual agreement of the Advisor and the Company. The Company will pay the Advisor the amount of $5,000.00 per month during the engagement. The payment will be made by check during the last week of each month.
a. It is expected that the Advisor may be engaged during the Company’s Phase 2 trial and/or after T121 Phase 2 data is available but that engagement and the terms of that engagement will be decided by the Company and the Advisor at a later time.

Such 16 meetings shall be scheduled on a regular basis and the Hospital will make a 17 reasonable effort to release members from duty when necessary to attend 18 scheduled meetings. 19
COMPENSATION AND SCHEDULE. Each Work Order will outline how the CONSULTANT will be compensated for services, i.e., Lump Sum or Time and Expense basis. In addition, Work Orders will define the schedule for completing work assignments.

Subject to the terms and conditions set forth herein, SERC shall provide the services of an Athletic Trainer for each school listed in Paragraph II.B. on days and at times agreed upon by both parties. Athletic Trainer will also provide afternoon visits to the School during lunch hours twice a week during the fall and winter sport seasons and once a week during the spring season, at times agreed upon by both parties. SERC will be providing these services free of charge to the school, as a community outreach service.
B. As in-kind compensation for the Athletic Trainer Services provided hereunder, School shall provide the marketing support set forth on Exhibit A hereto, which is incorporated in and made a part of this Agreement.
C. In the event two or more athletic events occur on the same day and at the same time at two or more locations, SERC and the School shall mutually agree on a case-by- case basis where Athletic Trainers shall provide coverage (e.g., at home or away events).
D. SERC reserves the right to prioritize Athletic Trainer responsibilities and location assignments based on the needs of injured Athletes and at the School. Unavoidable changes in Athletic Trainer coverage initiated by SERC will be communicated by SERC to each school’s Athletic Director.
E. The School shall provide a training room, equipment and supplies sufficient for Athletic Trainers to provide Services hereunder and for provision of appropriate care to Athletes. It is understood and agreed that SERC may provide certain equipment and supplies for the training room.
