Compliance with Franchise Agreement. To the extent any of the provisions of the Franchise Agreement impose a greater obligation on Lessee than the corresponding provisions of this Lease, then Lessee shall be obligated to comply with the provisions of the Franchise Agreement except in regard to those obligations which are the responsibility of Lessor as provided herein. It is the intent of the parties hereto that Lessee shall comply in every respect with the provisions of the Franchise Agreement so as to avoid any default thereunder during the term of this Lease. Lessee shall not terminate, extend or enter into any modification of the Franchise Agreement without in each instance first obtaining Lessor’s prior written consent. Lessor and Lessee agree to cooperate with each other in the event it becomes necessary to obtain a franchise extension or modification or a new franchise for the Leased Property, and in any transfer of the Franchise Agreement to Lessor (if applicable) or any designee of or any successor to Lessee (as applicable) upon the termination of this Lease. In the event of expiration or termination of a Franchise Agreement, for whatever reason, the Lessor will have the right, in its sole discretion, to approve any new Franchise Agreement for the Facility. If, upon any expiration or earlier termination of this Lease (other than upon an Event of Default by Lessee), a Franchise Agreement remains in effect, or would but for such expiration or termination remain in effect, Lessor shall indemnify, defend and hold Lessee harmless with respect to the obligations and liabilities arising thereunder after the date of expiration or termination of this Lease.

Compliance with Franchise Agreement. Tenant shall substantially comply with all material terms and provisions of the Franchise Agreement (or any replacement thereof) to be complied with by Tenant, subject to Tenant's right to pursue all available remedies, at law and in equity, with respect to any alleged default by Tenant in the performance of its duties and obligations under the Franchise Agreement, or otherwise contest, in good faith and with due diligence, any such alleged default by Tenant. Unless required by Applicable Laws, Tenant shall not enter into any modifications or amendments of the Franchise Agreement, nor, except as otherwise expressly set forth in this Agreement or the Owner Agreement, terminate the same prior to the expiration thereof, without Landlord's prior written consent; nor shall Tenant enter into any replacement of the Franchise Agreement without Landlord's prior written consent. To the extent required by this Section 21.6, Landlord's consent shall not be unreasonably withheld or conditioned so long as any such modification, amendment, termination or replacement of the Franchise Agreement does not materially and adversely affect the duties and obligations of the parties thereunder.

It is the intent of the parties hereto that Lessee shall comply in every respect with the provisions of the Franchise Agreement so as to avoid any default thereunder during the Term. Lessee shall not terminate or enter into any modification of the Franchise Agreement without in each instance first obtaining Lessor's written consent. Compliance with Franchise Agreement. The Marketer acknowledges that the Franchisor is delegating certain of its responsibilities to Franchisees in the Territory to the Marketer. The responsibilities to Franchisees are to be performed by the Marketer as described herein or as may in the future be set forth in the System Manual or other reasonable standards and specifications as may be provided by the Franchisor from time to time, and the Marketer's responsibilities to Franchisees will not materially change during the term of this Agreement. In the performance of services to Franchisees operating PAK MAIL Centers located in the Territory, the Marketer shall in all respects comply with the terms and conditions of any Franchise Agreement or other agreement in effect between the Franchisee and the Franchisor. The Marketer understands, however, that its rights as an area marketer are only by virtue of this Agreement and that it is not in any manner a party, third party beneficiary or holder of any other right, title or interest in or to any Franchise Agreement, unless it is a Franchise Agreement in which the Marketer is the Franchisee.

If the Franchise Agreement expires prior to the expiration of the Lease Term, Lessee, with the prior approval of Lessor, shall endeavor to obtain a new or extended franchise license. Lessee shall be the franchisee under any such franchise agreement. In the event of a change in the franchise for the Leased Property, Lessor and Lessee shall promptly negotiate in good faith appropriate and mutually acceptable modifications to the Rent terms for such Leased Property under this Lease. In the event that Lessor and Lessee are unable to agree, within sixty (60) days after such change in the franchise, that modifications to the Rent terms are warranted by the change in franchise or to agree on appropriate modifications to the Rent terms either Party may elect to submit the matter to arbitration pursuant to Article XLI hereof. During the pendency of the negotiations and/or arbitration, Lessee shall continue to pay Rent in accordance with the terms of the Lease, with possible retroactive adjustments based on the outcome of the negotiations and/or arbitration. To the extent required by the Franchise Agreement, Lessor shall secure its obligations to make capital expenditures or pay real property taxes by either depositing the required funds in escrow with an escrow agent acceptable to the franchisor or by dedicating for such purpose a portion of Lessor's line of credit either by issuance of a letter of credit in favor of the franchisor or in some other manner acceptable to the franchisor. If upon any expiration or earlier termination of the Lease (other than upon an Event of Default by Lessee), a Franchise Agreement remains in effect, or would but for such expiration or termination remain in effect, Lessor shall indemnify, defend and hold Lessee harmless with respect to the obligations and liabilities arising thereunder after the date of expiration or termination ...

Compliance with Franchise Agreement. Lessor will pay any costs and expenses in connection with the assignment of any existing Franchise Agreement to Lessee or to obtain a new Franchise Agreement. Lessee shall comply in every respect with the provisions of the Franchise Agreement so as to avoid any default thereunder during the term of this Lease, except to the extent such compliance is an obligation of Lessor pursuant to the terms of this Lease. Compliance with Franchise Agreement. On or before the Commencement Date, the Lessor shall deliver to the Lessee any existing Franchise Agreement applicable to the Leased Property along with an estoppel certificate from the franchisor certifying, among other things, that no default exists under the Franchise Agreement, the current physical condition of the Leased Property satisfies the current quality standards of the franchisor and that all franchise fees and other payments or obligations of the current franchisee under the Franchise Agreement are current. It is the intent of the parties hereto that Lessee shall comply in every respect with the provisions of the Franchise Agreement so as to avoid any default thereunder during the term of this Agreement. Compliance with Franchise Agreement. The Hotel will be operated in compliance with the Franchise Agreement, and the Franchise Agreement will control in case of conflict with the Lease.
