I understand that I may receive, access, or handle data and information that is confidential in performing CM duties. I agree not to disclose any confidential information, including MTAC’s policies and procedures and other copyrighted materials, to any third party, including students and parents, without the prior written consent of MTAC.

Confidential Information; Privacy. 11.1 The parties agree not to disclose each other’s confidential information without prior written consent, unless required or authorised by law.
11.2 Notwithstanding clause 11.1, You acknowledge that information contained in or provided under this Agreement can be used by the CBF for public reporting purposes.
11.3 You also acknowledge that where personal information is supplied to the CBF:
A. it can be used to assist in providing resources and other services to community broadcasters and community broadcasting organisations, and in meeting the CBF’s responsibilities as the funding agency for the community broadcasting sector; and
B. it may be shared with other community broadcasting sector representative organisations, consultants and funding providers.
11.4 You agree to comply with all Privacy Laws, including the Australian Privacy Principles, when dealing with Personal Information in carrying out the Activity or any other obligation of Yours under this Agreement.
11.5 You warrant that You and Your related entities that collect personal information to provide to the CBF under a Grant funding application, pursuant to this Agreement or for related purposes, ensured that the individuals concerned:
A. consented to the provision of their personal information to the CBF; and B. have been advised where they can obtain the CBF Privacy Policy.
Confidential Information; Privacy a) Each Party shall safeguard and hold confidential from disclosure to unauthorized parties all "Confidential Information" of any other Party, which term "Confidential Information" shall mean any and all information which is in any way connected with, derived from or related to the business of such Party, including without limitation, any business and financial records, any retail or institutional customer information, computer programs, technical data, investment information, lists, compilations, compositions, programs, plans, devices, descriptions, drawings, methods, techniques, processes, designs, theories concepts or ideas, and any information relating to the pricing or marketing policies, suppliers or customers of a Party.

Confidential Information; Privacy. 1. All data and information related to each party, its affiliates and its shareholders, employees, directors and agents and/or to its business, products and services are confidential information of the disclosing party ("Confidential Information"). "Confidential Information" does not include information: (i) that is or becomes part of the public domain through no act or omission of the receiving party; (ii) that is lawfully received by the receiving party from a third party without restriction on use or disclosure and without breach of this Agreement or any other agreement without knowledge by the receiving party of any breach of fiduciary duty, or (iii) that the receiving party had in its possession prior to the date of this Agreement. The receiving party agrees to protect the Confidential Information in accordance with good industry practices and keep confidential and not disclose, disseminate, allow access to or use any Confidential Information to any third party except as required for exercising its rights or fulfilling its obligations herein, including without limitation for the provision your use of the Solution. Either party shall restrict disclosure of Confidential Information to those of its employees and consultants with a reasonable need to know such information and which are bound by written confidentiality obligations no less restrictive than those set out herein. Without derogating from the foregoing, either party may disclose this Agreement in connection with a merger, sell or issuance of shares and sale of all or substantially all of such party's assets.
8.2. You acknowledge and agree that the Solution scans the system you allow OpenLegacy to access through use of the Solution. You hereby agree to and shall ensure that all users of the Solution in your organization agree to the terms of the OpenLegacy Privacy Policy available at: xxxxx://xxx-xxxxxxx.xxxxxxxxxx.xxx/en/article/openlegacy- privacy-policy-privacy-policy.
Confidential Information; Privacy. You will not use or disclose any Confidential Information, except as expressly authorized by this Agreement, and will protect all such Confidential Information using the same degree of care which you use with respect to your own proprietary information, but in no event with safeguards less than a reasonably prudent business would exercise under similar circumstances. Your obligations regarding the protection of Confidential Information will survive any expiration or termination of this Agreement. You will take prompt and appropriate action to prevent unauthorized use or disclosure of Confidential Information. If any Confidential Information must be disclosed to a third party by reason of legal, accounting, or regulatory requirements beyond your reasonable control, you will promptly notify Wind River of the order or request and permit Wind River (at its own expense) to seek an appropriate protective order. By accessing and using the Cloud Service, you agree to the terms of Wind River’s Privacy Statement and other applicable policies located at xxxx://xxx.xxxxxxxxx.xxx/company/terms/privacy.html, as updated by Wind River from time to time. If you reside outside of the United States, these terms may not apply to you and you may have other legal rights that vary from jurisdiction to jurisdiction. To the extent permitted by applicable law, you hereby consent to provide information pursuant to the registration form for the Cloud Service and subject to the Wind River privacy policy.
