CONFIDENTIAL OPERATIONS MANUAL. A. Franchisor will loan to Franchisee during the term of the franchise one (1) or more copies of a Confidential Operations Manual containing reasonable, mandatory and suggested specifications, standards, operating procedures and rules prescribed from time to time by Franchisor for EASYRIDERS businesses and information relative to other obligations of Franchisee hereunder and the operation of its Franchised Business. Franchisor shall have the right to add to and otherwise modify the Confidential Operations Manual from time to time to reflect changes in the specifications, standards, operating procedures and rules by Franchisor for EASYRIDERS businesses, provided that no such addition or modification shall alter Franchisee's fundamental status and rights under this Agreement. B. The Confidential Operations Manual shall at all times remain the sole property of Franchisor and shall promptly be returned upon the expiration or other termination of this Agreement. Franchisee shall not to make any disclosure, duplication or other unauthorized use of any portion of the Confidential Operations Manual. C. The Confidential Operations Manual contains proprietary information of Franchisor and shall be kept confidential by Franchisee both during the term of the franchise and subsequent to the expiration or termination of the franchise. Franchisee shall at all times insure that its copy of the Confidential Operations Manual is available at the Franchised Business premises in a current and up-to-date manner. At all times that the Confidential Operations Manual is not in use by authorized personnel, Franchisee shall maintain the Confidential Operations Manual in a locked receptacle at the Franchised Premises, and shall only grant authorized personnel, as defined in the Confidential Operations Manual, access to the key or lock combination of such receptacle. In the event of any dispute as to the contents of the Confidential Operations Manual, the terms of the master copy of the Confidential Operations Manual maintained by Franchisor at Franchisor's home office shall be controlling.

CONFIDENTIAL OPERATIONS MANUAL. Franchisor will lend Franchisee a copy of The Car Wash Guys System Confidential Operations Manual (as it may be revised, the “Confidential Operations Manual”) to use during the term of this Agreement. Franchisor may revise the contents of the Confidential Operations Manual to convey to Franchisee advancements and new developments in sales, marketing, operational techniques and other items and procedures relevant to the operation of the Franchised Business. Franchisor will send new pages or a completely revised Confidential Operations Manual to Franchisee, at no cost to Franchisee. Franchisee shall bear the responsibility and the cost of translating the Confidential Operations Manual into any language other than English. Franchisee shall promptly arrange for any such translation and submit it to Franchisor for approval. All right, title and interest in and to such translated materials and directives shall vest in Franchisor and Franchisee shall execute (and cause to be executed by the translator and/or Franchisee’s employees and agents) such documents as Franchisor may require for this provision to be given full effect.

CONFIDENTIAL OPERATIONS MANUAL. During the term of this Agreement, we will loan you one copy of our manuals (the "Manuals"), consisting of such materials (including, as applicable, audiotapes, videotapes, magnetic media, computer software and written materials or other formats) that we generally furnish to franchisees from time to time for use in operating a WOB Tavern. The Manuals may be provided to you in electronic form and by any means of e-commerce we designate. The Manuals contain mandatory and suggested specifications, standards, operating procedures and rules ("System Standards") that we prescribe from time to time for the operation of a WOB Tavern and information relating to your other obligations under this Agreement and related agreements. You agree to follow the System Standards and other standards, specifications and operating procedures we establish periodically for the System that are described in the Manuals. We also reserve the right to make the Manuals accessible to you on-line via computer systems or other electronic format (like Internet, Intranet, CD-Rom, Websites or e-mail). You also must comply with all updates and amendments to the System as described in newsletters or notices we distribute, including via computer systems (e.g., internet, CD or other media we select). Any form of the Manuals we make accessible to you on-line will be deemed our Confidential Information. You agree to maintain the Manuals as confidential and maintain the information in the Manuals as secret and confidential. The Manuals may be modified, updated and revised (in written or electronic format) by us from time to time to reflect changes in System Standards. You agree to keep your copy of the Manuals, if any, current and in a secure location at the WOB Tavern. In the event of a dispute relating to its contents, the master copy of the Manuals we maintain at our principal office will be controlling. However, in the event we utilize on-line Manuals, the most recent online Manuals will control any disputes between the on-line version and printed copies of the Manuals. You may not at any time copy, duplicate, record or otherwise reproduce any part of the Manuals. If your copy of the Manuals is lost, destroyed or significantly damaged, you agree to obtain a replacement copy at our then applicable charge (unless we have made on-line Manuals accessible to you, in which case you may utilize the on-line Manuals instead of purchasing replacement Manuals).

CONFIDENTIAL OPERATIONS MANUAL. ITI shall lend to Licensee, at no additional charge, a copy of the Confidential Operations Manual as specified in section 5.1. 1. The Licensee acknowledges and agrees as follows: 2.2.1 ITI has determined that certain Program Delivery, and certain other policies, systems, techniques and materials are essential to the successful operation of an Institute. In order to protect the reputation and goodwill of the businesses operating under the ITI System and to maintain standards of operation under the Licensed Marks, Licensee agrees to operate its Institute in accordance with the Confidential Operations Manual, including such amendments thereto, as ITI may publish from time to time, all of which Licensee acknowledges belong solely to ITI and shall be 8 on loan from ITI during the term of this Agreement. Should Licensee lose one or more of the Confidential Operations Manual or supplements, ITI may impose a reasonable charge for replacement manuals or supplements issued to Licensee. The standards, specifications or requirements established by ITI for Licensee, unless otherwise indicated, shall be set forth in this Agreement or may, from time to time, be set forth by ITI in the Confidential Operations Manual. 2.2.2 Licensee shall at all times use its best efforts to keep the information in the Confidential Operations Manual, the Confidential Operations Manual itself and any other manuals, materials, goods and information created or used by ITI and designated for confidential use within the ITI System confidential and shall limit access to employees of Licensee on a need-to-know basis, on this same confidential basis. 2.2.3 Licensee understands and acknowledges that the ITI System serves markets and operates under market conditions that are continuously changing and evolving, and that new and different standards, procedures, curricula, and techniques will be developed and recommended by ITI in response to those changes, or other conditions in the ITI System, to maintain and/or enhance the quality of services provided by Licensee, and the reputation and goodwill of the ITI System and its institutes. Accordingly, Licensee understands and acknowledges that ITI may, from time to time, revise the contents of the Confidential Operations Manual to implement new or different requirements for the ITI System, and Licensee expressly agrees to comply with all such changed requirements which are by their terms mandatory, within 90 days of being notified by ITI of such changed r...

CONFIDENTIAL OPERATIONS MANUAL. We will loan you one set of confidential Operations Manuals and such other manuals and written materials as we shall have developed for use in the Franchised Business (as the same may be revised by us from time to time, the “Manuals”), as more fully described in Section 10.1. The Manuals may, in our discretion, be provided electronically or via an intranet website for all BurgerFi Restaurants in the System.

Franchisor shall have the right to add to and otherwise modify the Confidential Operations Manual from time to time to reflect changes in the specifications, standards, operating procedures and rules prescribed by Franchisor for the A/TS Network, provided that no such addition or modification shall alter Franchisee's fundamental status and material rights under this Agreement. Franchisee shall immediately upon notice adopt any and all such changes. 7.2 The Confidential Operations Manual (and any copies thereof) shall at all times remain the sole property of Franchisor and shall be returned promptly by Franchisee to Franchisor, at Franchisee's expense, immediately upon the expiration or other termination of this Agreement.

We shall have the right to add to and otherwise modify the Manual from time to time to reflect changes in the specifications, standards, operating procedures and rules prescribed by us for CHANGE OF MIND LEARNING SYSTEMS businesses, provided that no such addition or modification shall alter your fundamental status and material rights under this Agreement. You shall immediately upon notice adopt any such changes. B. The Manual shall at all times remain our sole property and shall promptly be returned, upon the expiration or other termination of this Agreement. You shall not make any disclosure, duplication or other unauthorized use of any portion of the Manual. C. The Manual contains proprietary information of ours and shall be kept confidential by you both during the term of this Agreement and after its expiration or termination. You shall at all times ensure that your copy of the Manual be available at the Premises in a current and up-to-date manner. Franchisor may revise the contents of the Confidential Operations Manual to convey to Franchisee advancements and new developments in sales, marketing, operational techniques and other items and procedures relevant to the operation of the Franchised Business. Franchisor will send new pages, diskettes or a completely revised Confidential Operations Manual to Franchisee, at no cost to Franchisee. Franchisee shall bear the responsibility and the cost of translating the Confidential Operations Manual into any language other than English. Franchisee shall promptly arrange for any such translation and submit it to Franchisor for approval. All right, title and interest in and to such translated materials and directives shall vest in Franchisor and Franchisee shall execute (and cause to be executed by the translator and/or Franchisee’s employees and agents) such documents as Franchisor may require for this provision to be given full effect.
