Confidentiality and Personal Information. Each party shall keep confidential all the terms of this Agreement and all information received from the other party regarding the Services (including personal information received from the other party), including any information received with respect to products of the other party, and to use and disclose such information only for the purposes set forth in this Agreement unless: (i) otherwise agreed to in writing by the party from which such information was received; (ii) required to be disclosed by a governmental order or applicable law; or (iii) the party receiving such information can demonstrate that the information: (A) was publicly known at the time of disclosure to it, or has become publicly known through no act of such party; or (B) was rightfully received from a third party without a duty of confidentiality. Notwithstanding the foregoing, the Service Provider will not be prohibited from disclosing the mere fact that it is performing Services under this Agreement. All personal information received from the other party shall be maintained in accordance with applicable laws.

Each party will regard and preserve as confidential, and abstain from using, any and all Confidential Information (as defined below) to the business of the other party to this agreement, its parent company and its subsidiaries and affiliated companies and its or their Clients, that may be obtained from any source as a result of this Agreement. Confidential Information means any information, oral or written, whether or not identified as confidential, obtained by a party in the performance of its obligations under this Agreement or otherwise made available to it in the context of this Agreement, which relates to the other party’s or the other party’s affiliates’ businesses, operations, assets, liabilities, finances, financial statements, accounting, sales, revenue, expenses, earnings, markets, market share, technical data, research, products, plans or strategies, trading activity or ideas, trade data, forecasts or forecast assumptions, analyses, compilations, studies, customers, procedures, services, marketing, merchandising or pricing or related information of the disclosing party, its parent company and its subsidiaries and affiliated companies or its or their clients concerning past, present or future business activities of such entities. Neither party will, without first obtaining the other’s prior written consent, disclose to any Person, or use for its benefit, any such Confidential Information. Confidentiality and Personal Information. 4.4.1 Other than set out in this clause, all information that we receive from you will be kept confidential and not disclosed to any third parties except in the normal course of business. The information may be disclosed if it is required by Applicable Law or an order of court of competent jurisdiction, or is already in the public domain, or has been received from a third party who is not in breach of a confidentiality agreement in releasing the information to us.
