CONSULTANT’S BASIC SERVICES. The Consultant agrees to provide complete consultant services necessary to complete planning, design, and construction administration of the Project. The Consultant agrees that all or part of the services may, in accordance with the direction of the Fund be authorized and funded by discrete phases and for one or more construction contracts. The Consultant agrees that it will begin the services upon receipt of the Notice to Proceed, that time is of the essence for delivery of the services for this Agreement and that the required services shall be performed in a diligent manner and with sufficient staffing. The phases authorized to be undertaken by the Consultant; the initial approved estimated cost of construction for the Consultant’s design of the Project (“Program Budget”); and the schedule (“Schedule”) required for the completion of Consultant design services will be initially set forth in Schedule “B”. The Fund will update the initial authorizations in Schedule “B” as the design of the Project progresses, through the letters approving the Consultant services and cost estimates by the phases as described in Article I, Section B of this Agreement (“Phase Approval Letters”). Consultant services shall include, but are not limited to, the following: Section A General Services (1) Determine, select and manage the staffing and subconsultants necessary for the timely performance of the services required hereunder to meet the Fund's program requirements, including the services of a Cost Analyst if required by the Fund. (2) Periodically advise the Fund of the progress of the planning, design and construction of the Project and any anticipated delay in the same. (3) Attend, together with its subconsultants, all conferences reasonably required by the Fund, and take, prepare and promptly distribute minutes of all such conferences. (4) Provide written responses within ten business days to all written comments submitted by the Fund. (5) Coordinate all the services to be provided hereunder with other projects being undertaken by the Consultant or by others.

CONSULTANT’S BASIC SERVICES. The Consultant agrees to undertake the services provided for under this Agreement, as may be directed by the Fund from time to time, in accordance with an assignment (Work Order Assignment or Assignment) issued by the Fund to the Consultant. This Agreement is the total of all assignments to be performed by the Consultant in accordance with the terms herein. An Assignment will provide for payment for the services in the amount set forth in the Assignment, up to the total compensation authorized under this Agreement in Article III. The Consultant agrees to notify the Fund of its acceptance of all of the terms and conditions of a Work Order Assignment within 10 (ten) business days of receipt of the particular Assignment by executing the Assignment and returning it to the Fund. Fund approved Work Order Assignments will be returned to the Consultant, specifying the start date for services and the Consultant agrees to commence services immediately. Each Work Order Assignment issued by the Fund will be for services for a particular assigned Project. The Assignment is a part of this Agreement and is substantially in the form as Schedule “B” attached to this Agreement. Each Work Order Assignment shall minimally contain the terms set forth in Schedule “B”, but may also include other items that the Fund deems appropriate for an Assignment. Each Assignment is governed by and incorporates by reference the terms and conditions of this Agreement. The Consultant agrees that time is of the essence in completing the services required for each Assignment under this Agreement and that required services shall be performed in a diligent manner and with sufficient staffing. In particular, Consultant agrees to ensure that all design phase services required to provide complete bidding documents under an Assignment shall be entirely completed and performed before the date specified in the Schedule and agrees to perform all services reasonably required to fulfill the Consultant’s role and responsibilities as set forth in the Construction Agreement(s) for each construction contract awarded for the Project. CONSULTANT’S BASIC SERVICES. 1. The Consultant shall perform the services as expeditiously as is consistent with the orderly progress of the work and to the degree of professional skill, care and judgment commensurate with that which is normally exercised by recognized professional firms performing similar services under similar circumstances to the Services required for this Project. 2. The Consultant shall perform the services in accordance with the schedule specified in Article III. B., Schedule of Performance. It shall be the Consultant's responsibility to promptly inform the Owner of any deviations from the schedule. 3. The Consultant shall, with the Owner's concurrence, designate any Subconsultants as may be necessary to fully accomplish the Services. Upon request, the Consultant shall furnish to the Owner a copy of the Consultant's contract(s) with its Subconsultants. 4. The Consultant shall cooperate with the Owner and shall coordinate its services with related work performed by the Owner and others. 5. The Consultant shall provide sufficient numbers of copies, as requested by the Owner, of draft and complete final project documents and reports called for in Article III. A.,

The Consultant shall perform the Services as expeditiously as is consistent with the orderly progress of the work and to the degree of professional skill, care, and judgment commensurate with that which is normally exercised by recognized professional firms performing similar services under similar circumstances to the Services required for this Project. 2. The Consultant shall perform the Services in accordance with the schedule specified in Article III., B., Schedule of Performance. It shall be the Consultant's responsibility to promptly inform State Parks of any deviations from the schedule. 3. The Consultant shall, with State Parks' concurrence, designate any Subconsultants as may be necessary to fully accomplish the Services. Upon request, the Consultant shall furnish to State Parks a copy of the Consultant's contract(s) with its Subconsultants. 4. Such documents and reports shall include, but not necessarily be limited to presentation materials, surveys, studies, drawings, maps, photographs, assessments, calculations, computer program files on electronic media and any other supportive data and materials as State Parks may reasonably require. 6. In the performance of this Agreement, the Consultant shall act as an independent contractor, maintaining full and complete control and responsibility for and over the Consultant's employees.

CONSULTANT’S BASIC SERVICES. The Agreement term is _______________ through _______________. The Projects to be performed under this Agreement may be subject to source selection. For each Project determined by the University as appropriate for performance under this Agreement a Request for Qualifications (RFQ), will be provided to the Consultant. If selected, the Project will be initiated by a Letter of Authorization issued by the University and countersigned by the Consultant. Such Letter of Authorization will contain, among other items, the Scope of Services to be accomplished, the time of completion of such services, and the fee to be paid to the Consultant for such services.
