Program Phase. Lump Sum Fee: described in Paragraph 2.4.
Program Phase. 2.4.1 The Professional shall meet with the Owner to ascertain the general requirements for the Project and shall meet with the Project Program Committee to define in more detail the Scope of the Project, the functional and departmental objectives of the Project, the relationship of the Project to other structures and facilities, and the criteria for selection of the site. The Professional shall advise the Owner and the Project Program Committee as to cost of the Project and time requirements for planning and construction. The Professional shall prepare and submit to the Owner a comprehensive written Project Program. The Program will include as a minimum the following elements:
1. Goal: Design objectives, limitations, and criteria
Program Phase a. Attendance at orientation meetings at the Project site and University office to review the terms of this Agreement, University procedural requirements at various development phases and the Program of the Project. For the purposes of the Agreement, the term "Program" includes: this Agreement, the Letter of Intent, the Scope of Services, State University Construction Fund Directives, and the comprehensive Project program addenda and the Program Budget.
b. Preparation of an analysis of the following factors: educational requirements; site and property requirements; environmental influences; availability, relocation, provision and extension of all utilities; local building practices; time schedules for all phases of the Project; budget and cost forecasts; pedestrian access and egress patterns; public transportation facilities; vehicular traffic, and parking availability and nature.
c. Review of the Program, function, scope and intent of the Project, and, when deemed necessary by the University, the preparation of drawings indicating the contract limits of the proposed construction contract.
d. Preparation of an analysis of the site and, in the case of the rehabilitation of an existing building, the existing condition of the building, including, but not limited to, determining the location, measurement and submitting a report to the University setting forth such analysis and specifying additional information, such as topography, soil data, and municipal agency and utility company projects that may be required for the development of the Project and containing recommendations for the action necessary to obtain such information.
e. Preparation of diagrammatic studies of the Project showing, in the case of a project involving a structure, the utilities and other structures; and, in the case of a project involving site work, the relationship of site systems to the site, services, utilities and structures.
f. Preparation of an analysis of the probable cost of the Project, based upon square foot area, volume and/or systems involved.
g. Preparation and submission to the University for its approval of a Program Phase Report, prepared in a format acceptable to the University, setting forth in detail the function, scope and intent of the Project. Submission of the aforesaid report by the Consultant shall constitute its acceptance of the Program, unless otherwise specified and agreed to by the University in writing.
Program Phase. 1.1.1 The DESIGN PROFESSIONAL shall review and evaluate the existing facility for identification of areas in non-compliance with current codes, and areas needing repair or replacement. The DESIGN PROFESSIONAL shall gather all pertinent data required to develop a complete Project program. This phase shall include, as a minimum, the following tasks:
1. Establish Project and operational goals.
2. Collect all pertinent facts about the Project including, but not limited to, evaluation of existing building and existing systems or structures affecting the Project, state code and regulation review, cost parameters and Project schedule.
3. Meet with agency staff to further identify areas needing correction and alteration.
4. Conduct an analysis study to establish appropriateness and cost effectiveness of existing building renovation.
5. State the problem, as a summary of the significant conditions, and general direction the renovation of the building should take.
1.1.2 The DESIGN PROFESSIONAL shall submit to the OWNER in the program, a statement of program feasibility, reconciling the program requirements with estimated cost and available funding.
1.1.3 The DESIGN PROFESSIONAL shall upload to Owner’s web-based Management System (OMS) and provide copies (as requested) of the completed program with all verification documentation in written form, to the OWNER for distribution and review, prior to the final presentation. After review and correction, alpha (#) copies (as requested) shall be submitted and uploaded to OMS as final record documents.
1.1.4 At the conclusion of this phase, the DESIGN PROFESSIONAL shall make a presentation to Agency and DPW staff for approval.
1.1.5 Program Documents shall be completed within alpha (#) days from the date of the Authorization to Proceed.

Program Phase. 8 The Designer shall meet with the Owner to ascertain the general requirements for the project and shall meet with the project program committee to understand and verify the functional and departmental objectives of the project, to advise, with respect to time and budget, the following: selection of the site; the relationship of the project to other structures and facilities; and scope and functional aspects of the program.
Program Phase. Monthly payments for the percentage of work complete up to ninety percent (90%) of the fee for the Phase; one hundred percent (100%) payment upon acceptance and approval of the Program Phase within the timeframes noted in Exhibit C. The District may approve the work of one phase, retain 10% of the fee for this same phase, and direct the A/E to proceed into the next phase. This option may be exercised if said work is behind schedule by more than seven (7) calendar days and if, in the District’s opinion, the delay is not attributable to factors beyond the control or responsibility of the A/E. This 10% fee retention will be released to the A/E at the completion of any subsequent phase when the work of this agreement is deemed to comply with the schedule outlined as specified in Exhibit C.
Program Phase. SB may declare Program Status for Royalty-Bearing Products using the criteria set forth in Schedule B or other criteria subsequently agreed upon by the parties. SB may select a Program Status Compound at any time. SB will make its selections of Program Status Compounds in its sole discretion under the criteria in Schedule B or other criteria subsequently agreed upon by the parties, however SB will not treat Licensed Compounds or ArQule Analog Compounds differently from other compounds that SB considers for Program Status. SB shall promptly furnish ArQule with written notice upon the selection of a Royalty-Bearing Product as a Program Status Compound. Effective upon receipt of this notice by ArQule, the Program Status Compound and all other ArQule Compounds and Analog Compounds in the same Licensed Compound Set will no longer be subject to reversion as described in Section 9.
