Consulting and Transition Services. In consideration of the payment referenced in Section 2 above, Mx. Xxxxxxxx agrees to be available during the Payment Period to provide informal consulting services if and as requested by the Company in connection with (i) the process of transitioning his duties and responsibilities to his successor as Chief Financial Officer, including providing necessary information regarding the Company’s past finances, financial statements, and SEC filings and the like to the extent the same are not readily available from other sources, or other such advice, consultation or services relating to the transition and (ii) general matters relating to the Company’s business and relations with investors and the Board of Directors. However, it is agreed that these services are not intended to be frequently requested or to require an extended or unreasonable commitment of time on the part of Mx. Xxxxxxxx.

Consulting and Transition Services. In consideration for independent consulting services provided by Employee in relation to the acquisition of two websites, Company has agreed to pay the Finders Fees as part of the Initial Payments. In further consideration for the Installment Payments to which Employee agrees she would not otherwise be entitled but for this Agreement, Employee shall make herself reasonably available and shall exercise reasonable efforts to respond diligently to inquiries by or on behalf of the Company related to the business of the Company (the "Transition Assistance"). The Company shall pay Employee, at a rate of $150 per hour, for all time expended by Employee at Company's request and prior authorization in connection with Transition Assistance other than time incurred in responding to telephonic or written inquiries that are addressed by Employee in twenty minutes or less ("Brief Inquiries"), provided that Brief Inquiries do not to exceed one hour in the aggregate on any given day (the "Transition Fees"). Nothing herein is intended to create an employment relationship between the Company and Employee.
Consulting and Transition Services. (a) During the Consulting Period, the Service Provider agrees to provide transition, consulting and other related services to the Company, as may be requested from time to time by, and at the direction of, the Company’s Chief Executive Officer (the “CEO”), Chief Human Resources Officer and/or the Board of Directors (the “Board”), including, but not limited to, cooperating with the Company on ongoing matters (collectively, the “Consulting and Transition Services”). As part of the Consulting and Transition Services, the Service Provider further agrees to assist the Company in providing an effective transition of the Service Provider’s executive responsibilities. The Service Provider shall diligently and competently perform the Consulting and Transition Services requested hereunder and use reasonable efforts in connection with the performance of such Consulting and Transition Services. (b) The Service Provider agrees to make himself reasonably available during the Consulting Period as requested with reasonable advance notice (subject to the Service Provider’s unavailability due to customary vacations, etc., taken during the Consulting Period) by the CEO, Chief Human Resources Officer and/or the Board and to develop a mutually acceptable work schedule during the Consulting Period. During the Consulting Period, the Service Provider is expected to provide the Consulting and Transition Services for no more than three (3) business days per month, and the Company will compensate the Service Provider at a rate of $200 per hour for any additional time spent beyond three (3) business days per month performing any Consulting and Transition Services requested by the Company that the Service Provider agrees to perform.
Consulting and Transition Services. Employee agrees to be available for consulting and transition services between the Separation Date and December 31, 2023 (“Transition Period”) to assist with the transition of her role. In consideration for these consulting and transition services, Employee will be eligible to receive all equity granted that vests during the Transition Period as set forth on Exhibit B. Employee’s eligibility to receive the equity vesting during the Transition Period is expressly conditioned upon her availability to provide consulting and transition services upon the request of the CEO at such dates and times as are reasonably requested.
Consulting and Transition Services. As consideration for consulting and transition services pursuant to this Agreement, which shall consist of, among other things, management of customer and physician relationships and technology initiatives, the Company agrees to pay you $7,500 every three (3) months. The first payment shall be due and payable on October 15, 2009. Additionally, the Company shall reimburse you for all reasonable out of pocket expenses incurred in the performance of your duties hereunder.

  • Transition Services The Purchasers will provide to the Sellers termination assistance as reasonably requested in order to provide an orderly transition following the termination of the Agreement (or any portion thereof), and the Sellers will provide to the Purchasers reasonable cooperation and assistance in connection therewith. In connection with this transition assistance, the Purchasers and Sellers will reasonably cooperate in the transition of the Services from the Purchasers to any Replacement Provider. With respect to the Serviced Appointments subject to termination, the Sellers shall provide the Purchasers with notice of the effective date (each, a “Transition Effective Date”) of the transition of the Services to a Replacement Provider. Notwithstanding any termination of the Agreement (or any portion thereof) in accordance with this Article II, with respect to the Serviced Appointments subject to termination, the rights and obligations of the parties under the Servicing Agreement shall remain in effect until the applicable Transition Effective Date.

Melbourne Archdiocese Catholic Schools Ltd (MACS) governs the operation of MACS schools and owns, governs and operates the School. 1.2 Parents and guardians, as the first educators of their children, enter into a partnership with the Catholic school to promote and support their child’s education. Parents and guardians must assume a responsibility for maintaining this partnership by supporting the school in the provision of education to their children within the scope of School's registration and furthering the spiritual and academic life of their children.

  • Transitional Services Upon cancellation, termination, or expiration of the Contract for any reason, the Contractor shall provide reasonable cooperation, assistance and Services, and shall assist the Department to facilitate the orderly transition of the work under the Contract to the Department and/or to an alternative contractor selected for the transition upon written notice to the Contractor at least thirty (30) business days prior to termination or cancellation, and subject to the terms and conditions set forth in the Contract.

In some cases, we act for insurers under a delegated authority agreement and can enter into insurance policies, issue policy documentation and/or handle or settle claims on their behalf. Where we act on behalf of the insurer and not you, we will notify you accordingly and in relation to claims we will advise you of this fact when you notify us of a claim. Notwithstanding this, we endeavour to always act in your best interest. As intermediaries, we offer a wide range of insurance products and have access to many leading insurance companies and the Lloyd’s market. Depending on the type of cover you require and where we have provided advice based on a personal recommendation, we will offer you a policy from either: • a single insurer; • a limited range of insurers; or • a fair analysis that is representative of the insurance market. We will advise you separately as to which of these apply before we arrange your policy and where we have not undertaken a fair analysis of the market, we will provide you with a list of insurers considered. For all other policies, including optional additional products and premium finance (if relevant), before the insurance contract is concluded and after we have assessed your demands & needs, we will provide you with advice and make a personal recommendation. This will include sufficient information to enable you to make an informed decision about the policy that we have recommended, together with a quotation which will itemise any fees that are payable in addition to the premium. This documentation will also include a statement of your demands and needs. You should read this carefully as it will explain reasons for making the recommendation we have made.

  • Cloud Services You will not intentionally (a) interfere with other customers’ access to, or use of, the Cloud Service, or with its security; (b) facilitate the attack or disruption of the Cloud Service, including a denial of service attack, unauthorized access, penetration testing, crawling, or distribution of malware (including viruses, trojan horses, worms, time bombs, spyware, adware, and cancelbots); (c) cause an unusual spike or increase in Your use of the Cloud Service that negatively impacts the Cloud Service’s operation; or (d) submit any information that is not contemplated in the applicable Documentation.

  • Autism Services This plan covers the following services for the treatment of autism spectrum disorders. • Applied behavior analysis when provided and/or supervised by an individual licensed by the state in which the service is rendered. See the Summary of Medical Benefits for the amount that you pay. • Physical therapy, occupational therapy, and speech therapy services when rendered as part of the treatment of autism spectrum disorder. A benefit limit will not apply to these services. • Psychological and psychiatric services, and prescription drugs are also covered. See Behavioral Health Services and Prescription Drugs and Diabetic Equipment or Supplies for additional information. Coverage for autism spectrum disorders does not affect any obligation of a school district, a state or other governmental entity to provide services to an individual under an individualized family service plan, an individualized education program, or similar services required under state or federal law. Services related to autism that are furnished by school personnel are not covered under this plan.

  • Transition Seller will not take any action that is designed or intended to have the effect of discouraging any lessor, licensor, customer, supplier, or other business associate of the Company from maintaining the same business relationships with the Company after the Closing as it maintained with the Company prior to the Closing. The Seller will refer all customer inquiries relating to the business of the Company to the Purchaser from and after the Closing.
