Contracting with Subprocessors. Customer hereby consents to Webflow’s engagement of Subprocessors in connection with the processing of the Personal Data. A list of Webflow’s current Subprocessors (“Subprocessor’s List”) is located at xxxxx://xxxxxxx.xxx/legal/subprocessors. Customer may reasonably object to any new Subprocessor within 15 days of receiving notice, in which case Webflow will use reasonable efforts to make a change in the Service or recommend a commercially reasonable change to avoid processing by such Subprocessor. If Webflow is unable to provide an alternative, Customer may terminate the Services and will pay Webflow any fees or expenses not yet paid for all services provided pursuant to any Services Agreement. Webflow will enter into written agreements with each Subprocessor containing reasonable provisions relating to the implementation of technical and organizational measures in compliance with the GDPR. In relation to Customer, Webflow will remain liable for acts and omissions of its Subprocessors in connection with the provision of the Services.

Contracting with Subprocessors. The Data Controller authorizes the Data Processor to engage the subprocessors in the country locations for the Service-related activities specified as described in Annex 2. Data Processor shall inform the Data Controller of any addition or replacement of such subprocessors giving the Data Controller an opportunity to object to such changes. Approved subprocessors are listed in Annex 5. Notwithstanding any authorization by the Data Controller within the meaning of the preceding paragraph, the Data Processor shall remain fully liable vis-à-vis the Data Controller for the performance of any such sub-processor that fails to fulfil its data protection obligations. The consent of the Data Controller pursuant to Article 8.1 shall not alter the fact that consent is required under Article 6 for the engagement of subprocessors in a country outside the European Economic Area without a suitable level of protection. The Data Processor shall ensure that the sub-processor is bound by the same data protection obligations of the Data Processor under this Data Processing Agreement, shall supervise compliance thereof, and must in particular impose on its subprocessors the obligation to implement appropriate technical and organizational measures in such a manner that the processing will meet the requirements of EU Data Protection Law. The Data Controller may request that the Data Processor audit a Third Party Sub-processor or provide confirmation that such an audit has occurred (or, where available, obtain or assist customer in obtaining a third-party audit report concerning the Third Party Sub-processor’s operations) to ensure compliance with its obligations imposed by the Data Processor in conformity with this Agreement.

The Data Processor shall inform the Data Controller of any addition or replacement of such Subprocessor. A list of Subprocessors is available in Annex III. Notwithstanding the Data Controller’s authorization as provided in the preceding paragraph, the Data Processor shall remain liable for any Subprocessor that breaches its obligations under this Data Processing Agreement. The Data Processor shall ensure that the Subprocessor is bound by the same data protection obligations as the Data Processor under this Data Processing Agreement, including but not limited to the obligation to implement appropriate technical and organisational measures in such a manner that the Processing will meet the requirements of the EU Data Protection Law. Objection Right for new Sub-processors. The Data Controller may object to Dataimporter’s appointment or replacement of a sub-processor prior to its appointment or replacement, provided such objection is in writing and based on reasonable grounds relating to data protection. In such an event, the parties agree to discuss commercially reasonable alternative solutions in good faith. If the parties cannot reach a resolution within ninety (90) days from the date of Dataimporter’s receipt of Customer’s written objection, Customer may discontinue the use of the affected Services by providing written notice to Dataimporter. Such discontinuation will be without prejudice to any fees incurred by Customer prior to the discontinuation of the affected Services. If no objection has been raised prior to Dataimporter replacing or appointing a new sub-processor, Dataimporter will deem Customer to have authorized the new sub-processor.

If Olark is unable to provide an alternative, Customer may terminate the Services. Olark will enter into written agreements with each Subprocessor containing reasonable provisions relating to the implementation of technical and organizational measures in compliance with the Data Protection Laws. In relation to Customer, Olark will remain liable for acts and omissions of its Subprocessors in connection with the provision of the Services.

The Data Processor shall ensure that all subprocessors are bound by the same or no less stringent data protection obligations of the Data Processor under this Data Processing Agreement, shall supervise compliance thereof, and must in particular impose on its subprocessors the obligation to implement appropriate technical and organizational measures in such a manner that the Processing will meet the requirements of Data Protection Law and shall remain liable for any breach of this Data Processing Agreement that is caused by an act, error or omission of its sub-processor. The Data Controller may request that the Data Processor provide evidence and confirmation concerning a third-party sub-processor’s operations, to ensure compliance with the obligations imposed by the Data Controller on the Data Processor under this Data Processing Agreement. Data Controller may object to Data Processor's appointment or replacement of a subprocessor prior to its appointment or replacement, provided such objection is based on reasonable grounds relating to data protection. Such objection must be made by notifying Data Processor promptly in writing within ten (10) business days after receipt of Data Controller’s notice. Data Processor will either not appoint or replace the subprocessor within ninety (90) days or, if this is not possible, Data Controller may suspend or terminate the Service Agreement.
