Customer Visits. Siebel may visit Distributor's Customers from time to time upon reasonable advance notice and with Customer's approval, to stay abreast of customer requirements and to evaluate features for potential future products. Distributor agrees to provide Siebel reasonable assistance in arranging such visits with Customers. Siebel agrees that it will involve Distributor in such visits in the event Siebel reasonably determines such involvement is reasonably appropriate.

Customer Visits. Upon execution of this Agreement, Precept and/or Buyer shall conduct due diligence on the customers, suppliers and Governmental Bodies having dealings with the Company in such manner and with such customers, suppliers and Governmental Bodies as is mutually agreed upon by the parties hereto (the "Customer Due Diligence").
Customer Visits. Between the date hereof and the Closing Date, and subject to such reasonable limitations as the Company shall deem necessary, the Company shall permit, and shall cause the Subsidiaries to permit, Parent to discuss and meet, and the Company shall cooperate in such discussions and meetings, with any significant customer, agent, or business partner of the Company or any Subsidiary that Parent reasonably requests. Upon the request of either Parent or the Company, a senior executive of the Company, reasonably satisfactory to Parent, shall accompany Parent’s representative to such meeting and shall participate with Parent’s representative in any such discussions. Furthermore, the Company shall cooperate with Parent in the preparation of a presentation to such customers with respect to the transactions contemplated by this Agreement.
Customer Visits. The Company will place a sign up sheet on the board for those employees interested in visiting any Customer location, for the purpose of rework, sorting and/or other issues. All signees will be interviewed in order of seniority, for the Company’s consideration. Letter of Intent #26 THIRD PARTY CONTAINMENT The Union acknowledges the Customer’s expectation of third party containment. The Union expects that the Company will make every possible effort, within its control, prior to, during and after any third party inspection, in an effort to minimize the amount of time on third party containment. The Company will keep the Union fully apprised. The Company agrees that the third party containment process will not directly displace any bargaining unit workers.
Customer Visits. During the period commencing on the date hereof and ending on the Closing Date, without the prior written consent of Seller (which may not be unreasonably withheld, conditioned or delayed), Buyer shall not, and shall cause its officers, directors, employees and other agents not to, contact any suppliers to, or customers of, the Acquired Companies in connection with the Transaction. In the event Seller provides such consent, arrangements for such meetings shall be made through Seller, and a management employee Seller or an Affiliate of Seller shall at all times accompany Buyer to any meeting with such suppliers or customers and shall participate with Buyer in any such discussions.
Customer Visits. The Purchaser shall have completed to its reasonable satisfaction successful Customer meetings pursuant to Section 7.14 hereto and shall have completed its diligence of any matters reasonably arising out of such visits.

The Seller shall promptly notify the Purchaser if a commercial relationship and/or agreement the Company or an Other Seller Subsidiary has with a Customer or Supplier terminates during the period commencing on the date hereof and ending on the Closing Date.

Customer Visits. The Seller shall arrange meetings between the Purchaser, the Seller and each Material Customer within 20 business days following the date of this Agreement. The Seller and the Purchaser shall promptly (but in any event within three (3) business days) notify the other party of its receipt from a Material Customer of such Material Customer’s intention to terminate or substantially reduce its purchases (compared to the 2008 Fiscal Period levels).
Customer Visits. During the Pre-Closing Period, without the prior written consent of Seller (which may be withheld in its sole discretion), Buyer shall not, and shall cause its officers, directors, employees and other Representatives not to, contact any suppliers to, or customers of, the Business in connection with or pertaining to the Transactions. Customer Visits. With Distributor's prior written consent (such consent not to be unreasonably withheld), Siebel may at its expense visit distributor's Customers from time to time upon reasonable advance notice and with Customer's approval, to stay abreast of customer requirements and to evaluate features for potential future products. Distributor agrees to provide Siebel reasonable assistance in arranging such visits with Customers. Siebel agrees to provide to Distributor a summery of Customer information obtained during the course of such visits to the Extent such information is pertinent to Distributor's obligations under this Agreement.
