DEATH OR DISABILITY DURING EMPLOYMENT. If Employee dies or becomes disabled during the term or his/her employment, Employer shall pay the estate of Employee compensation which would otherwise be payable to Employee up to the end of the month in which his/her death occurs.

DEATH OR DISABILITY DURING EMPLOYMENT. If the Executive dies or becomes totally disabled during his employment with the Company, the Executive or his estate, as the case may be, will be entitled to receive benefits in accordance with the policies of the Company.
DEATH OR DISABILITY DURING EMPLOYMENT. If Employee is prevented from performing his duties hereunder by reason of illness or injury for a period of (i) four or more consecutive months or (ii) six months during any 12-month period as determined by a recognized physician chosen by Employer and acceptable to Employee (the applicable date when either of such disabling events shall occur being hereinafter referred to as the "Effective Date of Disability"), or if Employee dies during the Employment Period, Employer shall pay to the Employee, if the Employee is disabled, or to Employee's spouse, the Executors under Employee's Last Will and Testament duly admitted to probate within one year of his death or the Employee's heir at law, if the Employee dies, in addition to such amounts (if any) as may be payable pursuant to any short- or long-term disability or life insurance policies then in effect and maintained by the Employer with respect to the Employee ("Disability Policies"), the compensation which would otherwise be payable to the Employee under this Agreement through the end of the month in which the Employee's Effective Date of Disability or death occurs, or, in the case of disability (and assuming any Disability Policies are currently in effect) such later date as the Employee would, if eligible, be entitled to receive benefits under such Disability Policies. In addition, the Employer shall pay, at the time when such bonus would normally be paid, all bonus payments under Section 5 hereof which the Board of Directors, in good faith, believed that the Employee was entitled to in respect of the year in which the Effective Date of Disability or death occurred.
DEATH OR DISABILITY DURING EMPLOYMENT. 5.1 This Agreement shall terminate without notice upon the date of EMPLOYEE's death or the date when EMPLOYEE becomes “completely disabled” as that term is defined in Section 5.4 5.2 In the event of EMPLOYEE's death, all rights of EMPLOYEE to compensation hereunder shall automatically terminate immediately upon his death, except that EMPLOYEE's heirs, personal representatives or estate shall be entitled to any unpaid portion of his Base Salary and accrued benefits earned up to the date of his death. 5.3 In the event EMPLOYEE is disabled, EMPLOYEE shall be entitled to receive such disability benefits as would apply to other senior EMPLOYEES in the Company, subject to the terms and conditions of any such Company disability program. 5.4 The term “completely disabled” as used in this Agreement shall mean the inability of EMPLOYEE to perform his duties under this Agreement because he has become permanently disabled within the meaning of any policy and disability income insurance covering employees of the Company then in force. In the event the Company has no policy of disability income insurance covering employees of the Company in force when EMPLOYEE becomes disabled, the term “completely disabled” shall mean the inability of EMPLOYEE to perform his normal and customary duties under this Agreement for a total of four (4) consecutive months or a total of 180 days in any one-year period by reason of any incapacity, physical or mental, based upon medical advice or an opinion provided by a licensed physician, acceptable to the Company in its sole discretion, determines to have incapacitated EMPLOYEE from satisfactorily performing all of his usual services for the Company during the foreseeable future. The action of the Company shall be final and binding and the date such action is taken shall be the date of such complete disability for purposes of this Agreement, and upon such date this Agreement shall become null and void and of no further force and effect.
DEATH OR DISABILITY DURING EMPLOYMENT. If Employee dies during the term of this Agreement, this Agreement shall automatically terminate and the Company shall pay to Employee's estate the compensation and benefits that would be otherwise payable to Employee up to the end of the month in which his death occurred. If Employee becomes disabled during the term of this Agreement so that he is unable to perform his duties under this Agreement for a period of ninety (90) consecutive days, either the Company or Employee may terminate the employment of Employee by the Company. In such event, the Company shall continue to pay Employee an amount equal to sixty percent of his base annual salary during the continuation of the severance period described in Section 7.2 or until the commencement of payments to Employee under the Company's long term disability income plan.

DEATH OR DISABILITY DURING EMPLOYMENT. 5.01. If, by reason of mental or physical disability, Employee shall fail or be unable to perform his duties under this Agreement for a period of ninety (90) consecutive days or for one hundred and fifty (150) days during an twelve month period, Employer thereafter, at its option, may terminate this Agreement by providing Employee with written notice of such termination. All obligations of Employer under this Agreement will terminate upon Employee's receipt of such notice. 5.02. Upon the death of Employee, all obligations of Employer under this Agreement will terminate effective as of the date of death, except that, Employee's spouse will be entitled to receive for an additional ninety (90) days following such death, (i) insurance coverage under the Employer's group health plan, and (ii) a death benefit equal to Employee's salary pro-rated for the ninety (90) day period payable in accordance with Employer's payroll cycle and subject to applicable federal, state, and local withholding requirements, if any.

DEATH OR DISABILITY DURING EMPLOYMENT. If Employee dies or becomes permanently and totally disabled during the term of the Agreement, TCPI shall pay to Employee or Employee's estate, as the case may be, the base salary which would otherwise be payable to Employee, for a period of four (4) months after the date on which Employee's death or disability occurred. TCPI shall have no further financial obligations to Employee or his estate, except as otherwise provided in Articles III and IV hereof. For purposes of this Agreement, "disability" is defined to mean that, as a result of Employee's incapacity due to physical or mental illness:
