DELIVERY PLACE AND TIME. (a) The Sellers shall ensure that the Vessel is ready for delivery within the Delivery Range stated in Box 13 not before and not later than the dates stated in Box 14, the latter date being the Cancelling Sate. (b) The Sellers shall keep the Buyers informed of the Vessel’s itinerary and give the Buyers thirty (30), fifteen (15), seven (7) and three (3) days notice of the expected date and place of readiness for delivery. (c) In the event that the Vessel is not ready for delivery on or before the Cancelling Date, the Buyers shall have the option of cancelling this Agreement, provided such option shall be exercised in writing within two (2) Working Days (which shall be the days not falling on Saturdays, Sundays or Public holidays in the place stated in Box 15) from the Cancelling Date. However, if the failure to deliver the Vessel is caused by any event over which the Sellers have no control, then the Cancelling Date shall be extended by the corresponding time lost due to such event but in no case shall such extension be for a period of more than thirty (30) days. (d) In the event the Buyers do not elect to exercise the option to cancel this Agreement in accordance with sub-clause (c) above, they shall have the right to designate a new date for delivery of the Vessel, provided such right is exercised in writing within two (2) Working Days from the Cancelling Date, and such designated date shall be the new Cancelling Date as if stated in Box 14. However if no new Cancelling Date is designated by the Buyers in accordance with this sub-clause there shall be no further Cancelling Date and the Sellers shall deliver the Vessel as soon as practicable. (e) Notwithstanding the exercise of due diligence by them, if the Sellers anticipate that the Vessel will not be ready for delivery by the Cancelling Date, (whether it be the first agreed Cancelling Date or any subsequent Cancelling Date as provided for in sub-clause (d) above), then the Sellers may notify the Buyers in writing stating the date when they anticipate that the Vessel will be ready for delivery and proposing that that date shall be the new Cancelling Date. Upon receipt of such notification the Buyers shall have the option to cancel this Agreement, provided such option is exercised in writing within two (2) Working Days from the receipt of the aforesaid notification from the Sellers. DELIVERY PLACE AND TIME. 3.1. The products must be delivered by the Supplier within the time limit and at the places stated on the Order. The agreed terms of delivery are mandatory and to the benefit of the Purchaser. Therefore the Purchaser shall deliver the products by the date state on the Order, but not prior to its expiry, unless expressly required by the Purchaser. 3.2. The Purchaser may refuse and return to Supplier, at the expense of the Supplier, the products delivered ahead of schedule in respect of the delivery date stated on the Order. Where, however, the Purchaser decides to accept the delivery, even ahead of schedule, the terms of payment shall begin to run from the date of delivery stated on the Order. 3.3. The Products shall be accompanied by the transport document, including a detailed statement of: i) the Order number, ii) the material code and description, iii) the unit of measurement, iv) the quantity v) the number of packages, vi) the weight e vii) the origin of the goods. Upon the Purchaser’s request, the Supplier shall be also required to issue the Declaration of Conformity for CE Marking with the requirements laid down in all applicable directives and regulations 3.4. Unless agreed otherwise by the Parties, the risk of damage and/or loss of the products is transferred from the Supplier to the Purchaser exclusively upon completion of the unloading at the place stated on the Order. Therefore the risk of the product deterioration or damage remains with the Supplier, also if the carrier was chosen by the Purchaser. Moreover, the Supplier shall be responsible for any damage and/or loss of the products after the delivery, if it is established that the package was insufficient or defective.

  • Place and Time The closing of the sale and purchase of the Shares (the “Closing”) shall take place at the offices of Xxxxx Xxxxx & Associates, PLLC, 0 Xxxxx Xxxxxxx Xxxxxx, Xxxxxxxxx Xxxxxx, X.X. 00000 on such date (the “Closing Date”) and time as the parties shall so agree. When the Vessel is at the 54 place of delivery and in every respect physically ready for delivery in accordance with this 55 Agreement, the Sellers shall give the Buyers a written NOR for delivery. 56 b) The Vessel shall be delivered to the Buyers free of stowaways, free of cargo, with clean swept holds 57 safely afloat at a safe and accessible berth, port or anchorage worldwide. 58 Expected time of delivery: 17 August 2015 – 30 November 2015 or such later date at Buyers' option. 60 Date of cancelling (see Clauses 5 c), 6 b) (iii) and 14): 30 November 2015 or such later date at Buyers' option. 61 c) If the Sellers anticipate that, notwithstanding the exercise of due diligence by them, the 62 Vessel will not be ready for delivery by the cancelling date they may notify the Buyers in 63 writing stating the date when they anticipate that the Vessel will be ready for delivery and 64 propose a new cancelling date. Upon receipt of such notification the Buyers shall have the 65 option of either cancelling this Agreement in accordance with Clause 14 within 4 7 running 66 days of receipt of the notice or of accepting the new date as the new cancelling date. If the 67 Buyers have not declared their option within 4 7 running days of receipt of the Sellers' 68 notification or if the Buyers accept the new date, the date proposed in the Sellers' notification 69 shall be deemed to be the new cancelling date and shall be substituted for the cancelling 70 date stipulated in line 61. 71 If this Agreement is maintained with the new cancelling date all other terms and conditions 72 hereof including those contained in Clauses 5 a) and 5 c) shall remain unaltered and in full 73 force and effect. Cancellation or failure to cancel shall be entirely without prejudice to any 74 claim for damages the Buyers may have under Clause 14 for the Vessel not being ready by 75 the original cancelling date. 76 d) Should the Vessel become an actual, constructive or compromised total loss before delivery 77 the deposit together with interest earned shall be released immediately to the Buyers 78 whereafter this Agreement shall be null and void. 79

  • Delivery Location All Goods shall be delivered to the address specified in this Order (the "Delivery Location") during Buyer's normal business hours or as otherwise instructed by Buyer.

Furniture contractors will not be responsible for the removal/moving of existing furnishings unless requested by the ordering entity. Contractors should verify site readiness prior to delivery. All deliveries will be made during normal working hours unless otherwise arranged with the ordering entity. Contractor will communicate any scheduling delays and/or changes immediately.
