Detailing Requirements. Zealand Pharma will be responsible for performing its detailing target for the Shared Co-Promotion Territory as set forth in the then-current brand plan. With regards to the Shared Co-Promotion Territory, Zealand Pharma shall notify eighteen (18) months prior to the anticipated launch date which percentage of total details it wishes to perform. Thereafter it shall be allowed to change such percentage during the term with eighteen (18) months prior notice.

Detailing Requirements. Notwithstanding any provision herein to the contrary, Purchaser shall commence active promotion and Distribution of the Product no later than September 6, 2005; provided, however, that Purchaser shall use its commercially reasonable efforts to commence such promotion as soon as practicable after the date hereof following receipt of Product and sufficient distribution into the channel to cover anticipated orders. Prior to a Generic Entry, if any, Purchaser shall conduct Detailing for the Product and/or Additional Product(s) as follows (and the applicable Marketing Plans shall reflect such requirements):

Detailing Requirements. The following principles shall apply to the allocation of Detailing responsibilities between the Parties:
Detailing Requirements. During each Commercial Year, INSPIRE shall use commercially reasonable efforts to market, promote and detail Elestat to the Field of Use in the Territory. INSPIRE further agrees to use commercially reasonable efforts to have its Sales Force provided a minimum of [confidential treatment requested] Calls during each month (which amount shall be prorated for any periods of less than a month) of the spring and fall allergy seasons (as determined by the JCC) with the Sales Force as provided in Section 3.6. During such spring and fall allergy seasons, INSPIRE agrees that the sales detail commitment shall be, at a minimum, a Secondary Presentation for all called upon physicians in the Field of Use. INSPIRE shall maintain records of Calls made by its Sales Force that will accurately represent the number of Primary and Secondary Presentations made for Elestat in the Field of Use. During the Term, INSPIRE shall issue reports to ALLERGAN within thirty (30) days after the end of each month showing the number of Primary and Secondary Presentations made in the Field of Use for Elestat. Additionally, for the first six (6) months of this Agreement, INSPIRE shall provide ALLERGAN with an accurate weekly report of total prescriptions for Elestat in the Field of Use for the preceding week, to the extent that such data is available on a timely basis from IMS. ALLERGAN shall be entitled to audit the source data and documents used to compile such reports pursuant to the provisions of Article 7.

AcelRx hereby agrees that each member of the AcelRx Sales Force shall use reasonable efforts to (i) conduct at least forty (40) Calls per month with at least twenty (20) of these Calls including Tetraphase Products as the Primary Presentation and at least twenty (20) of these Calls including Tetraphase Products as the Secondary Presentation and (ii) conduct Calls at at least ten (10) separate Target Institutions per month. Notwithstanding the foregoing, the monthly requirements for a member of a Sales Force shall be subject to adjustment to the extent that such member takes paid time off and does not work at least 20 days during such month (for clarity, a Sales Force member who works fifteen (15) days during a month shall only be required to conduct at least thirty (30) Calls during such month with at least fifteen (15) of these Calls being required to be a Primary Presentation and at least fifteen (15) of these Calls being required to be a Secondary Presentation and to conduct Calls at at least five (5) separate Target Institutions during such month).
