Detailing Requirements. Zealand Pharma will be responsible for performing its detailing target for the Shared Co-Promotion Territory as set forth in the then-current brand plan. With regards to the Shared Co-Promotion Territory Zealand Pharma shall notify eighteen (18) months prior to the anticipated launch date xx.xx percentage of total details it wishes to perform. Thereafter it shall be allowed to change such percentage during the term with eighteen (18) months prior notice.
Detailing Requirements. Notwithstanding any provision herein to the contrary, Purchaser shall commence active promotion and Distribution of the Product no later than September 6, 2005; provided, however, that Purchaser shall use its commercially reasonable efforts to commence such promotion as soon as practicable after the date hereof following receipt of Product and sufficient distribution into the channel to cover anticipated orders. Prior to a Generic Entry, if any, Purchaser shall conduct Detailing for the Product and/or Additional Product(s) as follows (and the applicable Marketing Plans shall reflect such requirements):
(i) during the period from the Closing Date through the first anniversary of the Initial Sale Date (the “First Promotion Year”), Purchaser shall perform a minimum of [***] Primary Position Details of the Product and/or Additional Product(s);
(ii) during the period following the first anniversary of the Initial Sale Date through the second anniversary of the Initial Sale Date (the “Second Promotion Year”), Purchaser shall perform a minimum of [***] Primary Detail Equivalents for the Product and/or Additional Product(s);
(iii) during the period following the second anniversary of the Initial Sale Date through the third anniversary of the Initial Sale Date (the “Third Promotion Year”), Purchaser shall perform a minimum of [***] Primary Detail Equivalents for the Product and/or Additional Product(s); and
(iv) following the third anniversary of the Initial Sale Date, Purchaser shall use commercially reasonable efforts to Distribute the Product and/or Additional Products in the Territory in a manner at least as favorable as Purchaser’s Distribution of other products with similar market potential; provided, however, that the periods identified in Sections 7.9(b)(i), (ii) and (iii) shall be tolled upon the occurrence and for the duration of any Force Majeure Event (and any reference to the First/Second/Third Promotion year shall be deemed to refer to any such extended periods), and shall recommence upon the resolution thereof.
Detailing Requirements. Each Party’s Detailing activities shall be governed by the terms of this Agreement and the provisions set forth on Schedule 4.5.3 attached hereto. Each Party will promptly notify the other Party at any time that it appears reasonably likely that it will not be able to substantially achieve required levels of Detailing over any significant period or in any significant area. Following any such notice, the Parties will meet and confer in good faith to develop a plan to achieve such required levels of Detailing] as promptly as practicable, including through the [utilization of the other Party’s sales force personnel as reasonably required to achieve the required levels of Detailing. For the avoidance of doubt, but without limiting either Parties remedies otherwise available under this Agreement, (i) if Microbia elects not to provide Details or elects to provide less than thirty-five percent (35%) of the Detailing [***], and (ii) if Forest does not provide all of the Details it is required to provide pursuant to the Commercialization Plan, then [***]. If one Party’s sales force personnel are [***]under the Commercialization Plan, the Parties will cooperate to [***] to the other Party as promptly as practicable in light of the need to assure a [***]. Except to the extent provided in Section 1.25, each Party shall be [***]. As an example of the application of the previous sentence: If Microbia elects to provide thirty-five percent (35%) of the total Details provided by both Parties under the Commercialization Plan, Microbia will be allocated thirty-five percent (35%) of the [***] provided by both Parties and thirty-five percent (35%) of the [***] provided by both Parties
Detailing Requirements. During each Commercial Year, INSPIRE shall use commercially reasonable efforts to market, promote and detail Elestat to the Field of Use in the Territory. INSPIRE further agrees to use commercially reasonable efforts to have its Sales Force provided a minimum of [confidential treatment requested] Calls during each month (which amount shall be prorated for any periods of less than a month) of the spring and fall allergy seasons (as determined by the JCC) with the Sales Force as provided in Section 3.6. During such spring and fall allergy seasons, INSPIRE agrees that the sales detail commitment shall be, at a minimum, a Secondary Presentation for all called upon physicians in the Field of Use. INSPIRE shall maintain records of Calls made by its Sales Force that will accurately represent the number of Primary and Secondary Presentations made for Elestat in the Field of Use. During the Term, INSPIRE shall issue reports to ALLERGAN within thirty (30) days after the end of each month showing the number of Primary and Secondary Presentations made in the Field of Use for Elestat. Additionally, for the first six (6) months of this Agreement, INSPIRE shall provide ALLERGAN with an accurate weekly report of total prescriptions for Elestat in the Field of Use for the preceding week, to the extent that such data is available on a timely basis from IMS. ALLERGAN shall be entitled to audit the source data and documents used to compile such reports pursuant to the provisions of Article 7.
Detailing Requirements. The following principles shall apply to the allocation of Detailing responsibilities between the Parties:
Detailing Requirements. MacroGenics will be responsible for performing at least *** and up to *** of the total Details target set forth in the then current U.S. brand plan.
Detailing Requirements. Tetraphase hereby agrees that each member of the Tetraphase Sales Force shall use reasonable efforts to (i) conduct at least forty (40) Calls per month with at least twenty (20) of these Calls including AcelRx Products as the Primary Presentation and at least twenty (20) of these Calls including AcelRx Products as the Secondary Presentation and (ii) conduct Calls at at least ten (10) separate Target Institutions per month. AcelRx hereby agrees that each member of the AcelRx Sales Force shall use reasonable efforts to (i) conduct at least forty (40) Calls per month with at least twenty (20) of these Calls including Tetraphase Products as the Primary Presentation and at least twenty (20) of these Calls including Tetraphase Products as the Secondary Presentation and (ii) conduct Calls at at least ten (10) separate Target Institutions per month. Notwithstanding the foregoing, the monthly requirements for a member of a Sales Force shall be subject to adjustment to the extent that such member takes paid time off and does not work at least 20 days during such month (for clarity, a Sales Force member who works fifteen (15) days during a month shall only be required to conduct at least thirty (30) Calls during such month with at least fifteen (15) of these Calls being required to be a Primary Presentation and at least fifteen (15) of these Calls being required to be a Secondary Presentation and to conduct Calls at at least five (5) separate Target Institutions during such month).
Detailing Requirements. La Jolla hereby agrees as follows:
(a) At all times during the Promotion Period, (i) it will assign at least one member of the La Jolla Sales Force from Schedule A-2 to Call in each of the Sales Territories and (ii) the La Jolla Sales Force will include at least seven members.
(b) No member of the La Jolla Sales Force will be assigned to, or make calls in, more than one Sales Territory; provided, however, that a member can be assigned to, or make calls in, more than one Sales Territory to satisfy the detailing requirements for a Sales Territory for which there is a vacancy and during such vacancy.
(c) That a member of the La Jolla Sales Force shall (i) conduct at least 60 Calls per Calendar Quarter in each Sales Territory in Section A-2, and (ii) conduct Calls with at least 10 separate Target Institutions per month within any given Calendar Quarter in each Sales Territory. Notwithstanding the foregoing, the requirements for a member of the La Jolla Sales Force in a given Calendar Quarter shall be subject to adjustment to the extent that such member takes paid time off and does not work the full number of business days available during such Calendar Quarter as a result of such paid time off (for example, a La Jolla Sales Force member who works 45 business days during a Calendar Quarter (i.e., 75% of the business days available in a Calendar Quarter with 60 business days) shall only be required to conduct at least 45 Calls during such Calendar Quarter in the applicable Sales Territory and to conduct Calls with at least 8 separate Target Institutions during each month in such Calendar Quarter in the applicable Sales Territory). Similar prorated adjustments shall be made for no more than two Sales Territory vacancies in any Calendar Quarter.

Tetraphase hereby agrees that each member of the Tetraphase Sales Force shall use reasonable efforts to (i) conduct at least forty (40) Calls per month with at least twenty (20) of these Calls including AcelRx Products as the Primary Presentation and at least twenty (20) of these Calls including AcelRx Products as the Secondary Presentation and (ii) conduct Calls at at least ten (10) separate Target Institutions per month. AcelRx hereby agrees that each member of the AcelRx Sales Force shall use reasonable efforts
Detailing Requirements. Each Party will receive and be responsible for performing [***] in the level of sales Details target set forth in the then-current U.S. Commercialization Plan. The U.S. Commercialization Plan will allocate Detailing priority (e.g. primary or secondary Details) and Detailing targets (including applicable target physician groups, centers of excellence, high prescribing physicians and geographic territories) in a reasonable and equitable manner as between the Parties.
