Direct Contracts. Practice understands and agrees that if an Incentive Arrangement requires Practice to have a direct contract with the Payor and: (a) Practice does not have a direct contract with that Payor, Practice will be ineligible to participate in that Incentive Arrangement; or (b) Practice does not have a direct contract with that Payor and Practice later enters into a contract with that Payor, Practice’s participation in the Incentive Arrangement shall be at the discretion of HMHP; or (c) Practice’s direct contract terminates prior to the end of the Incentive Arrangement, Practice shall give HMHP written notice promptly and Practice’s participation in that Incentive Arrangement shall terminate.

Direct Contracts. If Users enter into a Direct Contract, then the Users agree that they will be bound by, and Upwork Escrow will follow, the Direct Contract Escrow Instructions.
Direct Contracts. If a Spinco Entity is a party to a Sourcing Contract with a Manufacturer and neither Harbor nor any member of the Harbor Group is also party (a “Direct Contract”), any such Direct Contract shall be transferred (to the extent related to the Spinco Business) to Spinco or another member of the Spinco Group at the Closing. Notwithstanding the foregoing, and for the avoidance of doubt, in the case of any Direct Contract that is also a Private Brand Contract, the license to market, sell or otherwise distribute Private Brand Products shall remain subject in all respects to the terms and conditions set forth in this Agreement, including Spinco’s (and Affiliates of Spinco’s) compliance with the terms and conditions set forth in Section 18.5. All obligations and liabilities under any such Direct Contract shall concurrently be assumed by Spinco or such applicable member of the Spinco Group and neither Harbor nor any of its Affiliates shall have any liability or obligation in respect thereof. For the avoidance of doubt, returns with respect to any Products purchased by Spinco or another member of the Spinco Group under a Direct Contract shall be processed and coordinated directly between the applicable Manufacturer and Spinco or other member of the Spinco Group, and neither Harbor nor any of its Affiliates shall have any liability or obligation in respect thereof.

Direct Contracts. As described in the Hourly Direct Contract Escrow Instructions, once the Direct Contract has been accepted, the Client will fund a deposit equivalent to the hourly rate multiplied by the weekly hourly limit agreed to between Freelancer and Client (“Direct Contract Deposit”). Freelancer and Client agree and authorize Upwork to hold the Direct Contract Deposit in escrow through the term of the Hourly Direct Contract. Client agrees to separately fund payments to Freelancer on a weekly basis based on Freelancer’s submission of weekly invoices (“Direct Contract Weekly Funds”). If Client approves the submitted hours, Upwork Escrow will release the Direct Contract Weekly Funds to Freelancer.

Direct Contracts. Notwithstanding the foregoing conditions, the Government reserves the right to place a “Direct Contract” for any goods or services required in the works which are covered by a P.C Sum in the Bills of Quantities and to pay for the same direct. In any such instance, profit relative to the P.C Sum in the priced Bills of Quantities will be adjusted as deserved for P.C Sum allowed.
