Duties and Expenses. الضرائب والرسوم والنفقات: All taxes, duties and other governmental charges with respect to the manufacture /production /creation of the Goods and the delivery of the Goods to ADRA Yemen in accordance with this Contract will be the liability of, and borne solely by, Supplier. If the law requires ADRA Yemen to withhold taxes from payments to Supplier, ADRA Yemen may withhold those taxes and pay them to the appropriate taxing authority. ADRA Yemen will deliver to Supplier an official notice for such taxes. ADRA Yemen will use reasonable efforts to minimize any taxes withheld to the extent allowed by law. Duties and Expenses. As between the Seller and the Buyer, responsibility for payment of any duties (including registration duties) and expenses in connection with the transfer of the assets covered by this Agreement shall be determined in accordance with the relevant provisions of the Master Agreement.

Nothing in this Trust Agreement shall be construed to release any Administrative Trustee from liability for his or her own negligent action, negligent failure to act; or his or her own willful misconduct. To the extent that, at law or in equity, a Trustee has duties and liabilities relating to the Trust or to the Holders, such Trustee shall not be liable to the Trust or to any Holder for such Trustee’s good faith reliance on the provisions of this Trust Agreement. The provisions of this Trust Agreement, to the extent that they restrict the duties and liabilities of the Trustees otherwise existing at law or in equity, are agreed by the Depositor and the Holders to replace such other duties and liabilities of the Trustees.
