Duties of Party A. 3.1.1 Party A guarantees that the pharmaceutical goods and the sources of supply related to the Services provide by Party B are legal. 3.1.2 Party A guarantees that the drug stores related to the Services provided by Party B meet the requirements of laws and regulations of pharmaceutical administration. 3.1.3 Party A shall provide necessary incorporation materials and operation certificates to Party B before the execution of this Agreement. The Parties shall later enter into an Agreement of Performance Metrics (“Performance Metrics”). 3.1.4 Party A shall provide detailed information of delivered goods to Party B before delivery, including name of the supplier, delivery address and contact information. Party A shall provide a letter of permit for Party B’s consignee to take delivery from the supplier and keep a copy for its own record. The letter of permit must indicate the name and ID number of the consignee. Party A shall provide Party B via Internet a copy of the order that contains the name, specification, quantity, location of production and price of the delivered goods. 3.1.5 Party A shall notify in advance or make notes of on invoice or delivery order any special requirements of inspection, storage and transportation for freezing or fragile goods. 3.1.6 Pursuant to the Performance Metrics, Party A shall timely dispose of unqualified goods and goods that will expire shortly.

Duties of Party A. 5.1.1 Party A agrees that during the term of this Agreement and on the terms and conditions under this Agreement, it shall provide the Services in due course. 5.1.2 Party A agrees to bear all the cost associated with the provision of the Services. 5.1.3 Party A shall maintain sufficient experienced personnel to adequately meet the reasonable request of Party B on the Services from time to time.
Duties of Party A. 2.1 Party A shall provide well-rounded, objective and timely information, documents and materials regarding investment targets, underlying assets and fund managers to PGAM. 2.2 Party A shall make clear and reasonable request to the service provided by PGAM. 2.3 Party A have the responsibility to make decisions and judgment independently on final decisions. Any loss caused by Party A’s decisions based on PGAM’s advice, opinions and proposal shall be borne by Party A. 2.4 If Party A intends to appoint PGAM or its affiliates as co-manager of the fund or fund advisor or other party, Party A shall discuss with that particular party accordingly and shall not affect the execution of this agreement. 2.5 Party A shall pay advisory fee to PGAM as agreed. All fees occurred due to the fund formation and operation shall be borne by all parties involved as separately negotiated, thus will not be included in this agreement.

Duties of Party A. 1) Within 60 days after Party B makes the first payment to Party A (60% of the total comprehensive price of this land transfer), namely approximately XXX 000 million, Party A shall reclaim this land and deliver it to Party B for use. 2) Within 30 business days after Party B provides Party A with all required materials, Party A shall on behalf of Party B complete the application for the Construction Land Planning Permit, the Construction Project Planning Permit, the project filing, and the review procedure. Within 30 business days after Party B provides Party A with all required materials and pays relevant fees, Party A shall on behalf of Party B apply for and obtain the Construction Permit. Party A shall assist Party B in the application procedures for the review of fire protection, water, and electricity related to this project. Relevant fees incurred in the application procedures shall be paid by Party B according to relevant regulations. 3) Party A shall deliver temporary access to water and electricity (high voltage) for construction to the red line of this land area, with water and electricity to be paid for by Party B. Party A shall deliver permanent access to water, electricity (high voltage), and sewage disposal facilities to the red line of this land area within 15 business days before operations of this project is formally commenced, with internal connection projects to be paid for and undertaken by Party B. 4) Within two years after Party B has paid Party A 90% of the total comprehensive price of this land transfer, namely approximately XXX 000 million, Party A shall on behalf of Party B apply for and obtain the Land Use Certificate. 5) Party A shall ensure that Party B obtains the Use Certificate of State Owned Land at the time stipulated in this contract and that this Land Use Certificate is legal and obtained through legal land review procedures. Before the Land Use Certificate is obtained, Party A shall ensure Party B’s normal and reasonable use of this land and Party B’s normal operating activities.

Duties of Party A. 1. Party A shall diligently perform its duties, supervise and examine the performance of this Agreement, and handle relevant complaints and reports. The method of filing a complaint or report shall be subject to the announcement published on its official website. 2. Party A shall supervise and examine with all legal means the compliance of laws and regulations and the performance of this Agreement by the employees of Party A and Party B. 3. Party A shall supervise and examine the project bid invitation (candidates selection) during the whole process, ensuring the Parties carry out fair and just cooperation in compliance with laws and regulations.
Duties of Party A. 3.1 This business operation is owned by Party A, and is entirely planned, operated, and managed by Party A. 3.2 Party A shall support and assist Party B in selecting store location, decoration, display, and marketing. Party A shall assign experienced company staff to provide Party B with necessary training, guidance, and supervision.
Duties of Party A. 5.1 Without consent of Party B, Party A may not sub-lease or co-lease the warehouse to or with any third party; otherwise Party A shall be liable for any loss arising therefrom. 5.2 Party A will provide to Party B a schedule setting forth the names and quantities of the chemicals stored in the warehouse as well as the MSDS for such chemicals. 5.3 Party A will advise Party B in advance of the information regarding the vehicles and personnel arranged by Party A to take delivery of goods at the warehouse. 5.4 Party A will provide storage equipment necessary for goods warehousing, such as pallet racking. 5.5 Party A will make active efforts to cooperate with and assist in management of the warehouse by Party B in connection with delivery of Party A’s goods to and from the warehouse, and comply with all management procedures and business hour rules in respect of the warehouse. The business hours of Party B are 9:00 a.m. to 5:00 p.m., Monday through Friday (excluding public holidays). 5.6 Party A will maintain insurance for the goods stored in the warehouse.
