EDI. Electronic Data Interchange means the electronic transfer of commercial and administrative data between computers according to an agreed standard for structuring an EDI message.
EDI. If Business Associate conducts all or any portion of its business or pays any claim in a transaction covered by the Electronic Data Interchange (“EDI”) Rule on behalf of Quest Diagnostics, then Business Associate covenants and warrants that it shall and shall require its agents and/or subcontractors to comply with the requirements of the EDI Rule that are applicable to Quest Diagnostics.
EDI. In order to facilitate transactions under this Agreement, the parties may electronically transmit and receive data in agreed formats in substitution for conventional paper-based documents as provided in the Electronic Data Interchange Trading Partner Agreement between the parties dated as of April 20, 1993.
EDI. If any part of this order is affected using Electronic Data interchange [EDI] the Buyer and seller agree that these Terms & Conditions will continue to apply to the articles delivered using EDI.
EDI. The Edi software is a program that offers organizations of all industries and sizes, a secure way to save, create, and structure their digital files, providing for the implementation of an organized office. Any improvement (including either an Update or Upgrade) to or new version by CEGSOFT of the Edi software will require the acceptance by Licensee and all Users of a new Agreement for continued use and functionality of the Edi software, whether partial or full. Subject to the terms and conditions of this Agreement, the Edi software is provided as software as a service (SaaS) which may include a client side component, which installs and operates on computers or workstations or servers that will be used for regular operation and will virtually (or otherwise) connect to a server side component hosting the documents under management. The Software will be hosted by CEGSOFT, or by a third party approved by CEGSOFT, and will be accessible to Licensee through a data/internet connection that must be provided at Licensee’s sole cost and responsibility. In all instances, it is also Licensee’s responsibility to provide the necessary operating systems and the hardware and equipment and their corresponding software, such as scanners and software drivers, so that the Software may operate appropriately.
EDI. (a) Wholesaler's purchase orders, Inventory Reports and chargebacks shall be transmitted to FHPC in an EDI format mutually agreeable to the parties.
(b) Within ninety (90) days after entering this Agreement, the parties shall examine and test the capabilities and compatibility of their respective EDI systems. The parties shall use best efforts to complete within ninety (90) after entering the Agreement the implementation of a mutually agreeable system whereby transfers of information can be made effectively on a consistent basis in accordance with the Policies and Procedures. In the event that critical internal support systems and electronic communication links, including EDI, are not available for five (5) business days, the parties will cooperate to promptly implement substitute procedures to document the information customarily sent by EDI and prevent interruptions to each other's business.
(c) Until the parties complete implementation of the EDI system described herein, Wholesaler shall transmit Inventory Reports to FHPC electronically in a retrievable and readable Excel file.
EDI. The term “EDI” shall mean “Electronic Data Interchange” and shall refer to any interchange of data through the Halliburton Supplier Network or by other digital or electronic means which is intended to effectuate binding purchase and sale transactions and to facilitate the processing of any purchase order, work order, service order, invoice or payment in a manner authorized by Halliburton that is otherwise consistent with the terms and conditions of this Agreement.
EDI. All Electronic Data Interchange (EDI) transactions and/or electronic funds transfers for Product ordered under the terms of this Agreement shall be in accordance with the terms of the Electronic Data Interchange/Electronic Funds Transfer Trading Partner Agreement No. [*].
EDI. Any electronic transmission of this Order, by Electronic Data Interchange (“EDI”) or otherwise, and any electronic or printed summary report or data summary of the information contained in this Order, will constitute an original document or writing that will be admissible into evidence in any legal proceeding (including arbitration).
EDI. If any Business Associate conducts all or any portion of its business or pays any claim in a transaction covered by the Electronic Data Interchange (“EDI”) Rule on behalf of UHS of Delaware or another Loan Party, then Business Associate covenants and warrants that it shall and shall require its agents and/or subcontractors to comply with the requirements of the EDI Rule that are applicable to UHS of Delaware or such other Loan Party.
