Executive's Voluntary Termination. Executive may, at any time, terminate this Agreement without good reason upon written notice delivered to the Company at least 90 days prior to the effective date of termination. In the event of such voluntary termination of this Agreement by Executive: (i) Executive shall have the right to receive Executive's compensation as provided hereunder through the effective date of termination; and (ii) the Company on the one hand, and Executive, on the other hand, shall not have any further right or remedy against one another except as provided in Sections 6, 7 and 8 hereof which shall remain in full force and effect.
Executive's Voluntary Termination. Notwithstanding anything to the contrary contained in this Agreement, Executive may, at any time after at least 90 days prior written notice in accordance with Section 4(g) hereof to the Company, terminate voluntarily Executive's employment hereunder. Upon receiving such notice, the Company may relieve Executive of some or all of Executive’s duties at any time during the notice period without constituting “Good Reason” for termination.
Executive's Voluntary Termination. In the event of the voluntary --------------------------------- termination of this Agreement by the Executive, pursuant to Section 5.6 hereof, the Executive shall have the right to receive the Executive's compensation as provided in Section 4 hereof through the Date of Termination.
Executive's Voluntary Termination. Executive may terminate his employment with UGSI at any time for any reason whatsoever, by giving 60 days' written notice to UGSI.
Executive's Voluntary Termination. Executive may terminate his ---------------------------------- employment with UGS at any time for any reason whatsoever by giving 60 days' written notice to UGS. Upon Executive giving the requisite notice of his intent to terminate his employment, the Company, at its sole discretion, shall have the option of immediately accepting Executive's resignation. Upon accepting Executive's resignation, the Company shall have no further obligation to provide Executive with any benefits and/or payments, except those required by law.
Executive's Voluntary Termination. Upon 30 days’ prior notice to the Company, Executive may voluntarily terminate his employment with the Company. In the event that Executive gives less than 30 days’ prior notice to the Company, Executive’s voluntary termination shall be a material breach of this Agreement. In the event Executive voluntarily terminates his employment upon 30 days’ prior notice to the Company, he shall be entitled to payment by the Company only of: (i) Executive’s base salary at the last rate paid to Executive through the date of the termination of his employment, which shall be payable to Executive in accordance with applicable state law; (ii) any amounts earned, accrued or owing but not yet paid under this Agreement; and (iii) other benefits in accordance with applicable plans or programs of the Company. If Executive voluntarily terminates his employment for Good Reason, other than as a result of a change of control as set forth in Section 4.5 of this Agreement, Executive shall be entitled to the compensation and benefits set forth in Section 4.4 of this Agreement (Termination “Without Cause”).
Executive's Voluntary Termination. Executive may voluntarily terminate this Agreement and Executive’s employment with the BCTDA for any reason, provided that Executive provides the BCTDA with ninety (90) days’ written notice of such termination. If Executive’s employment is terminated by Executive pursuant to this provision, the BCTDA may require that Executive perform or not perform any duties during the notice period.
Executive's Voluntary Termination. In the event of the voluntary termination of this Agreement by the Executive, pursuant to Section 5.6 hereof, the Parent Company shall pay the Executive his salary pursuant to section 4.1 and any Cash Bonus then payable pursuant to 4.2 hereof through the Date of Termination.
Executive's Voluntary Termination. Executive may terminate the Employment Period upon 30 days written notice to the Company, and upon such termination, the provisions of the last paragraph of Section 8(d) shall apply. Upon termination of the Employment Period pursuant to this Section 8(e), the Company will not have any liability to Executive in respect of this Agreement, including, without limitation, claims for damages or liability to the Company by Executive for compensation, severance payments and other benefits which otherwise would have accrued to Executive hereunder after termination; provided, however, that all compensation, benefits and reimbursements accrued through the Termination Date shall be paid to Executive at the times normally paid by the Company. Executive agrees, in connection with the termination of the Employment Period pursuant to this Section 8(e), not to disclose publically his intent to resign.
Executive's Voluntary Termination. The Executive may terminate the Executive's employment for any reason at any time by giving the Board of Directors of the Company written notice of intent to terminate, delivered at least ninety (90) calendar days prior to the effective date of such termination (such period not to include vacation). The termination will automatically become effective upon the expiration of the ninety (90) day notice period. Upon such termination, the Company will pay and provide to the Executive those amounts and benefits set forth in Paragraph 6.8(a) herein.
