Benefits and Reimbursements. 5.1 Executive will, during the Employment Term, have the right to receive such benefits as are generally made available to full-time executive officers of the Company, including the right to participate in any retirement plan or executive bonus plan that the Company may create. In addition, or inclusive of such benefits, the Company will provide Executive with the following: (a) the opportunity to apply for coverage under the Company's medical, life and disability plans, if any. If the Executive is accepted for coverage under such plans, the Company will provide to Executive and his immediate family such coverage on the same terms as is customarily provided by the Company to the plan participants as modified from time to time. (b) in addition to normal holidays recognized by the Company, Executive will be entitled to three weeks paid vacation annually, provided that any vacation may be taken by Executive at any time Executive deems appropriate, upon consultation with the Board of Directors, which may determine that the best interests of the Company require otherwise. 5.2 The Company will reimburse Executive for travel and other out-of-pocket expenses reasonably incurred by Executive in the performance of his duties hereunder, provided that all such expenses will be reimbursed only (i) upon the presentation by Executive to the Company of such documentation as may be reasonably necessary to substantiate that all such expenses were incurred in the performance of his duties, and (ii) if such expenses are consistent with all policies of the Company in effect from time to time as to the kind and amount of such expenses.

(b) In addition to normal holidays recognized by the Company, Executive will be entitled to the greater of (i) three (3) weeks paid vacation annually, or (ii) such other amount of paid vacation as may be afforded executive officers of similar position and seniority to Executive under the Company's policies in effect from time to time (prorated for any year in which Executive is employed for less than the full year). 6.2 The Company will reimburse Executive for travel and other out-of- pocket expenses reasonably incurred by Executive in the performance of his duties hereunder, provided that all such expenses will be reimbursed only (i) upon the presentation by Executive to the Company of such documentation as may be reasonably necessary to substantiate that all such expenses were incurred in the performance of his duties, and (ii) if such expenses are consistent with all policies of the Company in effect from time to time as to the kind and amount of such expenses.
Benefits and Reimbursements. To the extent that reimbursements of expenses or in-kind benefits to be provided following the Employee's Separation from Service are not excluded from the definition of NQDC pursuant to Section 409A (and particularly including Treas. Reg. 1.409A-1(b)(9)(v)) and from the application of Treas. Reg. 1.409A-3(i)(1), then such reimbursements of expenses and in-kind benefits shall be subject to the following rules: (i) all reimbursements of eligible expenses under this Agreement (including expenses of enforcement as provided in Section 19 hereof) shall be made on or before the last day of the Employee's taxable year following the taxable year in which such expenses were incurred by the Employee, (ii) no right to reimbursement or in-kind benefit shall be subject to liquidation or exchange for another benefit; (iii) the amount of expenses eligible for reimbursement, or in-kind benefits provided during an Employee's taxable year shall not in any way affect the expenses eligible for reimbursement, or in-kind benefits to be provided, in any other taxable year (other than Section 409A permitted limits on medical benefits); (iv) reimbursement of expenses and in-kind benefits will be provided for the time period specified in this Agreement; and (v) subject to the foregoing provisions of this Section 5(d), reimbursement of expenses and in-kind benefits will be provided as for active employees.

Benefits and Reimbursements. While you are employed by the Company hereunder, you will be entitled to participate in the employee health insurance plan and programs of the Company to the extent that you meet the eligibility requirements for each individual plan or program. This benefit will be paid by the Company only while you remain employed by the Company. The Company provides no assurance as to the adoption or continuance of any particular employee benefit plan or program, and your participation in any such plan or program shall be subject to the provisions, rules and regulations applicable thereto.
Benefits and Reimbursements. 3.5.1. Employer shall provide medical benefits to Employee through ACWA/JPIA. Employee may choose any plan made available to Employer by ACWA/JPIA. Employee may enroll as an individual employee, as employee and employee's spouse, or for employee's entire family. Employer shall pay 100% ofthe cost ofthe aforementioned health plan (as available as ofthe date of Employee's execution of this agreement), or the nearest equivalent in the event that Employer's plan changes thereafter. 3.5.2. Additionally, Employer shall provide dental, vision and life insurance at the benefit level, or an equivalent benefit level in the event of a policy change, in effect as of the date of Employee's signature herein. 3.5.3. An eligible employee shall have the option of retiring from Employer according to the contract the Employer has with the Public Employee's Retirement System (PERS) to provide what is commonly called "local Miscellaneous 2%@ 55" retirement, plus other contracted optional benefits. 3.5.4. Employer shall contribute to PERS as Employer Paid Member Contribution all of the normal member contributions to PERS for the (Classic) employee retirement. 3.5.5. Employer shall provide Employee with a deferred compensation program, as was in effect as of the date of Employee's execution ofthis agreement. (employees option) 3.5.6. Employee leave benefits (Annual Leave, Sick Leave, Bereavement Leave, et al.) shall be consistent with all employees employed by Employer as of the date of Employee's execution ofthis agreement.
Benefits and Reimbursements. 4.1 Employee will, during the term hereof, have the right to receive such benefits as are generally made available to a full-time manager of the Company. In addition, or inclusive of such benefits, the Company will provide Employee with the following: (a) The Company's standard medical and dental plan insurance covering Employee and his immediate family; and (b) In addition to normal statutory holidays recognized by the Company, Employee will be entitled to 6 weeks paid vacation per year, subject to providing notice to the Board of Directors as to the timing of such vacation time. Such vacation time shall be vested upon the Effective Date Employee may accrue or carry forward up to 2 weeks of unused vacation per year, but in no event shall the total of Employee's annual vacation entitlement of 6 weeks and the unused vacation weeks carried forward exceed 8 weeks. If Employee has 2 weeks of unused vacation accruing, further accruals will be suspended until such time as one or two of the accrued weeks are used. (a) The Company will reimburse Employee for travel and other out-of-pocket expenses reasonably incurred by Employee in the performance of his duties hereunder, including without limitation, telephone and cellular phone expenses, and costs incurred to entertain clients, employees or business associates, provided that all such expenses will be reimbursed only (i) upon the presentation by Employee to the Company of such documentation as may be reasonably necessary to substantiate that all such expenses were incurred in the performance of his duties, and (ii) if such expenses are consistent with all policies of the Company in effect from time to time as to the kind and amount of such expenses.
Benefits and Reimbursements. Except as specifically permitted by Section 409A, the benefits and reimbursements provided to the Executive under this Agreement and any Company Plan during any calendar year shall not affect the benefits and reimbursements to be provided to the Executive under the relevant section of this Agreement or Company Plan in any other calendar year, and the right to such benefits and reimbursements cannot be liquidated or exchanged for any other benefit and shall be provided in accordance with Treas. Reg. Section 1.409A-3(i)(1)(iv) or any successor thereto. Further, in the case of reimbursement payments, such payments shall be made to the Executive on or before the last day of the calendar year following the calendar year in which the underlying fee, cost or expense is incurred.
