EXTERNAL SERVICE PROVIDERS. You authorise us as your agent to engage external service providers needed to perform the work (for example accountants, data management specialists, forensic experts, surveyors or others). You will be responsible only to the extent and as set out in our Fee Proposal for payment of fees and charges of such service providers.
EXTERNAL SERVICE PROVIDERS. The Company is required, from time to time, to contract with external service providers, in the performance of its duties and mandate, or in the best interests of the pet, having regard to the circumstances arising. These external service providers may include, but are not limited to, parties such as veterinarians, animal nurses, transporters, boarding facilities, airlines, support staff, animal nutrition providers et cetera. The Customer acknowledges and agrees that the Company shall not be held liable for any of the conduct of any such external service provider/s, whether wrongful or otherwise, and that any claim in respect of any issue arising from the services received from such party shall be raised between the Customer and such Service Provider, and that the Customer waives and abandons all or any claims, actual or perceived, as against the Company, in respect of any such third-party or external service provider actions or conduct. The Customer further acknowledges and agrees that, whilst every care is taken by the Company to appoint the most reputable service providers, that it, the Company, cannot be held liable for or responsible for the appointment or conduct of such parties, or the products provided by them. To the extent that a Customer seeks to appoint a specific Service Provider, then this shall be done by prior written arrangement between the Company and the Customer, and shall be subject to any conditions laid down by the Company in relation thereto. EXTERNAL SERVICE PROVIDERS. It is the clear position of Council to provide services to the community utilising its own staff. During the life of this Agreement, Council will invest in appropriate skill development, systems and equipment to ensure its workforce is able to deliver quality and efficient services to the community. Council may, however, determine from time to time to utilise external service providers where any of the following criteria is met; • Specialised and/or highly technical tasks for which Council does not have the necessary equipment, resources or expertise. • Short term work when employment of additional permanent employees cannot be justified (recognising that the Award and this Agreement allow for the use of fixed term, casual and Agency employees). • Large or labour intensive works where the Council is unable to apply the required equipment or resources without adversely affecting existing services or operations. • It can be clearly demonstrated that it is in the public interest to utilise external service providers.
EXTERNAL SERVICE PROVIDERS. 8.1. We may disclose Your Data to external service providers (for example, database administrators), which may be based inside or outside Australia, on a confidential basis and provided such service providers are limited in their use of the information to the purpose of Us providing the Service.
EXTERNAL SERVICE PROVIDERS. Dedicated network connection between to Conexant network security administration shall be responsible for ensuring the security of all computing services and connections. When business needs dictate, Conexant networks may, with due diligence, be extended into non-Conexant facilities, but may not be connected to that facility's untrusted networks unless firewalls are put into place. Under conditions where there is no direct Conexant control or supervision of the non-Conexant users who log on to trusted Conexant networks, logins require strong authentication. The management of authentication devices remains at all times the responsibility of the Conexant business unit issuing them. Clearly defined agreements must be established with third party service providers who issue Conexant authentication devices to their employees. Those agreements must spell out the third party's responsibilities in the management and protection of Conexant's security devices, computing resources, and private data.
EXTERNAL SERVICE PROVIDERS. The Supplier has contracted external data processing service providers to collect and process Personal Data on behalf and according to the instructions of the Supplier. Such service providers support the Supplier, especially relating to administering, hosting, distributing, reselling, and/or supporting the Services, hosting and operating the websites and blogs, marketing purposes, statistical analysis, improving the websites and sending Supplier’s email newsletters. If these external companies have access to Personal Data, respective data processing agreements are in place. The entity hosting the Services (“Hosting Entity”) is identified in the Cloud Services Attachment or other contract document between the Supplier and the Customer.

  • EXTERNAL SERVICES The Platform may enable access to third-party services and websites and Applications (collectively and individually, "External Services"). You agree to use the External Services at your sole risk. NCR Voyix is not responsible for examining or evaluating the content or accuracy of any third-party External Services and shall not be liable for any such third-party External Services. Data displayed by any External Service, including but not limited to financial, and location information, is for general informational purposes only and is not guaranteed by NCR Voyix or its agents. You will not use the External Services in any manner that is inconsistent with the terms of this Agreement or that infringes the intellectual property rights of any third party. You agree not to use the External Services to harass, abuse, stalk, threaten or defame any person or entity, and that NCR Voyix is not responsible for any such use. External Services may not be available in all languages or in your home country and may not be appropriate or available for use in any particular location. To the extent you choose to use such External Services, you are solely responsible for compliance with any applicable laws. NCR Voyix reserves the right to change, suspend, remove, disable or impose access restrictions or limits on any External Services at any time without notice or liability to you.

  • Service Providers Provider shall enter into written agreements with all Service Providers performing functions pursuant to this Agreement, whereby the Service Providers agree to protect Student Data in manner no less stringent than the terms of this DPA. The list of Provider’s current Service Providers can be accessed through the Provider’s Privacy Policy (which may be updated from time to time).

  • Third Party Service Providers Unless otherwise prohibited by Apple in the Documentation or this Agreement, You are permitted to employ or retain a third party (“Service Provider”) to assist You in using the Apple Software and Services provided pursuant to this Agreement, including, but not limited to, engaging any such Service Provider to maintain and administer Your Applications’ servers on Your behalf, provided that any such Service Provider’s use of the Apple Software and Services or any materials associated therewith is done solely on Your behalf and only in accordance with these terms. Notwithstanding the foregoing, You may not use a Service Provider to submit an Application to the App Store or use TestFlight on Your behalf. You agree to have a binding written agreement with Your Service Provider with terms at least as restrictive and protective of Apple as those set forth herein. Any actions undertaken by any such Service Provider in relation to Your Applications or use of the Apple Software or Apple Services and/or arising out of this Agreement shall be deemed to have been taken by You, and You (in addition to the Service Provider) shall be responsible to Apple for all such actions (or any inactions). In the event of any actions or inactions by the Service Provider that would constitute a violation of this Agreement or otherwise cause any harm, Apple reserves the right to require You to cease using such Service Provider.

  • The Service Provider upon receipt of a notice contemplated under clause 19.1 shall discontinue the supply of all services or goods under this Agreement, to the extent specified, and on the date specified in the notice.

  • SERVICE PROVIDER’S PERSONNEL 10.1 The Service Provider’s Personnel shall be regarded at all times as employees, agents or Subcontractors of the Service Provider and no relationship of employer and employee shall arise between Transnet and any Service Provider Personnel under any circumstances regardless of the degree of supervision that may be exercised over the Personnel by Transnet. 10.2 The Service Provider warrants that all its Personnel will be entitled to work in South Africa or any other country in which the Services are to be performed. 10.3 The Service Provider will ensure that its Personnel comply with all reasonable requirements made known to the Service Provider by Transnet concerning conduct at any Transnet premises or any other premises upon which the Services are to be performed [including but not limited to security regulations, policy standards and codes of practice and health and safety requirements]. The Service Provider will ensure that such Personnel at all times act in a lawful and proper manner in accordance with these requirements. 10.4 Transnet reserves the right to refuse to admit or to remove from any premises occupied by or on behalf of it, any Service Provider Personnel whose admission or presence would, in the reasonable opinion of Transnet, be undesirable or who represents a threat to confidentiality or security or whose presence would be in breach of any rules and regulations governing Transnet's Personnel, provided that Transnet notifies the Service Provider of any such refusal [with reasons why]. The reasonable exclusion of any such individual from such premises shall not relieve the Service Provider from the performance of its obligations under this Agreement. 10.5 The Service Provider agrees to use all reasonable endeavours to ensure the continuity of its Personnel assigned to perform the Services. If any re-assignment by the Service Provider of those Personnel is necessary, or if Transnet advises that any such Personnel assigned are in any respect unsatisfactory, including where any such Personnel are, or are expected to be or have been absent for any period, then the Service Provider will promptly supply a replacement of equivalent calibre and experience, and any such replacement shall be approved by Transnet prior to commencing provision of the Services, such approval not to be unreasonably withheld or delayed.

  • INDEPENDENT PERSONAL SERVICES 1. Income derived by a resident of a Contracting State in respect of professional services or other activities of an independent character shall be taxable only in that State unless he has a fixed base regularly available to him in the other Contracting State for the purpose of performing his activities. If he has such a fixed base, the income may be taxed in the other State but only so much of it as is attributable to that fixed base. 2. The term "professional services" includes especially independent scientific, literary, artistic, educational or teaching activities as well as the independent activities of physicians, lawyers, engineers, architects, dentists and accountants.

  • Agreements with Other Service Providers Each Fund hereby appoints FSSC as the Fund’s agent to enter into agreements with financial intermediaries that are not registered as broker/dealers under the 1934 Act (each an “Unregistered Intermediary”) to provide Services to their customers that are Shareholders of the Fund. Each Fund agrees to pay Service Fees at an annual rate as set forth in Schedule 1 to this Agreement of up to 0.25% of the average net assets held in Fund accounts for which an Unregistered Intermediary has agreed to provide Services. Any such accounts shall not be treated as FSSC Accounts for purposes of this Agreement.

  • Independent Service Provider The services to be performed by Service Provider are those of an independent service provider and not of an employee of the City of Fort Xxxxxxx. The City shall not be responsible for withholding any portion of Service Provider's compensation hereunder for the payment of FICA, Workmen's Compensation or other taxes or benefits or for any other purpose.

  • Stock Plan Administration Service Providers The Company transfers participant data to Xxxxxx Xxxxxxx, an independent service provider based in the United States, which assists the Company with the implementation, administration and management of the Plan. In the future, the Company may select a different service provider and share the Participant’s data with another company that serves in a similar manner. The Company’s service provider will open an account for the Participant to receive and trade Shares. The Participant will be asked to agree on separate terms and data processing practices with the service provider, which is a condition to the Participant’s ability to participate in the Plan.
