FAIR SHARE/AGENCY SHOP/MAINTENANCE OF MEMBERSHIP a. This provision applies to the Non-Supervisory Nurse Unit only. b. It is recognized that the Association owes the same responsibilities to all employees in the representation unit and has a duty to provide fair and equal representation to all employees in all classes in the unit whether or not they are members of the Association. c. Employees in the Non-Supervisory Nurse Unit who are members, or who become members of the Association shall remain members during the term of this Agreement, unless canceled in writing within the last fifteen-day period of this Agreement, September 15 to September 30. d. All regular and limited-term employees in the Nurse Non-Supervisory representation unit on or after the effective date of this section shall, as a condition of continued employment, beginning with the third full pay period after such effective date and until the termination of the Agreement, be covered by the agency shop as set forth below. The condition as set forth below shall also be applicable to all on-call nurses, except for those on-call nurses hired on or after October 1, 1989, it shall be applied only after such on-call nurse has worked in excess of 480 hours. Such employees shall either: (1) Become a member of the Association ; or (2) Pay to the Association a fair share fee for services rendered by the Association in an amount equal to the monthly periodic dues of the regular membership, less costs which are not related to the administration of this Agreement and the representation of employees, but in no event to exceed 90% of the regular membership dues; provided, however, that each employee will have available to him/her membership in the Association on the same terms and conditions as are available to every other member of the Association; or (a) Execute a written declaration that the employee is a member of a bona fide religion, body, or sect which holds a conscientious objection to joining or financially supporting any public employee organization as a condition of employment; and (b) Pay a sum equal to the agency fee described in Subsection d.(2) to a non-religious, non-labor charitable fund chosen by the employee from those charities listed within United Way or XXXX. The employee shall furnish written proof to the County and the Association that this contribution has been made. (4) Any solicitations or representations made to employees for the purposes of Association membership or payment of fair share fees shall clearly state that such memb...

A copy or a summary of the Merger Agreement shall be included in or enclosed with the notice of a special meeting or the written consent. (c) Except as provided in Section 14.3(d), after such approval by vote or consent of the Limited Partners, and at any time prior to the filing of the certificate of merger pursuant to Section 14.4, the merger or consolidation may be abandoned pursuant to provisions therefor, if any, set forth in the Merger Agreement. (d) Notwithstanding anything else contained in this Article XIV or in this Agreement, the General Partner is permitted, in its discretion, without Limited Partner approval, to merge the Partnership or any Group Member into, or convey all of the Partnership’s assets to, another limited liability entity which shall be newly formed and shall have no assets, liabilities or operations at the time of such Merger other than those it receives from the Partnership or other Group Member if (i) the General Partner has received an Opinion of Counsel that the merger or conveyance, as the case may be, would not result in the loss of the limited liability of any Limited Partner or any Group Member or cause the Partnership or any Group Member to be treated as an association taxable as a corporation or otherwise to be taxed as an entity for federal income tax purposes (to the extent not previously treated as such), (ii) the sole purpose of such merger or conveyance is to effect a mere change in the legal form of the Partnership into another limited liability entity and (iii) the governing instruments of the new entity provide the Limited Partners and the General Partner with the same rights and obligations as are herein contained.

If providing cloud computing services for System Agency that are subject to the state risk and authorization management program, Contractor certifies it will maintain program compliance and certification throughout the term of the Contract.
