Based on our variable rate debt outstanding at March 31, 2000 xxter taking into account our derivative instruments, we estimate that a one-percentage point change in interest rates would not currently have a material impact on our net interest expense. FOREIGN CURRENCY EXCHANGE RATE RISK The sensitivity analysis below presents the hypothetical change in fair value based on an immediate 10% decrease in the US dollar to pound sterling exchange rate: MAR 31, 2002 MAR 31, 2001 ------------ ------------ FAIR VALUE HYPOTHETICAL FAIR VALUE HYPOTHETICAL ---------- CHANGE IN ---------- CHANGE IN FAIR VALUE FAIR VALUE ---------- ---------- (POUND)M (POUND)M (POUND)M (POUND)M US dollar-denominated long-term debt............................... RECENTLY ISSUED ACCOUNTING STANDARDS NOT YET ADOPTED SFAS 143 ACCOUNTING FOR ASSET RETIREMENT OBLIGATIONS In July 2001, the FASB issued SFAS 143, "Accounting for Asset Retirement Obligations". SFAS 143, which is effective for fiscal years beginning after June 15, 2002, requires entities to record the fair value of a liability for an asset retirement obligation in the period in which it is incurred. Over time, the liability is accreted to its present value each period, and the capitalized cost is depreciated over the useful life of the related asset. Upon settlement of the liability, an entity either settles the obligation for its recorded amount or incurs a gain or loss upon settlement. The Group is required to adopt this standard from Janua...

The Interest Rate Cap Agreement (i) is in a form and substance reasonably acceptable to Lender, (ii) is with an Acceptable Counterparty, (iii) directs such Acceptable Counterparty to pay directly to an account pledged to Lender any amounts due Borrower under such Interest Rate Cap Agreement unless and until otherwise instructed by Lender (it being agreed as between Lender and Borrower that Lender will so instruct the Counterparty at such time as the Debt shall no longer exist, provided that the Debt shall be deemed to exist if the Properties are transferred by judicial or non-judicial foreclosure or deed-in-lieu thereof), and (iv) has a notional amount at least equal to the principal balance of the Loan outstanding on the Closing Date (it being understood that the notional amount of the Interest Rate Cap Agreement may be reduced, from time to time, as the principal balance of the Loan is reduced (in the amounts of such reduction in principal) pursuant to clause (g) below).
