General Information Purpose. The Office of National Drug Control Policy (ONDCP) strongly supports CADCA’s National Youth Leadership Initiative (NYLI) training program. Since 2011, ONDCP has directly provided resources to expand this effective youth leadership training at CADCA’s National Leadership Forum and the Mid-Year Training Institute. CADCA’s NYLI is building a future workforce of coalition leaders by teaching young people the life skills they need to be effective community change agents. CADCA’s youth-led, adult-guided approach follows the best practices in youth development, empowering young people to be vocal and visible as they work to impact a broad range of public health issues where they live, study, and play. The Purpose of this Cooperative Agreement is to continue to support NYLI at CADCA’s conferences and to expand support for the NYLI to develop the infrastructure needed to increase the number of youth for targeted special populations (i.e., LGBTQ, Tribal, Military, Hispanic, African- American and Inner City) to receive enhanced training in coalition work and the prevention of youth substance use.

General Information Purpose. The purpose of this Request for Proposal (RFP) is to solicit and select an independent benefits consultant (hereinafter referred to as Consultant) to advise the County of El Paso (hereinafter referred to as COEP) for employee health and welfare benefits management and act as its representative as needed with third party providers and other parties. This Agreement consists of the provisions set forth below, including provisions of all Attachments referenced herein. In the event of a conflict between the provisions set forth below and those contained in any Attachment, the provisions set forth shall control. The Vendor Agreement shall include and incorporate by reference this Agreement, the terms and conditions, special terms and conditions, any agreed upon amendments, as well as all of the sections of the solicitation as posted, including any addenda and the awarded vendor’s proposal. Once signed, if an awarded vendor’s proposal varies or is unclear in any way from the TIPS Agreement, TIPS, at its sole discretion, will decide which provision will prevail. Other documents to be included are the awarded vendor’s proposals, task orders, purchase orders and any adjustments which have been issued. If deviations are submitted to TIPS by the proposing vendor as provided by and within the solicitation process, this Agreement may be amended to incorporate any agreed deviations.   • Access to Financial Information Buyer’s representatives shall have access to, and Seller and its Affiliates shall cooperate with Buyer and furnish upon request, all financial and other information relating to the Hotel’s operations to the extent necessary to enable Buyer’s representatives to prepare audited financial statements in conformity with Regulation S-X of the Securities and Exchange Commission (the “SEC”) and other applicable rules and regulations of the SEC and to enable them to prepare a registration statement, report or disclosure statement for filing with the SEC on behalf of Buyer or its Affiliates, whether before or after Closing and regardless of whether such information is included in the Records to be transferred to Buyer hereunder. Seller shall also provide to Buyer’s representative a signed representation letter in form and substance reasonably acceptable to Seller sufficient to enable an independent public accountant to render an opinion on the financial statements related to the Hotel. Buyer will reimburse Seller for costs reasonably incurred by Seller to comply with the requirements of the preceding sentence to the extent that Seller is required to incur costs not in the ordinary course of business for third parties to provide such representation letters. The provisions of this Section shall survive Closing or termination of this Contract.

Both parties agree that all Information shall either be in writing or other tangible format and clearly marked with a confidential, private or proprietary legend, or, when the Information is communicated orally, it shall also be communicated that the Information is confidential, private or proprietary. The Information will be returned to the owner within a reasonable time. Both parties agree that the Information shall not be copied or reproduced in any form. Both parties agree to receive such Information and not disclose such Information. Both parties agree to protect the Information received from distribution, disclosure or dissemination to anyone except employees of the parties with a need to know such Information and which employees agree to be bound by the terms of this Section. Both parties will use the same standard of care to protect Information received as they would use to protect their own confidential and proprietary Information.
