Governmental Notices and Consents. Each of the Parties shall give any notices to, make any filings with, and use reasonable efforts to obtain, any authorizations, consents and approvals of governments and governmental agencies in connection with the matters contemplated by this Agreement. Each Party shall promptly inform the other Parties of any communications to or from the Securities and Exchange Commission or any other Governmental Entity regarding the transactions contemplated by this Agreement.
Governmental Notices and Consents. All consents and licenses, permits, authorizations, approvals, filings with and notifications to any Governmental Authority required to be made or obtained in order for the Sellers to consummate the transactions contemplated by this Agreement shall have been made or obtained and the waiting period under the HSR Act shall have expired or been terminated and the merger control approvals by the merger control authorities in Xxxxxxx, Xxxxx, Xxxxxxx, Xxxxx, Xxxxx, Xxxxx Xxxxx, Xxxxx and Turkey shall have been obtained or deemed to be obtained or, where the transactions contemplated under this Agreement may be implemented before obtaining the respective approval, shall have been waived by Buyer.

Each Party shall use its Reasonable Best Efforts to obtain, at its expense, all Permits from Governmental Entities, and to effect all registrations, filings and notices with or to Governmental Entities, as may be required for such Party to consummate the transactions contemplated by this Agreement and to otherwise comply with all applicable laws and regulations in connection with the consummation of the transactions contemplated by this Agreement.

During the period between the date of this Agreement and the Closing, the Company, the Purchaser and Parent shall give any notices to, make any filings with, and use commercially reasonable efforts to obtain the Governmental Approvals. Notwithstanding the foregoing, nothing in this Section 7.4 shall prohibit the Company from taking any action or omitting to take any action as required or as expressly contemplated by this Agreement.

The Summit Investors shall promptly reimburse the Company for the amount of the Xxxx-Xxxxx-Xxxxxx filing fees paid by the Company on their behalf in the event that this Agreement is terminated pursuant to Section 10.

(a) Each of the parties shall, and shall cause its Affiliates or ultimate parent entities to, give any notices to, make any filings with, and use reasonable best efforts to obtain, any authorizations, waiting period terminations or expirations, consents and approvals of Governmental Entities required in connection with the matters contemplated by this Agreement. Without limiting the generality of the foregoing, each of the parties shall, and shall cause its Affiliates and ultimate parent entities to, within five (5) Business Days after the date hereof, file any Notification and Report Forms and related material that it is required to file with the Federal Trade Commission and the Antitrust Division of the United States Department of Justice under the HSR Act, and use its reasonable best efforts to obtain an early termination of the waiting period under the HSR Act in connection with any such required filing, and shall promptly make any further filings or productions pursuant thereto that may be required or requested by a Governmental Entity in connection therewith. In addition, with the reasonable cooperation of Seller, Buyer shall, and shall cause its Affiliates and ultimate parent entities to, within five (5) Business Days after the date hereof, file any forms or notices with a non-U.S. Governmental Entity that are required to be filed or submitted prior to the Closing in connection with the matters contemplated by this Agreement (the “Required Foreign Filings”), and use its reasonable best efforts to obtain early termination of any waiting periods and shall promptly make any further filings or productions pursuant thereto that may be required or requested by a Governmental Entity in connection therewith. Buyer shall be responsible for paying all filing fees required in connection with the HSR filings and the Required Foreign Filings. Subject to restrictions required by law, the parties shall promptly supply, and shall cause their Affiliates and ultimate parent entities promptly to supply, to the other any information which is requested by the other and may be reasonably required in order to make any filings or applications required to be made pursuant to this Section 4.2(a).
