Grantee’s Obligations. The Grantee shall fully and timely provide all services described in the attached Agreement Exhibits in strict accordance with the terms, covenants, and conditions of the Agreement and all applicable federal, state, and local laws, rules, and regulations.
Grantee’s Obligations. On Closing, the Grantee shall deliver the following documents to the Grantor:
(1) Grantee’s shareholders’ and board resolution to authorize Grantor to execute, deliver and perform this Agreement;
(2) The certificate of payment as provided in section 2.1.
Grantee’s Obligations. The making of Periodic Inspections or the failure to do so shall not impose upon Grantor any liability of any kind whatsoever nor relieve Grantee of any responsibility, obligations or liability assumed under this Agreement.
Grantee’s Obligations. During the term of this Agreement, Grantee at its sole cost and expense shall obtain and maintain any and all necessary permits, licenses, franchises and approvals that may be required by federal, state or local law, regulation or ordinance, and shall continuously comply with all such laws, regulations or ordinances as may now or in the future be applicable to the Grantee's use and operation of the Cable. If Grantee or any permitted assignee shall at any time fail to maintain such approvals, Grantor may terminate this Agreement without any liability or obligation to Grantee pursuant to Section 21.3(iv).
Grantee’s Obligations. The Grantee, at its sole cost and expense, shall design, in cooperation with Grantor, all electronic and optronic equipment and provide detailed specifications, construction working prints and other necessary data for NUNet and the NEON Network including, without limitation, the Cable and repeaters, patch panels, terminations, terminals, splice cases and closures, alarm monitoring equipment and all Equipment and all other necessary and related articles of property which, together with the articles of property to be designed by Grantor pursuant to Section 6.1 are required to provide fiber optic transmission capacity throughout the Route Segments. All Equipment and other equipment utilized solely in connection with NUNet shall be paid for solely by Grantor.
Grantee’s Obligations. 4.2.1 On Option Completion and subject to the performance of the delivery obligations of the Grantor under Clause 3.2.1 above, in respect of the title to the Option Shares, the Grantee shall settle the Consideration Shares within 10 business day after the Option Completion, the Grantee shall deliver to, or procure the delivery to, the Grantor or as it may direct, the relevant share certificates for the Consideration.
Grantee’s Obligations. In consideration of the Grant to be provided by the Government, the Grantee shall:
(a) use the Grant wholly and exclusively for the purpose of the Project and in accordance with the Approved Budget;
(b) commence the Project on the date specified in Schedule A or such other date as may be approved in writing by the Government Representative;
(c) carry out the Project on prudent commercial principles in accordance with Schedule A, with due diligence and in a conscientious, skillful and timely manner in accordance with this Agreement;
(d) comply with the “Governance and Internal Control in Non-Governmental Organisations” and “Strengthening Integrity and Accountability – Government Funding Schemes Grantee’s Guidebook” (“ICAC Guides”) issued by of the Independent Commission Against Corruption (the “ICAC”) in the conduct of the Project including without limitation in the recruitment and procurement for as well as the general administration and management of the Project. Proper records shall be kept in accordance with the ICAC Guides and shall be made available for inspection by the Government Representative upon request;
(e) maintain fairness and transparency in recruiting personnel for the Project, and shall ensure that all such personnel are well qualified, suitably deployed, and properly remunerated;
(f) attend all meetings at such time and in such manner as may be required by the Government Representative including the giving of presentations and briefings on or relating to any aspect of the Project;
(g) through the Government Representative keep the Government informed of all matters relating to the Project;
(h) answer all reasonable enquiries made by the Government Representative on all matters relating to the Project;
(i) comply with all laws and regulations applicable to the Project and procure, maintain and renew upon expiry all requisite, licence, permit, exemption, consent, authorisation, etc. required by law for or otherwise in relation to the carrying out of the Project; and
(j) comply with all reasonable instructions and directions on all matters relating to the Project as the Government Representative may from time to time issue to the Grantee.
Grantee’s Obligations. Provided that the Grantee has been given the permission referred to below in this Section 10, the Grantee shall maintain and repair the Cable, including emergency repairs and splices, pursuant to the terms and conditions outlined in Exhibit 10.1 -
Grantee’s Obligations. The Grantee shall fully and timely provide all services described in Exhibit A.1, Program Work Statement in strict accordance with the terms, covenants, and conditions of the Agreement and all applicable Federal, State, and local laws, rules, and regulations.
Grantee’s Obligations. 5.1 The Grantee warrants, represents and undertakes that it will use the Grant for the purposes for which the Grant is awarded.
5.2 Any significant variance from the proposed research and associated activities (as detailed in the Application and Otfer Letter) must be approved by Nature Research, pursuant to advice received the Grant Panel but in its absolute discretion.
5.3 If the Grantee fails to obtain the approval of Nature Research under clause 5.2, the Grantee shall return any unspent funds to Nature Research immediately.
5.4 The Grant funds can be used to cover the following direct costs of research:
(a) salaries of the principle investigator and other team members;
(b) travel and subsistence for team members as required to deliver the project;
(c) the costs of consumables, materials, supplies, software and small, non-capital equipment (up to US$10,000) required to deliver the research project;
(d) publication costs;
(e) ethical approval and other licence fees; and
(f) consultancy and subcontracting fees.
5.5 The Grantee should cite the sources of data used to carry out the research and follow any accompanying terms and conditions.
5.6 The Grantee shall submit the Mid-Term Report by the end of the seventh month from the date of this Funding Agreement.
5.7 Mid-Term Reports may be up to 3 sides A4 and shall include:
(a) grant number and title;
(b) summary of project progress with reference to original aims and timelines;
(c) findings and outputs to date;
(d) summary of any challenges;
(e) work still to be done including any revised timelines; and
(f) planned publications and outputs.
5.8 The Grantee shall submit a final report within three months of the end of the Grant. Final reports may be up to 6 pages A4 and shall include:
(a) grant number and title;
(b) details of project progress with reference to original aims and timelines;
(c) details of resulting data, analysis and findings;
(d) details of outputs to date;
(e) further planned publications and outputs;
(f) details of challenges;
(g) opportunities to continue the current project or for future follow-on work future work; and
(h) a statement of expenditure.
5.9 Grantees are responsible for ensuring that all the necessary licences and approvals have been obtained to undertake research funded through the Grant.
5.10 The Grantee should follow good publication practice as set out by, for example, the Committee on Publication Ethics and the Council of Science Editors.
