Incorporation of Lease Terms. Except as expressly modified or amended by this Partial Termination of Lease Agreement, all of the terms, conditions, covenants and agreements contained in the Lease (i) are incorporated herein by reference, (ii) shall remain in full force and effect and (iii) shall be applicable to and binding upon Landlord and Tenant during the Extended Lease Term.
Incorporation of Lease Terms. The terms, conditions and covenants of the Lease are incorporated herein by this reference except to the extent expressly modified herein.
Incorporation of Lease Terms. The provisions of the Lease, except where clearly inconsistent or inapplicable to this Agreement, are incorporated into this Agreement.
Incorporation of Lease Terms. In the event of any express conflict or inconsistency between the terms of the Existing Lease and the terms of this Amendment, the terms of this Amendment shall control and govern. In all other respects, the terms, covenants and conditions of the Existing Leas are hereby ratified, confirmed and incorporated by reference.
Incorporation of Lease Terms. Verity hereby subleases to ---------------------------- Teleworld and Teleworld hereby subleases from Verity, the Premises. Except as otherwise expressly herein provided, such sublease of the Premises shall be on all of the terms, covenants, conditions and provisions in the Lease, which terms, covenants, conditions and provisions are incorporated in and made a part hereof as if fully set forth herein, and are imposed upon the respective parties of this Sublease, with Verity hereunder being substituted for Landlord under the Lease, and Teleworld hereunder being substituted for Tenant under the Lease; provided that the following provisions of the Lease are not incorporated into this Sublease: Section 2.1 (first sentence only), Section 2.2, Section 2.3, Section 3.1, Section 5.4, Section 7.3, Article 8, First Addendum to Lease dated January 22, 1996, Second Addendum to Lease dated January 22, 1996, First Amendment to Lease dated June 20, 1996, Second Amendment to Lease dated November 5, 1996, and Third Amendment to Lease dated January 17, 1997. Teleworld shall comply with all of the terms and conditions applicable to Tenant under the Lease in connection with, but only with respect to, its occupancy and use of the Premises and the Common Area. Teleworld shall have the right to use eighty-seven (87) parking stalls in the parking areas of the Project. To the
1. extent the provisions of this Sublease are inconsistent with or different from the provisions of the Lease, the provisions of this Sublease shall control the rights and obligations of Verity and Teleworld with respect to the use and occupancy of the Premises and the Common Area.
Incorporation of Lease Terms. Except to the extent inconsistent with ---------------------------- the terms of this Sublease, all the terms and conditions contained in the Lease are made terms and conditions of this Sublease (with each reference in the Lease to Landlord and Tenant to be deemed to refer in this Sublease to Tenant and Subtenant, respectively). Subtenant shall not have any right to exercise any options provided to Tenant in the Lease without Tenant's prior written consent, which consent may be withheld in Tenant's sole discretion.
Incorporation of Lease Terms. Subtenant has reviewed a complete copy of the Lease, agrees to comply with all of the obligations of the Tenant under the Lease (whether requested by Landlord or Tenant), and specifically consents to the terms thereof. Subtenant hereby assumes and agrees to abide by and comply with, for the benefit of Tenant and Landlord, all covenants, obligations and undertakings of Tenant under the Lease. Subtenant shall not do or permit to be done anything, which would constitute a default under the Lease or cause the Lease to be terminated or forfeited. In the event Subtenant causes or permits what Tenant reasonably deems to be a default under the Lease, in addition to all other remedies available to Tenant, Tenant shall be entitled to enter the Premises, without Subtenant’s consent, and cure said default, whereupon all expenses incurred by Tenant thereby shall be additional rent due and payable with the next monthly rent payment.
Incorporation of Lease Terms. The provisions set forth in the Lease are incorporated into this Memorandum of Lease by this reference.
Incorporation of Lease Terms. With the exception of those matters set forth in this Amendment, Lessee's leasing of the Leased Premises shall be subject to all terms, covenants and conditions of the Lease. In the event of any express conflict or inconsistency between the terms of this agreement and the terms of the Lease, the terms of this Amendment shall control and govern.
Incorporation of Lease Terms. Except as hereinafter provided and modified, all of the covenants, agreements, terms, definitions, provisions and conditions of the Lease are hereby incorporated by reference herein, do apply to the Additional Rental Area and the Future Additional Space, and shall be binding upon Landlord and Tenant.
