Information for Applications. To the extent permitted by law, AALP will furnish AMI with all information concerning AALP and its directors and officers required for inclusion in any application, statement or document to be made or filed by AMI with any federal or state regulatory or supervisory authority in connection with the matters contemplated by this Agreement. All information concerning AALP contained in the AMI applications shall, to the knowledge of AALP, at the time such information is furnished, be true and correct in all material respects and will not omit any material fact necessary in order to make its statements therein, in light of the circumstances in which they were made, not misleading; provided, that information as of a later date shall be deemed to modify information as of an earlier date. AALP will indemnify and hold harmless AMI from and against any and all losses, claims, damages, expenses or liabilities to which AMI may become subject under applicable laws, rules and regulations or otherwise, including expenses incurred in enforcing the rights granted under this Section 7.2, and will reimburse AMI for any legal or other expenses reasonably incurred by them in connection with investigating, defending or prosecuting any actions whether or not resulting in liability, insofar as such losses, claims, damages, expenses, liabilities or actions arise out of or are based on any untrue statement or alleged untrue statement of a material fact contained in any application filed by AMI or arise out of or are based upon the omission or alleged omission to state therein a material fact required to be stated therein, or necessary in order to make the statements therein, in light of the circumstances under which they were made, not misleading, but only insofar as such statement or omission was made in reliance upon and in conformity with information furnished by AALP in writing expressly for use therein.
Information for Applications. Each of RRI and RRI Subsidiary will cooperate with and will use reasonable efforts to furnish the Company with all the information concerning RRI and RRI Subsidiary required for inclusion in (a) all applications filed or to be filed by the Company with the SEC and any other governmental or regulatory agency or department for authority to consummate the transactions contemplated by this Agreement; and (b) any other application or statement to be made by the Company to any governmental body in connection with such matters. Each of RRI and RRI Subsidiary represents and warrants that all information so furnished for such statements and applications shall be true and correct in all material respects without omission of any material fact required to be stated to make the information stated therein not misleading.
Information for Applications. (a) AMI will use its best efforts to take or cause to be taken all other actions necessary, proper or advisable to consummate the matters contemplated by this Agreement, including such actions which are necessary, proper or advisable in connection with filing applications with, or obtaining approvals from, all regulatory authorities having jurisdiction over the matters contemplated by this Agreement and the Merger. AMI shall use its best efforts to obtain or cause to be obtained consents of all third parties necessary to permit AMI to consummate the transactions contemplated herein.
Information for Applications. Texas National shall, to the extent permitted by law, furnish Bancshares with all information required for inclusion in (i) any application, statement or document to be made or filed by Bancshares or Bayshore with any governmental entity in connection with the transactions contemplated by this Agreement during the pendency of this Agreement ("Regulatory Applications"), and (ii) any registration statement and amendments thereto ("Registration Statement") to be filed by Bancshares with the Securities and Exchange Commission ("SEC") or any state securities authorities in order to register the shares of common stock of Bancshares ("Bancshares Common Stock") to be sold in order to obtain the proceeds to pay the Consolidation Price ("Securities Filings"). Texas National represents and warrants to Bancshares that all information to be furnished by Texas National for inclusion in any Regulatory Applications or Securities Filings shall be true and correct in all material respects and shall not contain any statement which, at the time and in light of the circumstances under which it is made, is false or misleading with respect to any material fact, or omit to state any material fact necessary in order to make the statements therein, in light of the circumstances in which they are made, not misleading. Texas National agrees at any time, upon the request of Bancshares, to furnish to Bancshares a written letter or statement confirming the accuracy of the information with respect to Texas National contained in any application or filing referred to in Sections 4.1 or 4.8 of this Agreement, and confirming that the information with respect to Texas National contained in such document or draft was furnished by Texas National expressly for use therein or, if such is not the case, indicating the inaccuracies contained in such document or indicating the information not furnished by Texas National expressly for use therein. Section 4.9.
Information for Applications. The Sellers shall, and to the extent ---------------------------- permitted by law, the Sellers shall cause the Bank to, furnish the Purchaser with all information required for inclusion in any application, statement or document to be made or filed by the Purchaser with any Governmental Entity in connection with the transactions contemplated by this Agreement during the pendency of this Agreement. Each Seller represents and warrants to the Purchaser that, to its knowledge, all information to be furnished by Sellers or the Bank for inclusion in any application, statement or document filed by the Purchaser in connection with this Agreement and the contemplated transactions shall be true and correct in all material respects and shall not contain any statement which, at the time and in light of the circumstances under which it is made, is false or misleading with respect to any material fact, or omit to state any material fact necessary in order to make the statements therein, in light of the circumstances in which they are made, not misleading.
Information for Applications. The Parties shall cooperate with each other, their representatives and counsel in the preparation of any documents or other material which may be required by any Governmental Authority in connection with the Transactions.

First Bank shall, to the extent permitted by law, furnish Bancshares with all information required for inclusion in (i) any application, statement or document to be made or filed by Bancshares or Bayshore with any governmental entity in connection with the transactions contemplated by this Agreement during the pendency of this Agreement ("Regulatory Applications"), and (ii) any registration statement and amendments thereto

BWI will cooperate with and will use reasonable efforts to furnish the Company with all the information concerning BWI required for inclusion in (a) all applications filed or to be filed by the Company with the SEC and any other governmental or regulatory agency or department for authority to consummate the transactions contemplated by this Agreement; and (b) any other application or statement to be made by the Company to any governmental body in connection with such matters. BWI represents and warrants that all information so furnished for such statements and applications shall be true and correct in all material respects without omission of any material fact required to be stated to make the information stated therein not misleading.
Information for Applications. (a) The Buyer will promptly furnish to the Seller all information concerning the Buyer reasonably required for inclusion in any application or statement to be made by the Seller to, or filed by the Seller with, any governmental body in connection with the transactions contemplated by this Agreement, or in connection with any unrelated transactions during the pendency of this Agreement, and the Buyer represents and warrants that all information so furnished for such statements and applications shall be true and correct in all material respects and shall not omit any material fact required to be stated therein or necessary to make the statements made, in light of the circumstances under which they were made, not misleading.

ICN will cooperate with and will use reasonable efforts to furnish the Company with all the information concerning ICN required for inclusion in (a) all applications filed or to be filed by the Company with the SEC and any other governmental or regulatory agency or department for authority to consummate the transactions contemplated by this Agreement; and (b) any other application or statement to be made by the Company to any governmental body in connection with such matters. ICN represents and warrants that all information so furnished for such statements and applications shall be true and correct in all material respects without omission of any material fact required to be stated to make the information stated therein not misleading.
