Investor Servicing Fee. Subject to any special circumstances or limitations described in or otherwise provided in a Memorandum or this Section 4: (i) each Trust will pay to the Dealer Manager a fee (the “DST Investor Servicing Fee”) equal to 0.25% per annum of the total equity investment in the DST Interests sold, determined separately with respect to each Trust as described in the Memorandum. The DST Investor Servicing Fee will be payable monthly in arrears and may be reallowed (paid) in whole or in part to Participating Distribution Agents who sold the DST Interests giving rise to such DST Investor Servicing Fee, as described more fully in the Participating Distribution Agreement entered into with each such Participating Distribution Agent, and which Participating Distribution Agreement will provide the amount of the DST Investor Servicing Fee, if any, which will be reallowed to the applicable Participating Distribution Agent. Each Trust will cease paying the DST Investor Servicing Fee with respect any DST Interests as of the effective date of any FMV Option exercised by the Operating Partnership with respect to such DST Interests; and (ii) the Operating Partnership will pay to the Dealer Manager, solely with respect to OP Units issued in connection with the FMV Option in exchange for DST Interests and only until the Fee Limit (if any and as defined below) has been reached, a fee (the “OP Unit Investor Servicing Fee” and, collectively with the DST Investor Servicing Fee, the “Investor Servicing Fee”) comprised of (a) for applicable Class S-1 OP Units, an investor servicing fee equal to 0.85% per annum of the aggregate net asset value (“NAV”) for the Class S-1 OP Units and (b) for applicable Class D-1 OP Units, an investor servicing fee equal to 0.25% per annum of the aggregate NAV for the Class D-1 OP Units. Investor Servicing Fee. On each Determination Date, with respect to any Monthly Period, the Servicer shall calculate the Investor Servicing Fee for the preceding Monthly Period. With respect to each Monthly Period, the Investor Servicing Fee plus any Unpaid Investor Servicing Fee shall be paid to the Servicer on behalf of the holder of the Series 2004-CC Certificate at the time specified and to the extent of funds available pursuant to the Transfer and Servicing Agreement.

(b) The Investor Servicing Agent may pay amounts that it receives pursuant to this Section 3 to any person, including any "affiliated person" (as such term is defined in the Investment Company Act) of the Investor Servicing Agent, if such person provides Investor Services.

Investor Servicing Fee. (a) In recognition of the payments BISYS will make to the Investor Service Providers in respect of their provision of Investor Services to Members, the Fund will pay BISYS within ten (10) days of the end of each calendar quarter a fee equal to 0.50% (on an annualized basis) of the aggregate value of outstanding Interests determined as of the last day of the quarter (before any repurchases of Interests) (the "Investor Servicing Fee"). (b) BISYS may pay amounts pursuant to this Section 2 to any affiliate of BISYS, or to the investment adviser of the Fund (or any affiliate of the investment adviser), if such person is an Investor Service Provider.

(ii) Following the Operating Partnership’s exercise of the FMV Option with respect to any given Units, with respect to all such Units that convert to and are classified as Class A OP Units (defined below), the Operating Partnership will pay to the Dealer Manager an Investor Servicing Fee that is calculated daily on a continuous basis from year to year, equal to 1/365th of 0.85% per annum of the net asset value (“NAV”) of such Units. No Investor Servicing Fee will be payable with respect to any Units that convert to or are classified as Class M-I OP Units (defined below). “Class A OP Units” means limited partnership interests in the Operating Partnership that are classified and defined, in the limited partnership agreement of the Operating Partnership (“OP Agreement”), as “Class A Units.” “Class M-I OP Units” means limited partnership interests in the Operating Partnership that are classified and defined, in the OP Agreement, as “Class M-I Units.”
Investor Servicing Fee. The share of the Monthly Servicing Fee allocable to Series 2005-1 for any Transfer Date (the "Investor Servicing Fee") shall be equal to one-twelfth of the product of (a) the Series Servicing Fee Percentage and (b) the Investor Interest as of the last day of the Monthly Period preceding such Transfer Date; provided, however, that with respect to the first Transfer Date, the Investor Servicing Fee shall be equal to $1,250,000; provided, further, that if FNBO or Trustee is Servicer, the Investor Servicing Fee shall be reduced by the amount, if any, by which the Servicer Interchange for such Monthly Period exceeds the amount of Interchange included as Collections of Finance Charge Receivables allocable to the Series 2005-1 Certificates with respect to such Monthly Period pursuant to Section 4.17. The remainder of the Monthly Servicing Fee shall be paid by the Holders of the Transferor Interest or the investors in other Series or Note Series (as provided in the related Supplement or Indenture Supplements) and in no event shall Trustee or the Series 2005-1 Certificateholders be liable for the share of the Monthly Servicing Fee to be paid by such other Persons.
