Just Energy: Just Energy Illinois Corp. and Just Energy Solutions Inc. Also referred to as “we”, “our”, and “us”. JustGreenTM: our green energy product option for natural gas ("JustGreen Gas") and our green energy product option for electricity (“JustGreen Electricity”). Location: The gas and/or electricity account listed on the Customer Agreement relating to your premises for service. Price: as set out on the Customer Agreement, the Electricity and/or Gas Price. Utility: your local electricity or natural gas distribution utility. Utility Price: the published Price to Compare found on xxxxxxxxxxxxxx.xxx.

Price: The Electricity Price on the Customer Agreement that we charge you for Electricity. Transmission Charges: charges for moving high voltage electricity from a generation facility to the distribution lines of an electric distrubiton company. Small Business Customer: A nonresidential Customer that uses less than 50,000 kWh annually, or is otherwise accepted by Just Energy to qualify under this Agreement. Utility: Your local distribution utility: Duquesne. Also called an Electric Distribution Company.

Agreement: Collectively, this Natural Gas Price General Terms and Conditions together with the LOA, Confirmation or Welcome Letter and, if applicable, any attached schedule, as well as the recorded verification phone call constitutes your entire Agreement with Just Energy Solutions, Inc. Just Energy: Just Energy Solutions Inc., (“Just Energy”); also referred to as “we”, “our” and “us”. CPUC: California Public Utilities Commission. End Date: The date we no longer provide gas service under this Agreement, Energy Charge: The total monthly or per therm cost of supplying gas to your home, including the cost of JustGreen and/or Energy Efficiency products and additional service provided by Just Energy, if applicable. Gas Supply: the natural gas commodity Just Energy supplies to your Location(s) under this Agreement. JustGreen: our green energy product option for natural gas. JustGreen Charge: the charge, expressed in cents per therm or a flat fee included as part of your monthly supply charge, which cost depends on the level of JustGreen you select. LOA: Letter of Authorization. Location: each Gas account listed on the Customer Agreement (and on any attached schedule), relating to your premise(s) for service, or replacement thereof, is a separate “Location” bound by this Agreement. Price: as set out in the LOA, the Confirmation or Welcome Letter as the Natural Gas Price, as applicable. Residential Customer : Retail customers (account holder) that are primarily end users consuming natural gas at the customer’s place of residence for personal, family or household purposes and who are not resellers of natural gas, also referred to as “I”, “my”, “you”, and “your”. Start Date: The date gas service begins with Just Energy. Utility: your local distribution and transportation Utility; Pacific Gas and Electric (PG&E) or Southern California Gas Company (SoCalGas).

Key Defined Terms. AGLC Base Charge: The AGLC Base Charge is a regulated charge from AGLC that is billed through each gas marketer. Agreement: this Natural Gas Agreement under which Commerce Energy agrees to sell and the Customer agrees to buy the quantities of Gas necessary to serve the Customer’s full usage requirements at the Location. Collectively, it is the Letter of Agency (front page), the Customer Disclosure Statement, the Customer Terms and Conditions, Third-Party Verification recording and, if applicable, any attached schedule of Multiple Locations. Commercial Customer: a premises with commercial/industrial service as defined in AGLC’s tariff on file with the PSC. Commerce Energy: Commerce Energy, Inc. (“Commerce Energy”); also referred to as “we”, “our” and “us”. Customer: the account holder(s) named on the Letter of Agency page and/or Customer Disclosure Statement and, if applicable, the attached schedule of Multiple Locations. Each account holder is a “Customer” bound by this Agreement; also referred to as “I”, “my”, “you”, and “your”. Such customer must be at least 18 years old to establish an account with Commerce Energy. Customer Service Fee: A monthly fee related to Commerce Energy’s cost of maintaining and servicing your account. Gas: the natural gas we supply to your Location under this Agreement. GPSC: Georgia Public Service Commission. Location: each Gas account relating to your premise(s) for service, or replacement thereof, is a separate “Location” bound by this Agreement. Price: The charge for Gas used during the month’s billing cycle. As set out in the Customer Disclosure Statement; the Natural Gas Price. Residential Customer: A premises at which natural gas is consumed primarily for personal, family or household use. Senior Discount Plan: You may qualify for a special senior discount off the standard variable default price plan if you are at least 65 years old and have a total household income of $14,355 or less. Please contact Commerce Energy’s Customer Service for further details. Utility: Your electing distribution company: Atlanta Gas Light Company (AGLC). AGLC distributes natural gas on behalf of Commerce Energy, maintains the gas pipeline system, manages your meter services and responds to gas leaks and other emergencies.

(a) “Collateral Agreement” shall mean, as the context may require, (i) the Collateral Agreement, dated as of the Effective Date, by and among the Borrower and the Guarantors party thereto in favour of the Senior Agent (the “RCF Collateral Agreement”) or (ii) the Amended and Restated Collateral Agreement, dated as of the Effective Date, by and among the Borrower and the Guarantors party thereto in favour of the Junior Agent, as applicable (the “Note Collateral Agreement”). (b) “Excluded Account” under each Secured Document shall mean: (i) each account all or substantially all of the deposits in which consist of amounts utilized to fund payroll, employee benefit or tax obligations, (ii) fiduciary, trust or escrow accounts, (iii) “zero balance” accounts, (iv) any Dutch law governed bank account right on or over which a Loan Party is prohibited from creating security by reason of any in rem (goederenrechtelijk) or other pledge restriction (verpandingsverbod) being applicable to any contract or third party arrangement which has been entered into with the Dutch account bank, to the extent consent or approval cannot be obtained using commercially reasonable efforts; provided that the Borrower has notified the Agents of such determination and, prior to the Discharge of Senior Lien Obligations, the Senior Agent (at the direction of the Required Lenders) or, thereafter, the Junior Agent (as directed by an Act of the Required Secured Parties),
