Key Service Provider Personnel. At a minimum, twenty-five percent (25%) of the annual incentive and variable compensation (and not less than a material portion of the total annual compensation) of the Key Service Provider Personnel listed on Attachment 5-A shall be based upon the factors set forth in Section 8.3(a).

(a) Evaluation Input. DIR shall have a meaningful opportunity to provide information to Service Provider with respect to DIR's evaluation of the performance of the Service Provider Account Manager and the other Key Service Provider Personnel and such evaluation shall be reasonably considered by Service Provider in establishing the bonus and other compensation of such individuals.
Key Service Provider Personnel. Service Provider shall designate Key Personnel for the Service Component and each of the service areas in accordance with the MSA, Section 8.1, Key Service Provider Personnel. At a minimum, Key personnel shall include: • Account Manager • Executive Sponsor • Transition Manager (TM) • Technical Subject Matter Experts or Leads All proposed personnel shall be immediately available to provide services as required. Key Service Provider Personnel may not be removed from the project without DIR’s written permission.
Key Service Provider Personnel. For Services which involve administration and/or monitoring of a Study on behalf of Portola, Service Provider guarantees that the key Service Provider Personnel (the “Key Service Provider Personnel”) identified and mutually agreed upon in a particular Work Order will remain assigned to the Study covered by such Work Order as long as the individuals remain employed by Service Provider, unless (a) an individual identified as Key Service Provider Personnel is unavailable for reasons of disability, death, maternity or paternity leave, leave of absence, demotion, illness, promotion or other reasons not reasonably within Service Provider’s control, or (b) Portola requests, or has requested in connection with an earlier Study, the replacement of any such Key Service Provider Personnel who are not performing to Portola’s standards. Service Provider will work with Portola in periodically reviewing the performance of the Key Service Provider Personnel and will seek to remedy any underperformance. Key Service Provider Personnel. The individuals specified in the Statement of Work will be the initial Key Service Provider Personnel. All Key Service Provider Personnel will be dedicated to the Customer account on a full-time basis.
7.2.1 Before assigning any new individual to a Key Service Provider Personnel position, Service Provider will (i) consult with Customer regarding the proposed assignment, (ii) introduce the individual to appropriate representatives of Customer and provide Customer the opportunity to interview such individual, (iii) subject to applicable Law, provide Customer with any information regarding the individual that may be reasonably requested by Customer and (iv) obtain Customer's approval for the proposed assignment.
7.2.2 Service Provider will not, for a period of at least [*] after the last day that a person was one of the Key Service Provider Personnel, assign that person to perform similar services for any Customer Competitor, without Customer's prior written consent, which Customer may give or withhold in its sole but reasonable discretion.
7.2.3 Service Provider agrees that Customer satisfaction will be a key performance incentive for the compensation of the Key Service Provider Personnel. Customer may provide recommendations to Service Provider regarding the criteria to be used in evaluating the Key Service Provider Personnel's eligibility for incentive-based compensation. Service Provider will (i) consider such recommendations in good faith, (ii) implement such recommendations, to the extent consistent with Service Provider's policies regarding incentive-based compensation, (iii) notify Customer if Service Provider is not able to implement any such recommendations and (iv) at Customer's request, provide any and all information regarding the amount and basis for any incentive-based compensation that it pays to the Key Service Provider Personnel.
Key Service Provider Personnel. All Service Provider Personnel (as defined in Section 3.4) identified in a Statement of Work as “Key Service Provider Personnel” will remain assigned to perform Services covered by the applicable Statement of Work as long as such individuals remain employed by or under contract with Service Provider, unless (a) an individual is unavailable for reasons of disability, illness or promotion; or (b) Tectonic has requested the replacement of any individual who is not performing in accordance with this Agreement or the Statement of Work to Tectonic’s reasonable satisfaction. Service Provider will cooperate with Tectonic in periodically reviewing the performance of the Key Service Provider Personnel and will promptly remedy any concerns to Tectonic’s reasonable satisfaction in accordance with this Agreement or the Statement of Work. Service Provider will promptly select a qualified replacement should any Key Service Provider Personnel resign or become otherwise unavailable as specified above or if Tectonic requests the replacement of any such Key Service Provider Personnel. Tectonic will have the right to approve any such replacement, which approval will not be unreasonably withheld.
