Transition Manager. Each Party shall designate an individual to manage the Transition (each a “Transition Manager”) during the Transition Period. The Provider Transition Manager shall manage the Transition on a dedicated, full-time basis during the Transition period. The Provider Transition Manager shall (i) report to the Provider Program Manager, (ii) serve as the single point of accountability for Provider for the Transition and (iii) have day-to-day authority for ensuring that the Transition is completed in accordance with the Transition Plan. The Provider Transition Manager shall be one of Provider’s Key Provider Personnel.
Transition Manager. Each Party will appoint [***] employees to have primary responsibility and oversight for, and to serve as the primary point of contact regarding, the transition activities contemplated by this ARTICLE 2 and the Transition Plan (each, the “Transition Manager”). When making a request of the other Party in connection with the Transition Plan or Manufacturing transfer activities, each Party shall only contact the Transition Manager of the other Party unless otherwise directed by the Transition Manager of the other Party.
Transition Manager. Supplier shall designate Transition Manager as Supplier Key Personnel, as provided in Section 12.2 (Supplier Key Personnel) of the Agreement. The initial Transition to Supplier Services will require the establishment of a Transition team with membership from both Supplier and County. The Supplier shall dedicate a Transition Manager who will be in place for the duration of the Transition. The Supplier Transition Manager shall be responsible for Managing the Supplier Transition Plan and the Transition Services and Transition Deliverables, including interfacing with Third Party Vendors. The Supplier Transition Manager will ensure that the Transition Plan is developed in accordance with County Project Management methodologies. The Supplier Transition Manager will follow the policies, practices and norms of the County’s Project Management Office (PMO) and ensure that progress reviews and reports are produced in a timely manner. The Supplier Transition Manager will Coordinate all activities with the County’s Transition manager. The Transition Manager shall at a minimum:
(A) be experienced at managing and coordinating transitions of similar scale, Service mix, and complexity;
(B) have experience with, and have skills and knowledge related to:
(i) the Transition of each of the Functional Services Areas, and collectively the Services,
(ii) engaging Third Party Vendors and Subcontractors effectively as they impact the Transition, and
(iii) engaging with the County Personnel to effectively execute the Transition Plan;
(C) be responsible for assuring appropriately skilled and knowledgeable personnel are available and that Transition Services are successfully delivered on time and within scope and budget; and
(D) be knowledgeable and experienced at using the Supplier’s Best Practices for managing Transition Services as well as Supplier’s Best Practice tools, processes and procedures.
Transition Manager. For a period of six (6) months commencing on the Closing Date, the Seller shall make available to the Purchaser its Head of Regulatory Liaison, or that person's designee, each of whom is familiar with the CombiPatch Product and the CombiPatch Business, to receive questions from the Purchaser and to coordinate the timely response (which, in any event, shall be given within seven (7) days) to such inquiries with regard to the CombiPatch Product, the Purchased Assets or the Seller's operation of the CombiPatch Business in the Territory and to assist the Purchaser by providing to the Purchaser such information in the possession of the Seller as may be reasonably required by the Purchaser to ensure an orderly transition of the operation of the CombiPatch Business in the Territory to the Purchaser
Transition Manager. The initial Transition to Vendor Services will require the establishment of a Transition team with membership from both Parties. The Vendor shall dedicate a Transition Manager who will be in place for the duration of the Transition. The Vendor Transition Manager shall be responsible for managing the Vendor Transition Plan and the Transition Services and deliverables therein, including interfacing with the current provider. The Vendor Transition Manager will ensure that the Transition Plan is developed in accordance with County project management methodologies. The Vendor Transition Manager will follow the policies, practices and norms of the County’s Project Management Office (PMO) and ensure that progress reviews and reports are produced in a timely manner. The Transition Manager shall be at a minimum: Experienced at managing and coordinating transitions of similar scale, scope and complexity Knowledgeable about the County IT application, infrastructure and business processes associated with the applicable Transition of Services Knowledgeable about how each of the Vendor In-Scope Service Areas, Third Parties and subcontractors impact the Transition Responsible for assuring appropriately skilled and knowledgeable resources are available and that Transition activities are successfully delivered on time and within scope and budget Knowledgeable about the Vendor’s best practices for Transition management as well as Vendor’s standard tools, processes and procedures
Transition Manager. Each Party shall appoint a senior representative (each, a “Transition Manager”) who possesses a basic understanding of the relevant operational, regulatory and commercial issues to manage the transfer obligations to GENUPRO envisioned under this Agreement (the “Transition”). The initial Transition Manager for each Party is set forth in Schedule 6.2, and either Party may later replace such Transition Manager by providing written notice thereof to the other Party (which notice shall identify the new Transition Manager and provide contact information therefor), provided that any replacement Transition Manager shall possess reasonably sufficient expertise to reasonably satisfy the intended role of the Transition Manager under this Agreement and leadership responsibilities within the relevant Party that are substantially similar to or more senior than those of the preceding Transition Manager. Each Party’s Transition Manager shall be the primary contact with the other Party in connection with the on-going implementation, communication and voting on matters within the Transition Team’s authority concerning the Transition and shall lead his/her Party’s Transition Team (as defined below).
Transition Manager. The Supplier Transition Manager will work with Client during the Transition Period to facilitate the contract initiation, knowledge transfer, definition of procedures, and the transfer of maintenance to Supplier.
Transition Manager. Unisys will provide a Transition Manager who will be responsible for the transition/migration activities during the first year of the UHS contract.
Transition Manager. The Contractor must, during the Transition Period, appoint a suitably experienced and skilled Transition Manager. The role of Transition Manager may be performed by the same person who performs the role of the Contractor Representative, or alternately the Transition Manager must report directly to the Contractor Representative. The Transition Manager must:
(i) oversee, coordinate and manage the discharge of the Transition Obligations; and
(ii) liaise with the State, and keep the State informed, as to the discharge of the Transition Obligations.
Transition Manager. WYETH and CATALYST have each appointed up to two persons to oversee and manage the Transition Plan (each a “Transition Manager”, and such transition, the “Transition”). CATALYST’s Transition Manager is Xx. Xxxxxx Xxxxxxxxxxxx, and WYETH’s Transition Managers are [* * *] and [* * *]. Each Party’s Transition Managers shall be the primary contact for each Party with respect to activities under the Transition Plan.
