Liability; Warranty. 5.1. The Experimenter shall fully and exclusively bear the risks in connection with the Experiment, including without limitation to any risk arising from the use of the Testbed. The Experimenter shall hold harmless and indemnify the Coordinator and/or the Fed4FIRE+ Partners harmless against all losses, repayments, liabilities, claims or damages which the Fed4FIRE+ Partners and/or the Coordinator as a result thereof would incur or suffer or have to pay to the European Commission or any third parties. In addition, should the European Commission have a right of recovery against the Coordinator or any other Beneficiary regarding any or all of the Financial Support granted under the Agreement, the Experimenter shall repay the sums in question in the terms and on the dates stipulated by the Coordinator.
Liability; Warranty. NEITHER WEST NOR THIRD PARTIES SHALL BE LIABLE TO SUBSCRIBER OR TO ANY PERSON CLAIMING THROUGH SUBSCRIBER OR TO WHOM SUBSCRIBER MAY HAVE PROVIDED SERVICE-RELATED INFORMATION FOR ANY LOSS OR INJURY ARISING OUT OF OR CAUSED IN WHOLE OR IN PART BY XXXX’S OR THIRD PARTIES’ NEGLIGENT ACTS OR OMISSIONS IN PROCURING, COMPILING, COLLECTING, INTERPRETING, REPORTING, COMMUNICATING, OR DELIVERING SERVICES OR IN OTHERWISE PERFORMING THIS AGREEMENT. SUBSCRIBER ACKNOWLEDGES THAT EVERY BUSINESS DECISION INVOLVES ASSUMPTION OF A RISK, AND THAT NEITHER WEST NOR ANY THIRD PARTY UNDERWRITES THAT RISK IN ANY MANNER WHATSOEVER. IF, NOTWITHSTANDING THE FOREGOING, LIABILITY CAN BE IMPOSED ON WEST OR A THIRD PARTY, THEN SUBSCRIBER AGREES THAT WEST’S AND/OR THIRD PARTIES' AGGREGATE LIABILITY FOR ANY AND ALL LOSSES OR INJURIES ARISING OUT OF ANY ACT OR OMISSION OF WEST AND/OR THIRD PARTIES IN CONNECTION WITH ANYTHING TO BE DONE OR FURNISHED UNDER THIS AGREEMENT, REGARDLESS OF THE CAUSE OF THE LOSS OR INJURY (INCLUDING NEGLIGENCE) AND REGARDLESS OF THE NATURE OF THE LEGAL OR EQUITABLE RIGHT CLAIMED TO HAVE BEEN VIOLATED, SHALL NEVER EXCEED THE COST OF THE SERVICE OR SERVICES TO WHICH A GIVEN CLAIM RELATES AND WHICH WAS CHARGED TO SUBSCRIBER, AND SUBSCRIBER COVENANTS AND PROMISES THAT IT WILL NOT XXX XXXX AND/OR THIRD PARTIES FOR AN AMOUNT GREATER THAN SUCH SUM EVEN IF WEST AND/OR THIRD PARTIES WERE ADVISED OF THE POSSIBILITY OF SUCH DAMAGES AND THAT IT WILL NOT SEEK PUNITIVE DAMAGES IN ANY SUIT AGAINST WEST AND/OR THIRD PARTIES, ALL IN CONSIDERATION OF THE RECEIPT BY SUBSCRIBER OF SERVICES AT THE RATES CHARGED BY WEST HEREUNDER, WHICH ARE FAR LOWER THAN WOULD BE AVAILABLE TO SUBSCRIBER ABSENT THE WAIVERS AND DISCLAIMERS CONTAINED HEREIN. WEST AND THIRD PARTIES DO NOT MAKE AND HEREBY DISCLAIM ANY WARRANTY, EXPRESS OR IMPLIED. WEST AND/OR THIRD PARTIES DO NOT GUARANTEE OR WARRANT THE CORRECTNESS, COMPLETENESS, CURRENTNESS, MERCHANTABILITY, OR FITNESS FOR A PARTICULAR PURPOSE OF THE SERVICES OR THE COMPONENTS THEREOF. IN NO EVENT SHALL WEST OR THIRD PARTIES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, PUNITIVE OR CONSEQUENTIAL DAMAGES, HOWEVER ARISING, INCURRED BY SUBSCRIBER FROM RECEIPT OR USE OF INFORMATION DELIVERED HEREUNDER, OR THE UNAVAILABILITY THEREOF.

Liability; Warranty. (1) Seller and Purchaser agree that the subject matter of this agreement is not the Company but the Shares and that Seller disclaims any liability for defects in quality or title in the Company including the Company’s earning capacity or the value of the Shares or individual items of the Company’s assets.
Liability; Warranty. 64. The Registrar expressly acknowledges that it has an obligation of result with respect to the Registry Operator for all the legal and contractual obligations it is tasked with ensuring, and unreservedly agrees to fulfil that obligation.

Liability; Warranty. 1. The supplier warrants the timely supply of the gas. If the supply is delayed or insufficient, the purchaser may assert a claim according to legal warranty provisions.
Liability; Warranty. The supplier guarantees that the delivered item is free from visible and hidden defects and with the agreed specifications. When a delivery is not of the specified quality (section 2.2) or if it is otherwise defective in any way, or if it lacks a guaranteed feature, the supplier is obligated to immediately provide replacement and cover any costs and damages on the part of Tratter Engineering and possibly in addition, on the part of end customers due to the lack of delivery. This also includes costs for possible returns of defective items. If the supplier does not fulfil the subsequent improvement or replenishment request by Xxxxxxx Engineering immediately after or if the repair fails, Tratter Engineering may withdraw from the order and leave the supplier's expense for the order carried out by a third party. The warranty period is, in accordance with the usual warranty period in the automotive industry, 48 months.
Liability; Warranty. Forwarding/Disclosure of confidential information to third parties that is not expressly permitted under this Agreement would lead to a significant disadvantage of the Disclosing Party and cause irreparable financial harm to its business, and shall therefore entitle it to demand immediate surrender or destruction of all confidential information by the Receiving Party, including all copies thereof. The Receiving Party shall immediately indemnify and hold harmless the Disclosing Party from and against any and all xx- xxxxx caused by a breach of this Agreement. The Disclosing Parties exclude any liability and warranty for accuracy and completeness of the information delivered. In the case of liability this shall not include cases of wilful intent or gross negligence. Furthermore neither of the Parties assumes liability for the consequences of unauthorised forwarding/disclosure of information by the Receiving Party. The Disclosing Party shall be informed immediately if and when any violation of confidentiality in any form whatsoever occurs.
