Licensee's Use. Licensee shall use the Premises for swim practices and not for any other use. The hours of use will be 6:00 a.m. until approximately 7:45 a.m. Monday through Friday beginning no earlier than May 1 and ending no later than August 31 Assigned days and hours are subject to change during the period of this agreement if West Orange activities mandate such change. In the event of a conflict with a Township activity where pool and changing room use is required, the Township shall contact the Senior Aquatics Director of the Montclair Y and notify the Licensee of the unavailability of the premises as soon as the conflict is evident. No alternate arrangements need be made.

No alternate arrangements need be made. Fee and Insurance. A fee shall be payable in the amount of $65.00 per hour plus the expense of an assistant manager or other authorized individual employed by the Township who must be onsite at all times during Licensee's use of the Premises. Licensee agrees to maintain public liability insurance naming itself and Township as named insured in an amount not less than one million ($1,000,000) dollars per occurrence and two million ($2,000,000) dollars in the aggregate. The Montclair Y shall carry liability insurance with a minimum combined single limit of One Million ($1,000,000.00) dollars for bodily injury and property damage. The Montclair Y shall provide the original of a Certificate of Insurance to this effect upon signing this agreement. Further, the Montclair Y represents that all participants and staff have additional medical insurance and emergency room coverage under a policy provided through United States Swimming ($10,000,000.00) and will provide a copy of that documentation included with this signed agreement.
Licensee's Use. Licensee acknowledges and agrees that all use of the Licensed Trademarks by Licensee shall inure to the benefit of Licensor and hereby assigns any and all right, title or interest in or to the Licensed Trademarks and all the goodwill associated therewith that may accrue to the benefit of, or be acquired by, Licensee as a result of its exercise of the rights and licenses granted pursuant to this Agreement or otherwise. Sales by Licensee of Licensed Equipment in connection with the Licensed Trademarks shall be deemed to have been made by Licensor for purposes of trademark registrations of the Licensed Trademarks and all uses of the Licensed Trademarks by Licensee shall inure to the benefit of Licensor for such purposes.
Licensee's Use. (A) Licensee agrees that in its use and enjoyment of the Licensed Premises and in the exercise of the rights granted herein, it will use every reasonable precaution and will comply with all applicable laws. Licensee shall construct, maintain, and operate the roadway in such manner as to avoid the creation of any nuisance to air navigation at the Airport or create any damage to persons or property. (B) This License is granted by Licensor upon the express condition that the Licensee will restore and/or cause to be restored all portions of the Licensed Premises to substantially the same condition as reasonably existed immediately prior to the granting of this License. (C) There is hereby reserved to Licensor, its successors and assigns, for the use and benefit of the County and the public, a right of flight for the passage of aircraft in the air space above the surface of the land and facilities herein described, together with the right to cause in said air space such noise and conditions as may be inherent in the operation of aircraft, now known or hereafter used for navigation or flight in the air using said air space or landing at, taking off from or operating on the land and/or facilities at the Airport on which the Licensed Premises is located. (D) Licensee expressly agrees for itself, its successors and assigns to restrict the height of structures, objects of natural growth and other obstructions to be located as authorized herein on the Licensed Premises to such a height that complies with FAA Regulations, including but not limited to Part 77, and with the Code of Miami-Dade County, whichever is more restrictive, as same may be amended from time to time. (E) Licensee expressly agrees for itself, its successors and assigns, to prevent any use of the described land and facilities which would interfere with or adversely affect the operation or maintenance of the Airport, or otherwise constitute an Airport hazard. (F) By the acceptance of this License, Licensee expressly agrees for itself, its successors, and assigns, to restrict the height of structures, objects of natural growth, and other obstructions on the County lands described above to such height as is compliant with Federal Aviation Regulations, or with the Code of Miami-Dade County, whichever is more restrictive. Licensee's Use. Licensee shall use the Premises solely for the installation, operation and maintenance, at Licensee’s sole expense, of Licensee’s Telecom Equipment for the purpose of providing communications services in accordance with the Federal Communication Commission (“FCC”) license or licenses held by Licensee for said use (“FCC License”), a copy of which shall be provided to Licensor. Subject to the other terms and conditions hereof, Licensee shall have the right to install, maintain, repair and replace Licensee’s Telecom Equipment. Licensee shall conduct its communication services at the Premises utilizing only the frequency or frequencies, along with details of Licensee’s Antenna Facilities specified on Exhibit 4. Licensee shall not change or add to these frequencies without the prior written consent of Licensor, which consent shall not be unreasonably withheld. No exclusive use of the Property has been granted to Licensee by this Agreement. Licensor shall have the right to approve or disapprove, in Licensor’s sole discretion, any changes or additions to Licensee’s Telecom Equipment in accordance with Paragraph 12 of this Agreement. Except as provided in Paragraph 12, nothing contained in this Agreement shall be interpreted to obligate Licensor to consent to any requested change or addition to Licensee’s Telecom Equipment.
Licensee's Use. Licensee may use the Software for any purpose whatsoever and, at Licensee's sole expense, modify the Software, which modifications shall inure to the benefit of Licensor and Licensee.
