Maintenance and Support Fees. Your year 1 maintenance and support fees for the Tyler Software are listed in the Investment Summary, and your payment obligations are set forth in the Invoicing and Payment Policy. We reserve the right to suspend maintenance and support services if you fail to pay undisputed maintenance and support fees within thirty (30) days of our written notice. We will reinstate maintenance and support services only if you pay all past due maintenance and support fees, including all fees for the periods during which services were suspended.
Maintenance and Support Fees. Year 1 maintenance and support fees are waived through the earlier of (a) availability of the Tyler Software for use in a live production environment; or (b) one (1) year from the Effective Date. Year 2 maintenance and support fees, at our then‐current rates, are payable on that earlier‐of date, and subsequent maintenance and support fees are invoiced annually in advance of each anniversary thereof. Your fees for each subsequent year will be set at our then‐ current rates.
Maintenance and Support Fees. The following fees shall be payable by Licensee for services provided under Exhibit F (Post Development Support) and Exhibit E (Development and Training Services):
Maintenance and Support Fees. In consideration of RSA's providing the ---------------------------- maintenance and support services described herein, OEM agrees to pay RSA the initial Maintenance Fee set forth on the first page hereof. Such amount shall be payable for the first year upon the execution of this Agreement and for each subsequent year in advance of the commencement of such year. The Maintenance Fee may be modified by RSA for each renewal term by written notice to OEM at least ninety (90) days prior to the end of the then-current term. If OEM elects not to renew this Agreement for successive terms (as provided in Section 6.1 below) OEM may re-enroll only upon payment of the annual Maintenance Fee for the coming year and for all Maintenance Fees that would have been paid had OEM not ceased maintenance and support.
Maintenance and Support Fees. Licensor will make the following Maintenance & Support Services available to the Licensee: Standard Maintenance and Support Services The Licensee shall receive support by phone, email, or if necessary site visits during the duration of the agreement. Standard updates (e.g. service packs, security updates, patches, etc.) are included in the Standard Maintenance and Support Service Fee and will be delivered to the Licensee electronically, in a manner agreed upon by the parties (e.g., email attachment, web download,) or by sending a CD- rom. Licensee may request that a Licensor technician install the updates, either on-site, or remotely, in which case, such support shall be offered to Licensee on a time and materials basis at the rates set forth in the “Services and Pricing Tables”. Licensee may, at its option, allow Licensor technical staff to log into the Licensee’s system remotely in order to install Updates or to resolve technical problems.
Maintenance and Support Fees. 1. For maintenance and support anticipated by the provisions of this Appendix C as delineated above, Licensee shall pay CIC __________________________. Additionally, Licensee shall reimburse CIC for actual and pre-approved travel, meals and lodging expenses incurred in providing on-site maintenance and support hereunder. Such fees shall be paid within 15 days after the date of receipt, by Licensee, of CIC's invoice together with documentation substantiating the hours worked and expenses incurred pursuant to this Section.
Maintenance and Support Fees. BTE shall have the right to purchase the Maintenance and Support Services and Vendor shall provide the Maintenance and Support Services for the annual amount specified in the applicable Procurement Document or Statement of Work based on the Prices set forth in Exhibit 2.2, Pricing Schedule. Maintenance and Support Service fees (and any applicable Software Subscription Service fees) shall be due and paid on a quarterly basis to Vendor. BTE shall have the right to terminate Maintenance and Support Services for any Products upon [**] prior notice to Vendor and recover any pro-rata portion of pre-paid fees for such Maintenance and Support Services. During any period in which Maintenance and Support Service fees are charged to BTE, the parties shall agree upon a quarterly true-up process to account for a per Product unit fee adjustment respecting the addition and/or subtraction of deployed Product under Maintenance and Support Services during the preceding quarterly period to be applied in the subsequent quarterly period.
Maintenance and Support Fees. Each Licensor shall provide each applicable Licensee or end user with maintenance and support services (“Maintenance and Support”) as provided in the applicable Schedule in exchange for an annual Maintenance and Support fee, which fee shall be as specified on the applicable Schedule. The initial Maintenance and Support period shall be set forth in the applicable Schedule. Upon expiration of the initial Maintenance and Support period, each applicable Licensee may separately elect to renew Maintenance and Support for additional periods. The applicable Licensors shall offer to renew Maintenance and Support to each applicable Licensee upon the terms and conditions contained in this Agreement, the applicable Schedule and any specific Maintenance and Support agreement entered into between the applicable Parties, for so long as the applicable Licensors are offering such or similar services to their other customers, but in any event, for at least as long as set forth in the applicable Schedule. Such renewal shall be made pursuant to a written agreement or amendment signed by the applicable Parties’ authorized representatives.
Maintenance and Support Fees. Licensee shall pay to Palm fees as specified in Exhibit D (Royalties and Fees) for maintenance and support of Licensee Products and Updates, Upgrades and New Versions made available by Palm to Licensee pursuant to Sections 6.1 and 7 (“Maintenance and Support Fees”). Such fees shall be due and payable by Licensee to Palm [*] for each quarter during the term [*]. In no event will such fees entitle Licensee to receive any assistance in integrating any Palm Software with any Licensee Products (except as expressly set forth in Section 7.1 (Development Support) below), any custom development work for Licensee or any Licensee Products, or any modifications to any Palm Software. Licensee acknowledges that the maintenance and support fees set forth on Exhibit D apply only with respect to the support and maintenance of the Licensee Products listed on Exhibit D. Licensee further acknowledges and agrees that if Exhibit D is amended by the parties to add additional Licensee Products, then additional maintenance and support fees will apply with respect to such Licensee Products.

TRANSACTION FEES This SOW does not change any existing transaction fees for the BARS service. The current transaction fee of 2.6% per transaction will remain as is. To accomplish the tasks outlined in this SOW and provide the deliverables defined in the Deliverables/Milestones section of this document, STATE Project Manager will work with HIC Project Manager/Project Liaison to establish a project plan/timeline in conjunction with Deliverables/Milestones, HIC will require the following from STATE by the agreed upon dates in the Work Plan. If STATE does not provide any of these items by the required date, delivery dates for HIC deliverables will be revised accordingly.
