Maintenance of Existence; Compliance with Law. (a) (i) Preserve, renew and keep in full force and effect its organizational existence and (ii) take all reasonable action to maintain or obtain all Governmental Approvals and all other all rights, privileges and franchises, in each case necessary or desirable in the normal conduct of its business, except, in each case, as otherwise permitted by Section 6.7 or by the Security Agreement and except, in the case of clause (ii) above, to the extent that failure to do so could not reasonably be expected to have a Material Adverse Effect; (b) comply with all Requirements of Law except to the extent that failure to comply therewith could not, in the aggregate, reasonably be expected to have a Material Adverse Effect; and (c) comply with all Governmental Approvals except to the extent that failure to do so could not reasonably be expected to have a Material Adverse Effect.

Maintenance of Existence; Compliance with Law. The Company shall and shall cause each Subsidiary to keep in full force and effect its corporate existence, except where the failure to do so will not have a Material Adverse Effect, and will comply in all material respects with all applicable laws and regulations in the conduct of its business except those being contested in good faith by appropriate procedures and will file with the Commission in a timely manner all reports and other documents required of the Company under the Securities Act and the Exchange Act.
