Marketing and Sales Services. Subject to the terms and conditions of this Agreement, during the Term, Delek Marketing shall market the Refinery Products and perform such other services as are reasonably necessary to carry out the transactions contemplated by this Agreement in a capable and professional manner, including, without limitation, the following: (a) promptly identify potential new buyers of the Refinery Products, evaluate the creditworthiness of such potential new buyers and make recommendations to Delek Refining with respect to such potential new buyers (it being understood and agreed that Delek Refining shall make the decision as to whether it will transact with any such buyer and Delek Marketing will have no liability for any bad debt of such buyer); (b) promptly negotiate and recommend for approval by Delek Refining commercially competitive terms (under prevailing market conditions) of any purchase orders or supply contracts for the Refinery Products; (c) provide such personnel, equipment and vehicles necessary to perform the marketing and sales services contemplated herein; (d) diligently monitor sales volumes and inventories of Refinery Products; (e) act as the primary point of contact for sales and marketing issues relating to the Delek Refining Contracts; and (f) monitor accounts receivable with respect to the Refinery Products and any taxes or other charges related thereto.

Marketing and Sales Services. All marketing and sales to customers in the Territory pursuant to this Agreement shall be by and in the name of Octel. Except as otherwise provided in this Agreement, all orders shall be placed with Octel and Octel shall collect all proceeds from such sales.
Marketing and Sales Services. Seller shall continue to respond to sales inquiries for Business Products in substantially the same manner as Seller responded prior to the Effective Date, and Seller shall issue quotations to and accept purchase orders for Business Products from Buyer’s customers on the behalf of Buyer at prices to be provided by Buyer.

Marketing and Sales Services. Licensor shall (i) include the Hotel in all local, regional and worldwide tactical promotional and advertising programs directed at the business, leisure and meetings market, if Licensor reasonably deems such inclusion is suitable and beneficial to the market in which the Hotel operates, (ii) include the Hotel in Licensor's worldwide strategic promotional and advertising programs, (iii) include the Hotel in any other marketing, advertising and promotional programs which Licensor may offer to other System Hotels from time to time, (iv) represent and promote the Hotel through Licensor's worldwide sales offices and (v) include the Hotel in its strategic promotional program for preferred guests including, without limitation, the Hotel in all promotional materials distributed to participants or members in such program.
Marketing and Sales Services. (1) XXXXXX shall use his best efforts to promote, sell and market the cellular services in the LICENSE AREA for CELLULAR ONE's best interest. XXXXXX shall organize and put in place a complete marketing, sales and service organization for the cellular telecommunications business in the LICENSE AREA. XXXXXX shall prepare and provide to CELLULAR ONE by January 15, 1989 a comprehensive plan illustrating the activities of such organization for the term of this Management Agreement. Such efforts shall include, but not limited to, the appointment of a sales manager, marketing personnel and others necessary to conduct a first-class sales and marketing program for cellular telecommunications services. (2) XXXXXX shall make use of his existing customer list for CELLULAR ONE's benefit. (3) XXXXXX shall maintain quality advertising of the cellular system in the LICENSE AREA. The marketing and advertising program for the one year period of this agreement, which provides for, but is not limited to, the selection of media, the use and employment of advertising assistants or consultants, the preparation and adoption of an advertising and marketing budget, and a methodology for review and study of the effectiveness of the proposed marketing and advertising program for the cellular services in the LICENSE AREA is provided as Attachment A.

  • Marketing and Sales Provide a detailed plan beginning from award date of the Master Agreement describing the strategy to immediately implement the Master Agreement as supplier’s primary go to market strategy for Public Agencies to supplier’s teams, to include, but not limited to:

  • Promotion and Marketing For the purpose of promotion and marketing, the Borrower hereby authorizes and consents to the reproduction, disclosure and use by the Lenders and the Agent of its name, identifying logo and the Facilities. The Borrower acknowledges and agrees that the Lenders shall be entitled to determine, in their sole discretion, whether to use such information; that no compensation will be payable by the Lenders or the Agent in connection therewith; and that the Lenders and the Agent shall have no liability whatsoever to it or any of its employees, officers, directors, affiliates or shareholders in obtaining and using such information as contemplated herein.

  • Marketing Services The Manager shall provide advice and assistance in the marketing of the Vessels, including the identification of potential customers, identification of Vessels available for charter opportunities and preparation of bids.

Bucking shall be done to permit removal of all minimum pieces set forth in A2. B6.411 Felling in Clearings. Insofar as ground conditions, tree lean, and shape of clearings per- mit, trees shall be felled so that their tops do not extend outside Clearcutting Units, construction clearings, and ar- eas of regeneration cutting. B6.000 Xxxxx Xxxxxxx. Stumps shall not exceed, on the side adjacent to the highest ground, the maximum heights set forth in A6, except that occasional stumps of greater heights are acceptable when Purchaser determines that they are necessary for safe and efficient conduct of logging. Unless otherwise agreed, Purchaser shall re-cut high stumps so they will not exceed heights specified in A6 and shall dispose of severed portions in the same manner as other logging debris. The xxxxx heights shown in A6 were selected with the objective of maximum reasonable utilization of the timber, unless Sale Area Map shows special areas where xxxxx heights are lower for aesthetic, land treatment, or silvicultural rea- sons.
