Sales Services. Schedule Aand Schedule B to the Sales Agreement are deleted in their entireties and replaced by Schedule A and Schedule B hereto respectively.
Sales Services. Hilton will, with no additional fees other than those described in Section 6, directly or indirectly, furnish Resorts with the following “Sales Services”: (i) representation and lead referrals to the Hotel (1) on the same basis as Hilton Entities do for Other Hilton Licensees and (2) on an equitable basis (as to allocation and pursuit of such referrals) consistent with past practice under the Existing License Agreement and/or the Existing Sales Agreement or otherwise regarding treatment of the Hotel prior to the Effective Date vis-à-vis other gaming properties managed and/or owned by Xxxxxx’x (including the Caesar’s Palace, as the same may be added (and that Resorts acknowledges may be added for all Sales Services) to the Existing License Agreement and/or the Existing Sales Agreement or any amendment or replacement to such agreements); (ii) access to the Hilton global SFA customer data base on the same basis as other Hilton Licensees and, with respect to any gaming properties managed and/or owned by Xxxxxx’x, on the same equitable basis as exists prior to the Effective Date; (iii) annual local negotiated rate solicitation to the extent provided to the Other Hilton Licensees and/or gaming properties managed and/or owned by Xxxxxx’x; (iii) travel agent and tour operator programs if and to the extent provided to the Other Hilton Licensees and/or gaming properties managed and/or owned by Xxxxxx’x; (v) participation, at Resorts’ election, in ROVER (Hilton’s hotel-to-hotel referral program); and participation, at Resorts election, in Group Opportunity (GO, or, if replaced, any alterative Hilton program for distressed hotels or those hotels with seasonal needs); and (vi) inclusion of the Hotel in the group of hotels offered to provide a request for proposal for any Hilton sales events that include Las Vegas. If Hilton operates or licenses the casino hotel project on the Las Vegas Strip currently known as the “Cosmopolitan,” it shall terminate the Existing License Agreement and the Existing Sales Agreement at the earliest possible time as provided in accordance with the terms of such agreements and will not enter into similar agreements to provide Sales Services to any other hotel, gaming or convention facility within the Restricted Area.
Sales Services. (a) COBRA shall provide to BRIM sales support for the BRIM Services. With respect to such sales support provided by COBRA, COBRA shall:
(i) Market and sell the BRIM Services in order to maximize revenues and promote the BRIM Services on terms and conditions approved by BRIM;
(ii) Sell the BRIM Services in accordance with BRIM’s instructions, fees, fee quotes, charges, rules, and regulations, as amended periodically in writing by BRIM;
(iii) Organize and undertake publicity or press campaigns for BRIM, when requested by BRIM, in form and content acceptable to BRIM; provided, however, that the costs and expenses of any such publicity or press campaigns shall be paid directly by BRIM;
(iv) Comply with all applicable laws, rules, and regulations, including but not limited to those promulgated by the DOT and FAA;
Sales Services. AD shall solicit and identify prospective Franchisees for QUIZNO'S Restaurants to be located within the Territory.
Sales Services. Purchaser shall assist the Company in the training of the Company's sales manager to be designated by the Company, which shall including introducing the new sales manager to customers as requested by the Company (the "Sales Services").
Sales Services. PRICES AND TERMS STATED for the sale of Nikki Makes Scents products by REPRESENTATIVE. REPRESENTATIVE is responsible for all cost of booth rentals, table rentals, etc if so desired to sell products in this fashion. The Company does not cover these costs. Representative MUST sell all Company products with labels with Nikki Makes Scents adorning the products. Representative agrees to have his/her name on the Xxxxx Makes Scents web site. REPRESENTATIVE shall provide to Nikki Makes Scents sales orders and funds for the payment of sales order in advance of products being created/shipped to clients. REPRESENTATIVE acknowledges that Nikki Makes Scents does not in any manner provide work benefits or provide for REPRESENTATIVE taxes. All Nikki Makes Scents Representatives are self-employed independent contractors, not employees of Nikki Makes Scents. As such, all Nikki Makes Scents representatives must abide by the laws and regulations in their state. Representatives are responsible for their own self-employment taxes, social security, and other returns required by their local, state and federal tax authority. REPRESENTATIVE maintains the relationship of an independent contractor.
Sales Services. 6.1 Subject to the terms and conditions of this Agreement, CUSA agrees to cause the Dedicated CFG Division Employees to perform the Sales Services in respect of the CFG Brands and the IPLB Brands. IPLB acknowledges that all of its business in the Territory with respect to the IPLB Brands shall be covered by and subject to this Agreement, except its Tier Two Operations. It is agreed that the Dedicated CFG Division Employees, among other things, are authorized to solicit and accept orders for IPLB Brand Products from customers in the Territory. Notwithstanding the foregoing, all orders for IPLB Brand Products shall be invoiced by the IPLB in its own name and for its own account.
6.2 CUSA shall cause the Dedicated CFG Division Employees to provide the sales, sales administration and creative service in a commercially reasonable manner consistent, in all material respects, with the manner and level of care with which CUSA requires the Dedicated CFG Division Employees to provide the same services for the CFG Brands.
