Medicare Participation/Accreditation; Third-Party Payor Claims. 4.8.1 Each Legacy Health Entity that bills or otherwise submits claims for health care services is currently participating in the Government Programs as set forth on Section 4.8.1 of the Legacy Health Disclosure Schedules. Except as set forth on Section 4.8.1 of the Legacy Health Disclosure Schedules, with respect to each such Legacy Health Entity’s participation in the Government Programs listed: (a) is not subject to any suspension, revocation proceedings, or other limitation on such participation status; (b) has a current and valid provider or supplier contract with such Government Programs; (c) is in compliance in all material respects with the conditions of participation or coverage in such Government Programs; (d) except as disclosed to OHSU, has made claims for provider-based reimbursement with respect to services furnished at off-campus outpatient locations only if eligible therefore in compliance with Health Care Laws; (e) has not received written notice from any such Government Program regarding a proposed or actual reduction in standing or any limitation on its participation in any such Government Program within the past three (3) years; and (f) has not received written notice from the Centers for Medicare & Medicaid Services (“CMS”) regarding a reduction in a Legacy Health Entity’s (or any such Legacy Health Entity’s facilities’) quality star rating within the past three (3) years. 4.8.2 Except as set forth in Section 4.8.2 of the Legacy Health Disclosure Schedules, the billing practices of the Legacy Health Entities with respect to all direct or Third Party Payors are currently and have been for the past three (3) years in material compliance with all applicable Health Care Laws. Except as set forth in Section 4.8.2 of the Legacy Health Disclosure Schedules, for the past three (3) years, no Legacy Health Entity has knowingly presented or caused to be presented to any Third Party Payor any claim for payment for an item or service in violation of any Health Care Law or under the common law or administrative theories of recoupment, unjust enrichment, disgorgement, conversion, breach of contract or fraud. Except as set forth in Section 4.8.2 of the Legacy Health Disclosure Schedules, to the Knowledge of Legacy Health, no Legacy Health Entity has, in the past three (3) years, knowingly billed, or received and retained, any payment or reimbursement in excess of amounts allowed by: (a) applicable Health Care Laws, (b) the applicable reimbursement rat...

Medicare Participation/Accreditation; Third-Party Payor Claims. 7.8.1 Each GH Entity that bills for healthcare services: (i) is currently participating in the Medicare, Pennsylvania Medicaid, Children’s Health Insurance Program (CHIP) and CHAMPUS/TRICARE programs (the “Government Programs”) and is not subject to any suspension, revocation proceedings, or other limitation on such participation status; (ii) has a current and valid provider or supplier contract with such Government Programs; (iii) is in compliance in all material respects with the conditions of participation or coverage in such Government Programs; (iv) if it is a type of Entity that is required to be accredited by a Government Program, is duly accredited, with no contingencies, by The Joint Commission or other appropriate accreditation agency, with copies of the most recent survey report and the most recent accreditation letter from The Joint Commission (or other appropriate accreditation agency) pertaining to each facility or location, and a list of “Sentinel Events” during the past three (3) years, having been made available to RH; (v) has made claims for provider-based reimbursement only if eligible therefor in accordance with all applicable Health Care Laws in all material respects; (vi) has not received written notice from a Government Program regarding a proposed or actual reduction in standing or any limitation on its participation in any such Government Program within the past four (4) years; and (vii) has not received written notice from the Centers for Medicare & Medicaid Services (“CMS”) regarding a reduction in a GH Entity’s quality star rating within the past four

  • Third Party Payors A. Except as provided in this Grant Agreement, Grantee shall screen all clients and may not bill the System Agency for services eligible for reimbursement from third party payors, who are any person or entity who has the legal responsibility for paying for all or part of the services provided, including commercial health or liability insurance carriers, Medicaid, or other federal, state, local and private funding sources. B. As applicable, the Grantee shall: i. Enroll as a provider in Children’s Health Insurance Program and Medicaid if providing approved services authorized under this Grant Agreement that may be covered by those programs and bill those programs for the covered services; ii. Provide assistance to individuals to enroll in such programs when the screening process indicates possible eligibility for such programs; iii. Allow clients that are otherwise eligible for System Agency services, but cannot pay a deductible required by a third party payor, to receive services and bill the System Agency for the deductible; iv. Not bill the System Agency for any services eligible for third party reimbursement until all appeals to third party payors have been exhausted; v. Maintain appropriate documentation from the third party payor reflecting attempts to obtain reimbursement; vi. Xxxx all third party payors for services provided under this Grant Agreement before submitting any request for reimbursement to System Agency; and vii. Provide third party billing functions at no cost to the client.

  • Medicaid If and when the Resident’s assets/funds have fallen below the Medicaid eligibility levels, and the Resident otherwise satisfies the Medicaid eligibility requirements and is not entitled to any other third party coverage, the Resident may be eligible for Medicaid (often referred to as the “payor of last resort”).   • Third Party Programs This Licensed Software may contain third party software programs (“Third Party Programs”) that are available under open source or free software licenses. This License Agreement does not alter any rights or obligations You may have under those open source or free software licenses. Notwithstanding anything to the contrary contained in such licenses, the disclaimer of warranties and the limitation of liability provisions in this License Agreement shall apply to such Third Party Programs.

  • Third Party Payments (a) Subject to Section 6.4.4(c), the Applicable Commercialization Party shall be entitled to credit against the royalties due to the other Party on Net Sales of a Licensed Product in a country an amount equal to [**] percent ([**]%) of all upfront payments, milestone payments, royalties, and other amounts paid by the Applicable Commercialization Party, its Affiliates or Sublicensees to Third Parties with respect to license rights to Third Party intellectual property licensed by the Applicable Commercialization Party, its Affiliates or Sublicensees from the applicable Third Party that the Applicable Commercialization Party reasonably believes are necessary for the Development, Manufacture, or Commercialization of such Licensed Product in such country; provided, however, that, to the extent that any such Third Party license includes a license to Third Party intellectual property that is applicable to products being or to be developed or commercialized by the Applicable Commercialization Party or its Affiliates other than such Licensed Product in such country, then the Applicable Commercialization Party shall reasonably allocate all upfront payments, milestone payments and other non-royalty amounts between the Licensed Product and such other products, and the Applicable Commercialization Party shall only be entitled to credit against the royalties due to the other Party hereunder on Net Sales of such Licensed Product [**] percent ([**]%) of the amounts that are reasonably allocable to the Licensed Product. In addition, the Applicable Commercialization Party shall be entitled to credit against the royalties due to the other Party hereunder defense costs in accordance with Section 8.4. (c) If any amount is or becomes payable to UNC under the UNC License Agreement (or under any other agreement entered into by EPIZYME or any Affiliate and UNC with respect to the intellectual property that is the subject of the UNC License Agreement) with respect to the Development, Manufacture, or Commercialization of a Licensed Product in any country in the world, EPIZYME shall be solely responsible for and shall pay all such amounts, and no such amounts shall be creditable against any royalties payable to EISAI hereunder.

  • Extended Health Care Benefits The City will provide for all employees by contract through an insurer selected by the City an Extended Health Care Plan which will provide extended health care benefits. Blue Cross/Blue Shield of Michigan Flexible Blue 3 with Flexible Blue Rx Prescription Drug Coverage with a Health Savings Account (hereinafter collectively referred to as the “H.S.A Plan”). The Employer shall pay for the illustrated premium cost of this coverage and make an annual contribution to each participating employee’s Health Savings Account in the amount of $500 for those selecting single coverage and $1,000 for those selecting Employee & Spouse, Employee Child(ren) or Family coverage, or the maximum annual amount the Employer is permitted to pay under Section 3 of the Publicly Funded Health Insurance Contribution Act, Public Act 152 of the Michigan Public Acts of 2011, whichever results in the lesser Employer contribution to the cost of such plan. Employees may, at their option, make additional contributions through bi-weekly pre-tax payroll deduction as permitted by applicable law. 2. Blue Cross/Blue Shield of Michigan Community Blue PPO Option 3 Revised Plan with Blue Preferred Rx Prescription Drug Coverage with a 50% co-pay ($5 floor and a $50 ceiling). Employees shall pay the difference between the illustrated premium cost of this coverage and the amount of the Employer’s total contribution towards the cost of coverage under the H.S.A. Plan as described in Section 1 (a) (1), for the same level of benefit (i.e. single, employee/spouse, employee/child(ren) and family), or pay the difference between the total cost of such coverage and the maximum annual amount the Employer is permitted to pay under Section 3 of the Publicly Funded Health Insurance Contribution Act, Public Act 152 of the Michigan Public Acts of 2011, whichever results in the greater employee contribution. 3. (a) All coverage under any of the foregoing plans shall be subject to such terms, conditions, exclusions, limitations, deductibles, co-payments premium cost-sharing, and other provisions of the plans. Coverage shall commence on the employee’s ninetieth (90th) day of continuous employment. The employee’s contribution to the cost of such coverage shall be payable on a bi-weekly basis through automatic payroll deduction. (b) To qualify for health care benefits as above described each employee must individually enroll and make proper application for such benefits at the Human Resources Department upon the commencement of his regular employment with the Employer. (c) Except as otherwise provided under the Family and Medical Leave Act, when on an authorized unpaid leave of absence of more than two weeks, the employee will be responsible for paying all his benefit costs for the period he is not on the active payroll. Proper application and arrangements for the payment of such continued benefits must be made at the Human Resources Department prior to the commencement of the leave. If such application and arrangements are not made as herein described, the employee's health care benefits shall automatically terminate upon the effective date of the unpaid leave of absence. (d) Except as otherwise provided under this Agreement and/or under COBRA, an employee's health care benefits shall terminate on the date the employee goes on a leave of absence for more than two weeks, terminates, retires or is laid off. Upon return from a leave of absence or layoff, an employee's health care benefits coverage shall be reinstated commencing with the employee's return. (e) An employee who is on layoff or leave of absence for more than two weeks or who terminates may elect under COBRA to continue the coverage herein provided at his own expense. (f) The Employer reserves the right to change a carrier(s), a plan(s), and/or the manner in which it provides the above benefits, provided that the benefits and conditions are equal to or better than the benefits and conditions outlined above. (g) To be eligible for health care benefits as provided above, an employee must document all coverage available to him under his spouse's medical plan and cooperate in the coordination of coverage to limit the Employer's expense. If an employee’s spouse or eligible dependent children work for an employer who provides medical coverage, they are required to elect medical coverage with their employer, so long as the spouse’s or monthly contribution to the premium does not exceed 20% of the total premium cost of said coverage. The Monroe County Plan shall provide secondary coverage. (h) Each employee is responsible for notifying the Human Resources Department of any change in his status, which might affect his insurance coverage or benefits, such as, marriage, divorce, births, adoptions, deaths, etc.

  • Medicaid Enrollment Treatment Grantees shall enroll as a provider with Texas Medicaid and Healthcare Partnership (TMHP) and all Medicaid Managed Care organizations in Grantee’s service region within the first quarter of this procurement term and maintain through the procurement term.
