No indulgence granted by either Party to the other in relation to any term hereof shall be deemed a waiver of such term or prejudice the later enforcement of that or any other term hereof. Žádná shovívavost jedné smluvní strany ke druhé smluvní straně týkající se některého z ustanovení této smlouvy nebude požadována za zřeknutí se tohoto ustanovení a neovlivní budoucí uplatňování tohoto ani jiných ustanovení této smlouvy. Should a provision of this Agreement in any manner whatsoever contravene any applicable laws and regulations, such a provision shall be deemed to be severable and shall not affect any other provision of this Agreement, nor affect the enforceability of those remaining provisions which are not in contravention of any law and regulation. Pokud by nějaké ustanovení této smlouvy jakkoliv porušovalo příslušné právní předpisy, bude považováno za oddělitelné a nebude mít vliv na ostatní ustanovení této smlouvy, která nejsou v rozporu s platnými právními předpisy, ani na jejich vymahatelnost. In accordance with § 558 (2) of Act No. 89/2012 Coll., The Civil Code, as amended, the Parties expressly exclude the use of business practices in their legal relations in connection with this Agreement. SCOPE hereby undertake not to enter into any other contract with any of the INSTITUTION´s staff in connection with this Trial. Smluvní strany tímto v souladu s § 558 odst. 2 zákona č. 89/2012 Sb, občanského zákoníku, v platném znění, výslovně vylučují použití obchodních zvyklostí ve svém právním styku v souvislosti s touto smlouvou. SCOPE se tímto zavazuje, že v souvislosti s tímto KH neuzavře žádnou jinou smlouvu s žádným zaměstnancem INSTITUCE. This contract is drawn up in 3 copies, each of which each contracting party receives one. Amending and supplementing of this Agreement is only possible in the form of written amendments signed by all Parties. This Agreement is in the English and Czech language versions. In case of any conflict, the Czech language version will be decisive. Tato smlouva je vypracována ve 3 vyhotoveních, z nichž každá smluvní strana obdrží po jednom. Měnit a doplňovat tuto smlouvu je možné pouze formou písemných, všemi smluvními stranami podepsaných dodatků. Tato Smlouva je vyhotovena v anglickém a českém jazykovém znění. V případě jakéhokoli rozporu bude rozhodující česká jazyková verze.

The Institution and the Physician represent to Biogen that the performance of their obligations under this Agreement does not and will not conflict with any other agreement to which they are a party. The Institution and the Physician agree to notify Biogen of any other agreements with third parties that relate in any way to the Study. Konflikty. Zdravotnické zařízení a Zkoušející prohlašují vůči společnosti Biogen, že se plněním závazků z této Smlouvy nedostali a nedostanou do rozporu s případnými jinými smlouvami, které uzavřeli. Zdravotnické zařízení a Zkoušející se zavazují, že budou společnost Biogen informovat o případných dalších smlouvách uzavíraných s třetími osobami, které se budou nějakým způsobem týkat Studie.

Entire Agreement Celistvost Smlouvy This Agreement, including its attachment(s), constitutes the sole and complete agreement between the Parties and supersedes all other written and oral agreements relating to the Study. This Agreement may only be amended in writing, by the mutual consent of the Parties. To the extent that terms of this Agreement conflict with the terms of the Protocol, the terms of this Agreement will control as to legal and business matters, and the terms of the Protocol will control as to scientific research and safety matters unless expressly agreed in writing between the Parties. Tato Smlouva, včetně příloh, představuje výhradní, celistvé a úplné ujednání Stran a nahrazuje veškeré ostatní písemné a ústní dohody vztahující se k této Studii. Veškeré změny a dodatky k této Smlouvě musí být písemné a na základě vzájemného souhlasu Stran. V tom rozsahu, v jakém jsou ustanovení této Smlouvy v rozporu s ustanoveními Protokolu, budou mít přednost ustanovení této Smlouvy v právních a obchodních otázkách, a ustanovení Protokolu budou mít přednost v otázkách vědeckého výzkumu a bezpečnosti, pokud se smluvní Strany písemně výslovně nedohodnou jinak. No Waiver/Enforceability Vzdání se uplatnění / vynutitelnost Failure to enforce any term of this Agreement shall not constitute a waiver of such term. Neuplatnění jakéhokoli práva či podmínky této Smlouvy nezakládá domněnku vzdání se uplatnění takového práva či podmínky. If any part of this Agreement is found to be unenforceable, the rest of this Agreement will remain in effect. V případě, že bude kterákoli část této Smlouvy shledána jako nevykonatelná, zbytek této Smlouvy zůstane i nadále v platnosti.

No Waiver/Enforceability Vzdání se uplatnění/Vynutitelnost Failure to enforce any term of this Agreement shall not constitute a waiver of such term. Neuplatnění jakéhokoli práva či podmínky této Smlouvy nezakládá domněnku vzdání se uplatnění takového práva či podmínky. If any part of this Agreement is found to be unenforceable, the rest of this Agreement will remain in effect, valid and enforceable. V případě, že bude kterákoli část této Smlouvy shledána jako nevykonatelná, zbytek této Smlouvy zůstane i nadále v platnosti.

Biogen and CRO hereby undertake not to conclude any other separate contract with any employee of the Institution regarding this Study. Společnost Biogen a CRO se tímto zavazují, že v souvislosti s touto Studií neuzavřou žádnou jinou separátní smlouvu s žádným zaměstnancem Zdravotnického zařízení.

Pokud by nějaké ustanovení této smlouvy, jakkoliv porušovalo příslušné zákony a nařízení, bude považováno za oddělitelné a nebude mít vliv na ostatní ustanovení této smlouvy, která nejsou v rozporu s žádným zákonem, či nařízením, ani na jejich vymahatelnost. 23.3 This Agreement, including the Protocol and the Appendices attached hereto, constitutes the full understanding of the Parties with respect to the subject matter hereof and a complete and exclusive statement of the terms of their agreement, and no terms, conditions, understanding or agreement purporting to amend, modify, vary or waive the terms of this Agreement shall be binding unless made in Tato smlouva, včetně Protokolu a příloh, představuje plné porozumění jednotlivých smluvních stran předmětu této smlouvy a kompletní a výhradní prohlášení z hlediska jejich dohody, že podmínky, znalosti nebo dohody se nesmí domněle doplňovat, upravovat, měnit nebo od nich upustit v rámci této smlouvy, protože jsou závazné, pokud nejsou podány písemně a podepsány
