Nature and Purpose of Agreement. The laws of the State of Colorado permit consultants to incorporate under the Colorado Corporation Code. The Executive desires to practice consulting with and provide essential management to the Corporation. The Board of Directors of the Corporation has determined the reasonable method of compensation of the Executive and has offered him compensation of an annual base salary and bonuses as set forth in Sections 3 and 4, participation in a 401(k) Plan in accordance with law, Key Man Insurance, together with the other employee benefits generally set forth in the Corporation's policies and procedures manual.
Nature and Purpose of Agreement. The Participant currently serves as the Chief Executive Officer of the Employer and the Employer hereby wishes to provide the Participant with an incentive-driven deferred compensation vehicle that will provide him the opportunity to accumulate significant retirement funds in the event the Participant achieves the specified goals and meets the requirements set forth herein. The Agreement hereinafter set forth is intended to conform to the requirements of Section 409A.
Nature and Purpose of Agreement. Employee desires to perform executive and managerial services as an employee of the Company in the capacity of its President . The board of directors of the Company (Board) has determined what reasonable compensation will be paid to Employee and has offered employment for such compensation and any of the other benefits discussed below. A. Provide for Xxxxxxxxx to perform certain Planning Services in and for Long Grove on an interim basis;
B. Provide a term and timeframe for such interim Planning Services;
C. Detail specific Planning Services and related tasks to be performed by Xxxxxxxxx for Long Grove;
D. Identify expectations for Xxxxxxxxx’s performance of the interim Planning Services and deliverables to be provided in connection therewith;
E. Provide a fee structure for the interim Planning Services; and
F. Outline other agreements and expectations for the parties as set forth herein.
Nature and Purpose of Agreement. 1. The purpose of the Agreement are the terms and conditions by which Apperta supplies the DiADeM Service to the User.
2. The agreement is limited to the supply of the DiADeM Service by Apperta, and the use of the DiADeM Service by the User.
3. Under this agreement:
a. Apperta is the Data Controller for Personal Data provided by the User and held on the DiADeM Authentication Service; and
b. The Data Subjects for which Apperta is the Data Controller are the Users who have registered to use the DiADeM Service.
c. Certain roles of User (or User’s organisation) agree to be the Data Controller for Personal Data held on the DiADeM CDR Service.
Nature and Purpose of Agreement. The purpose of this agreement is to establish compensation and other covenants for the providing of services for Building Inspector and Building and Housing Code Enforcement Officer.

Prior to accepting appointment to the Board, Chairman was the Chairman of the Board of Directors of Rxxxxx Oil Corporation and Chairman of the Board of Directors of American Eagle Energy, Inc. The Chairman has vast experience in the oil and gas business, particularly in Montana, North Dakota, Alberta and Saskatchewan and possesses extensive knowledge of the Company’s oil and gas properties. The Chairman has also participated in numerous efforts to secure financing necessary to develop oil and gas investment opportunities. The Company wishes to engage the Chairman to assist it in securing financing necessary to facilitate the Company’s development of its oil and gas properties and other opportunities, to act together with the Company’s Chief Executive Officer as a spokesperson for the Company as it seeks to communicate with its shareholders and with investment bankers and investors, to coordinate the activities of the Company’s Board and to oversee issues related to the Company’s corporate governance, all pursuant to the terms and conditions set forth in this Agreement. The Chairman desires to accept this engagement, upon the terms and conditions set forth herein.

A. Restate, amend, replace, and supersede the Original Planning IGA as of January 1, 2022, such that the Original Planning IGA shall thereafter be of no further force or effect;
B. Provide for Mundelein to continue to perform certain Planning Services in and for Long Grove on an interim basis pursuant to the terms of this Interim Planning IGA;
C. Provide a term and timeframe for the interim Planning Services;
D. Detail specific Planning Services and related tasks to be performed by Mundelein for Long Grove;
E. Identify expectations for Mundelein’s performance of the interim Planning Services and deliverables to be provided in connection therewith;
F. Provide a fee structure for the Interim Planning Services; and
G. Outline other agreements and expectations for the parties as set forth herein.
