NETWORK OPERATING CENTER. Seller shall use its best efforts to cause the purchaser of its hosting business to provide to Purchaser access to Seller's Network Operating Center to effect the transition of Seller's network operations functions to Purchaser's systems or shall otherwise use its best efforts to assist Purchaser in making any necessary arrangements for such access directly with the landlord for the Network Operating Center.

NETWORK OPERATING CENTER. 4.2.5.1. The Contractor will provide a Network Operating Center (NOC) which provides a single point of contact for all local loop, POP, NAP access, router, and circuit support. The NOC is to be available by phone and email and staffed with Internet technical experts 24 hours a day, 365 days a year to provide continuous access to its services such that calls from the Department are not put on hold and emails from the Department are promptly answered. 4.2.5.2. The NOC must help manage the circuit connection, configure the router and maintain its communication equipment. Full support obligations of the NOC include complete responsibility from the Department’s router to each of the Contractor’s routers including all switches, local loops, fiber connections, POP, NAP, and peering connections in between. 4.2.5.3. The NOC must also have the ability to reroute the Department’s traffic in the event of congestion or outage on its network or on its equipment at 00-00 Xxxxxx Xxxxx Xxxxx. The NOC also must handle special routing and forwarding rules on its communication equipment at 00-00 Xxxxxx Xxxxx North at the Department’s request; such requests may include, but is not limited to, matching traffic destined for certain IP addresses and/or ports and then forwarding them to particular interfaces or new destination IP address(es). Further, the NOC must be able to provide essential port and IP address blocking at its peering ingress ports when requested to prevent the traffic from traversing the Department’s connection under this contract.
NETWORK OPERATING CENTER a. Pathnet shall operate a Network Operating Center twenty-four (24) hours a day, seven (7) days a week to handle all problem and trouble reports and to monitor the Equipment and System. Pathnet shall monitor both alarm and operations information to identify and to correct degradation or interruption of the System. Upon receipt of knowledge of any degradation or interruption, Pathnet will open a Trouble Ticket to initiate Remedial Maintenance, dispatch a call for maintenance in accordance with the dispatch procedures agreed to be by the Parties and monitor such degradation or interruption through correction. Pathnet will maintain monitoring logs of all Trouble Tickets opened, types of Remedial Maintenance undertaken, technician response times and other significant information concerning the System and will issue to Texaco periodic reports describing such information. b. Pathnet's Network Operating Center will collect performance data (Errored Seconds, Severely Errored Seconds, frame loss, Failed Seconds, etc.) consistent with manufacturer's specifications and issue periodic reports, as set forth in the FPM Agreement. c. Pathnet's Network Operating Center will coordinate and provide technical support Remedial Maintenance efforts by Texaco's Field Technicians provided that Texaco has final responsibility for such Remedial Maintenance. As reasonably requested by Texaco, Pathnet shall assist Texaco, to the extent within Pathnet's reasonable control, in restoring operations including locating Spare Parts or other supplies.

  • Business Operations Company will provide all necessary equipment, personnel and other appurtenances necessary to conduct its operations. Company will conduct its business operations hereunder in a lawful, orderly and proper manner, considering the nature of such operation, so as not to unreasonably annoy, disturb, endanger or be offensive to others at or near the Premises or elsewhere on the Airport.

  • Surgery Services This plan covers surgery services to treat a disease or injury when: • the operation is not experimental or investigational, or cosmetic in nature; • the operation is being performed at the appropriate place of service; and • the physician is licensed to perform the surgery. This plan covers reconstructive surgery and procedures when the services are performed to relieve pain, or to correct or improve bodily function that is impaired as a result of: • a birth defect; • an accidental injury; • a disease; or • a previous covered surgical procedure. Functional indications for surgical correction do not include psychological, psychiatric or emotional reasons. This plan covers the procedures listed below to treat functional impairments. • abdominal wall surgery including panniculectomy (other than an abdominoplasty); • blepharoplasty and ptosis repair; • gastric bypass or gastric banding; • nasal reconstruction and septorhinoplasty; • orthognathic surgery including mandibular and maxillary osteotomy; • reduction mammoplasty; • removal of breast implants; • removal or treatment of proliferative vascular lesions and hemangiomas; • treatment of varicose veins; or • gynecomastia.

  • Network PHARMACY is a retail, mail order or specialty pharmacy that has a contract to accept our pharmacy allowance for prescription drugs and diabetic equipment or supplies covered under this plan. NETWORK PROVIDER is a provider that has entered into a contract with us or other Blue Cross and Blue Shield plans. For pediatric dental care services, network provider is a dentist that has entered into a contract with us or participates in the Dental Coast to Coast Network. For pediatric vision hardware services, a network provider is a provider that has entered into a contract with EyeMed, our vision care service manager.

  • Service Area (a) SORACOM shall provide the SORACOM Air Global Service within the area designated on the web site of SORACOM (the “Service Area”), provided, that, the Service Area may be different if stated otherwise as specified by SORACOM separately. However, within the Service Area, you may not use the SORACOM Air Global Service in places where transmissions are difficult to send or receive. (b) The parties of this Agreement acknowledge that there may be countries or locations within which SORACOM may be restricted from providing the SORACOM Air Global Service due to applicable laws, regulations, decisions, rules or orders (“Restrictions”). During the Term, SORACOM will use reasonable efforts to monitor whether there are any such Restrictions. SORACOM may in its sole discretion and at any time, suspend, discontinue, limit, or modify the SORACOM Air Global Service or impose additional requirements on the provision of the SORACOM Air Global Service, as may be reasonably required to comply with any such Restrictions. (c) In no event will SORACOM be required to provide the SORACOM Air Global Service in countries or locations, or in a manner that would be in violation of the Restrictions and its failure to provide the SORACOM Air Global Service due to the Restrictions will not be deemed to be a breach of its obligations under this Agreement. (d) In the event that any Restriction, or any change in applicable law, regulation, decision, rule or order materially or adversely affects the delivery of the SORACOM Air Global Service (including the economic viability thereof), SORACOM will notify Subscribers in writing and the parties will negotiate in good faith regarding changes to this Agreement. If the parties cannot reach agreement within 30 days after notification from SORACOM requesting renegotiation, SORACOM may terminate the Agreement upon 30 days’ written notice to the Subscriber.

  • Landlord Services Any services provided by, or on behalf of, Landlord will not prevent any amounts received or accrued from qualifying as "Rents from real property" (within the meaning of Section 856(d)(2) or Section 512(b)(3) of the Code).
