No Collective Bargaining. Seller is not a party to any collective bargaining or other labor agreement(s) with any party on behalf of any of its employees, and no petition has been filed on behalf of Seller's employees for recognition by any collective bargaining agent.
No Collective Bargaining. Except for the Company’s Swedish subsidiary, neither the Company nor any of its subsidiaries is a party to or bound by any collective bargaining agreements or other agreements with labor organizations. Neither the Company nor any of its subsidiaries has violated in any material respect any laws, regulations, orders or contract terms, affecting the collective bargaining rights of employees, labor organizations or any laws, regulations or orders affecting employment discrimination, equal opportunity employment, or employees’ health, safety, welfare, wages and hours. Except for matters which would not, individually or in the aggregate, have a Material Adverse Effect, there is (i) no unfair labor practice complaint pending or, to the Company’s knowledge, threatened against the Company before the Swedish labor commission or board, and no grievance or arbitration proceeding arising out of or under collective bargaining agreements is pending or threatened, (ii) no strike, labor dispute, slowdown or stoppage pending or, to the Company’s knowledge, threatened against the Company and (iii) no union representation dispute currently existing concerning the employees of the Company.
No Collective Bargaining. Except as disclosed to Bank prior to the date hereof in writing, Borrower is not a party to any collective bargaining agreement, and there are no material grievances, disputes, or controversies with any union or any other organization of any of their employees, or threats of strikes, work stoppages, or any asserted pending demands for collective bargaining by any union or organization;

Except as set forth in ANNEX III(aa), there is no collective bargaining or other union agreement or arrangement (whether binding or not) to which the Company and the Group Companies are a party or by which it is bound or which is currently being negotiated and no dispute between the Company and the Group Companies and any trade union or other organisation formed for a similar purpose is existing, pending or threatened.

The Company and the Seller with respect to the Company are not party to or otherwise bound by any CBA and no employees of the Company are represented by any labor union, works council or other labor organization with respect to their employment with the Company. In the past five years, no labor union, works council, other labor organization or group of employees of the Company has made a demand for recognition or certification, and there are no representation or certification proceedings presently pending or threatened to be brought or filed with the National Labor Relations Board or any other labor relations tribunal or authority. The Company and the Seller with respect to the Company are not, and for the past five years have not been, the subject of any material proceeding that asserts that the Company or the Seller with respect to the Company have committed an unfair labor practice or that seeks to compel them to bargain with any labor union, works council or other labor organization. In the past five years there has been no actual or pending, or to the Company’s Knowledge threatened, material labor grievance, material labor arbitration, unfair labor practice charge, labor strike, dispute, walk-out, work stoppage, slow-down, picketing, hand billing, lockout or other material labor dispute against or affecting the Company. To the Company’s Knowledge, in the past five years, there have been no labor organizing activities with respect to any employees of the Company. With respect to the Transaction, the Company has satisfied any notice, consultation or bargaining obligations owed to its employees or their representatives under applicative Law, CBA or other Contract.
No Collective Bargaining. There is no collective bargaining or other union agreement or arrangement (whether binding or not) other than the applicable collective agreements as per Italian Law to which the Company is a party or by which the Company is bound or which is currently being negotiated and no dispute between the Company and any trade union or other organization formed for a similar purpose is existing, pending or threatened. The Company does not have any labor relations problem pending or, to the Best Knowledge of the Sellers, threatened and its labor relations are satisfactory. There are no workers' compensation claims pending against the Company, nor does any Seller have any knowledge of any facts that would give rise to such a claim.
